All-Star Game. The Clubs shall provide the necessary services of players, and, if selected as a host Club, the park, facilities and equipment needed for the playing of an All-Star Game during each baseball season. All-Star Games shall be played under the supervision, control and direction of the Commissioner. The date and the park in which an All-Star Game is to be played shall be determined by the Executive Council. Each host Club agrees that when it is designated to conduct an All-Star Game, it will provide the park, facilities and equipment for such a game for a total rental of one dollar and will act as agent for the Major League Clubs in the conduct of said game.

All-Star Game. (a) The All-Star Game, including all All-Star Game Weekend events and activities in which Players will be asked to participate, will employ a format developed by the NHL in consultation with the NHLPA. Prior to effectuating any material changes in the All-Star Weekend format, the NHL will seek the consent of the NHLPA, which consent shall not be unreasonably withheld. The parties agree that the NHLPA may reasonably withhold its consent when, without limitation, proposed All- Star format changes result in: (i) a material change in the overall number of Players expected to participate in All-Star Weekend events; (ii) a material change in the overall time commitment required for Player participation; or (iii) a material change in the financial terms (or other benefits) associated with Player participation. The NHLPA may also reasonably withhold its consent where the change in All-Star format contemplates Player participation in events that give rise to a bona fide health and safety concern. (b) The Club must provide Business Class air travel to and from the All-Star host city to any Player selected to play in the All-Star Game (or its equivalent), or to any Player who is otherwise requested by the League to participate in an All-Star Weekend-related event. Players shall also have the option to invite their Spouse (or Living Companion) to All-Star Weekend, as well as up to four (4) immediate family members (e.g., the Player’s parents, grandparents, siblings, and/or children), with airfare to be paid at the Club’s expense (Business Class travel for Spouse (or Living Companion) and Economy Class travel for immediate family members). (c) There shall be no All-Star Game in any League Year in which the NHL and NHLPA agree to participate in an international tournament or other event, including but not limited to the Winter Olympics.
All-Star Game. For 2015 and 2016, in the event that MLS elects to hold an All-Star Game during any League Season during the Term, MLS will name thirty-two (32) Players as All- Stars, who shall be considered All-Stars for purposes of any performance bonus and/or base salary adjustment in the Player’s SPA. If no All-Star Game is held in 2015 or 2016, a minimum of thirty- two (32) Players shall nevertheless receive any performance bonus and/or base salary adjustment in the respective Player’s SPA designated for being named an MLS All-Star. For 2017 and beyond, in the event that MLS elects to hold an All-Star Game during an MLS Season during the term of this CBA, MLS will name a minimum of twenty-four (24) Players as All-Stars, who shall be considered All-Stars for purposes of any performance bonus and/or base salary adjustment in the Player’s SPA. If MLS names more than twenty-four (24) Players as All-Stars, all such Players shall be considered All-Stars for purposes of any performance bonus and/or base salary adjustment in the Player’s SPA. For clarity, if MLS names more than twenty-four (24) Players as All-Stars such increased number will only be relevant for that specific year and will not set a new floor. If no All-Star Game is held in 2017 (or any year thereafter), a minimum of twenty-four (24) Players shall nevertheless receive any performance bonus and/or base salary adjustment in the respective Player’s SPA designated for being named an MLS All-Star. The League retains sole discretion to decide whether an All-Star Game shall be held in any season during this CBA and, if an All-Star Game is held, the format of such game and the composition of the playing roster, including whether the game shall include non- MLS players. MLS agrees to consult with the Union on any changes in the All-Star roster selection process, and shall exercise good-faith in naming All-Star caliber Players as the Players who shall receive an All-Star bonus and/or base salary adjustment, if applicable, pursuant to their SPA.
All-Star Game. A Player who is a member of his League’s All-Star team shall, in addi- tion to being reimbursed in accordance with past practice, be xxxx- bursed by the Office of the Commissioner for the first-class jet air fare to and from the site of the All-Star Game for one guest from the guest’s place of residence, and for hotel accommodations for a maximum of three days for such guest.
All-Star Game. All-star voting is a time in the year when teams get to celebrate their players who are doing well and honor those players from other teams who are playing at a high level. Like all voting, All-Star voting is mandatory of all general managers. All- star voting will begin in early June and the all-star will be announced a week before the All-Star game. Each player who gets an all-star appearance will be made a baseball card in OOTP by the commissioner and given incentive points, which will be discussed more in depth later. The roster for each All-Star team shall be 34 players, with 21 position players and 13 pitchers. Pitchers qualify if they have at least 0.5 inning pitcher per team game played in the first half. Hitters qualify if they have at least 3 plate appearances per team game played in the first half.
All-Star Game. (a) A Referee who officiates the NBA All-Star Game in any Season will (i) be compensated at the rate of $4,500 for such game, and (ii) receive an All-Star ring, the design of which shall be in the sole and absolute discretion of the NBA. (b) A Referee who officiates the NBA All-Star Events in any Season will be compensated at the rate of $3,500.

  • Television Equipment Recycling Program If this Contract is for the purchase or lease of covered television equipment, then Contractor certifies that it is compliance with Subchapter Z, Chapter 361 of the Texas Health and Safety Code related to the Television Equipment Recycling Program.

  • Books, Records and Regulatory Filings (a) The Sub-Adviser agrees to maintain and to preserve for the applicable periods any such records as are required to be maintained by the Sub-Adviser with respect to the Fund by the 1940 Act and rules adopted thereunder, and by any other applicable laws, rules and regulations. The Sub-Adviser further agrees that all records that it maintains for the Fund are the property of the Fund and it will promptly surrender any of such records upon request; provided, however, that the Sub-Adviser may retain copies of such records for the applicable periods they are required by law to be retained, and thereafter shall destroy such records. (b) The Sub-Adviser agrees that it shall furnish to regulatory authorities having the requisite authority any information or reports in connection with its services hereunder that may be requested in order to determine whether the operations of the Fund are being conducted in accordance with applicable laws, rules and regulations. (c) The Sub-Adviser shall make all filings with the SEC required of it pursuant to Section 13 of the 1934 Act with respect to its duties as are set forth herein. The Sub-Adviser also shall make all required filings on Schedule 13D or 13G and Form 13F (as well as other filings triggered by ownership in securities under other applicable laws, rules and regulations) in respect of the Portfolio as may be required of the Fund due to the activities of the Sub-Adviser. The Sub-Adviser shall be the sole filer of Form 13F with respect to the Portfolio of the Fund.

  • Advertising and Promotional Materials The Purchaser acknowledges and agrees that the Vendor shall have the right to use drawings, photographs, videos or other depictions of the interior and/or exterior of the Dwelling and/or the Subdivision or any components or features thereof in any promotional or advertising materials without notice to or consent from the Purchaser being required in any manner whatsoever.

  • Lottery Unless otherwise exempted in the Public School Code, if more students apply than can be admitted based on the School’s enrollment cap, admission decisions will be made by a lottery processxlii. The School shall adopt in advance the enrollment procedure for vacancies that occur during the school year that complies with applicable law.

  • Evaluation Software If the Software is an evaluation version or is provided to You for evaluation purposes, then, unless otherwise approved in writing by an authorized representative of Licensor, Your license to use the Software is limited solely for internal evaluation purposes in non-production use and in accordance with the terms of the evaluation offering under which You received the Software, and expires 90 days from installation (or such other period as may be indicated within the Software). Upon expiration of the evaluation period, You must discontinue use of the Software, return to an original state any actions performed by the Software, and delete the Software entirely from Your system and You may not download the Software again unless approved in writing by an authorized representative of Licensor. The Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. RESTRICTIONS

  • Computer Equipment Recycling Program If this Contract is for the purchase or lease of computer equipment, then Contractor certifies that it is in compliance with Subchapter Y, Chapter 361 of the Texas Health and Safety Code related to the Computer Equipment Recycling Program and the Texas Commission on Environmental Quality rules in 30 TAC Chapter 328.

  • SERVICE MONITORING, ANALYSES AND ORACLE SOFTWARE 11.1 We continuously monitor the Services to facilitate Oracle’s operation of the Services; to help resolve Your service requests; to detect and address threats to the functionality, security, integrity, and availability of the Services as well as any content, data, or applications in the Services; and to detect and address illegal acts or violations of the Acceptable Use Policy. Oracle monitoring tools do not collect or store any of Your Content residing in the Services, except as needed for such purposes. Oracle does not monitor, and does not address issues with, non-Oracle software provided by You or any of Your Users that is stored in, or run on or through, the Services. Information collected by Oracle monitoring tools (excluding Your Content) may also be used to assist in managing Oracle’s product and service portfolio, to help Oracle address deficiencies in its product and service offerings, and for license management purposes. 11.2 We may (i) compile statistical and other information related to the performance, operation and use of the Services, and (ii) use data from the Services in aggregated form for security and operations management, to create statistical analyses, and for research and development purposes (clauses i and ii are collectively referred to as “Service Analyses”). We may make Service Analyses publicly available; however, Service Analyses will not incorporate Your Content, Personal Data or Confidential Information in a form that could serve to identify You or any individual. We retain all intellectual property rights in Service Analyses. 11.3 We may provide You with the ability to obtain certain Oracle Software (as defined below) for use with the Services. If we provide Oracle Software to You and do not specify separate terms for such software, then such Oracle Software is provided as part of the Services and You have the non-exclusive, worldwide, limited right to use such Oracle Software, subject to the terms of this Agreement and Your order (except for separately licensed elements of the Oracle Software, which separately licensed elements are governed by the applicable separate terms), solely to facilitate Your use of the Services. You may allow Your Users to use the Oracle Software for this purpose, and You are responsible for their compliance with the license terms. Your right to use any Oracle Software will terminate upon the earlier of our notice (by web posting or otherwise) or the end of the Services associated with the Oracle Software. Notwithstanding the foregoing, if Oracle Software is licensed to You under separate terms, then Your use of such software is governed by the separate terms. Your right to use any part of the Oracle Software that is licensed under the separate terms is not restricted in any way by this Agreement.

  • Metadata Where the Contractor has or generates metadata as a result of services provided to the Province, where that metadata is personal information, the Contractor will: not use it or disclose it to any other party except where the Agreement otherwise specifies; and remove or destroy individual identifiers, if practicable.

  • Dark Fiber Loop 2.8.4.1 Dark Fiber Loop is an unused optical transmission facility, without attached signal regeneration, multiplexing, aggregation or other electronics, from the demarcation point at an End User’s premises to the End User’s serving wire center. Dark Fiber Loops may be strands of optical fiber existing in aerial or underground structure. BellSouth will not provide line terminating elements, regeneration or other electronics necessary for AFN to utilize Dark Fiber Loops.
