Annual License Fees. 4.2.1 Company agrees to pay Broad annual license maintenance fees (“License Fees”) as follows: 2016 – 2020 $ [***] 2021 and each subsequent Calendar Year during the Term $ [***]
4.2.2 Each License Fee shall be due and payable on January 1st of the Calendar Year to which such fee applies and shall be creditable against any Royalties due and payable under Section 4.4 below with respect to Licensed Products sold in the same Calendar Year that such License Fee was due.
4.2.3 The License Fees include all consideration due or payable with respect to the Software License.
Annual License Fees. (a) The Parties acknowledge that upon each of the […***…] of the Effective Date (i.e., […***…]) during the Research Term, CENTOCOR agreed to pay and already has paid to MORPHOSYS an Annual License Fee of […***…] payable within forty-five (45) days after each such anniversary.
(b) CENTOCOR agrees to pay Annual License Fees to MORPHOSYS of […***…] per each of the […***…] Agreement Year, payable at the end of each of such Agreement Year, at the respective anniversary of the Effective Date (i.e., on […***…]) within forty five (45) days after each such anniversary.
Annual License Fees. For License Fees that are payable on an annual basis, as indicated in an Order Form, License Fees for the first year of the Term are due and payable upon the Effective Date and, thereafter, on the anniversary of the Effective Date for the duration of the Term.
Annual License Fees. (a) In consideration of the license to use the Suite and, except as otherwise provided in the Agreement, the right to receive the other services and benefits granted to Licensee under the Agreement, Licensee shall pay Club the Annual License Fee for each Contract Year as set forth in Section 3 of the Agreement, and pursuant to the payment schedule set forth in Sections 3 and 4 of the Agreement.
(b) All payments by Licensee under the Agreement shall be made, without offset, deduction, counterclaim or withholding of any kind, (i) by check to Club at its address set forth in the Agreement, (ii) by wire transfer of immediately available funds to the account designated by Club, or (iii) by credit or debit card provided by Licensee, and Licensee expressly authorizes Club to automatically charge each installment to Licensee’s credit or debit card (together with any replacement cards, the “Card”) on the dates specified in Section 3 of the Agreement. Club reserves the right to charge an additional reasonable fee for any payments returned or denied for insufficient funds (including closed accounts). Time shall be of the essence with respect to each payment. Any agency fees or commissions and applicable taxes, surcharges and other charges (other than income taxes of Club) that may arise and are not included in the Annual License Fee shall be the sole responsibility of Licensee and shall be payable by Licensee by the deadline set forth by Club in an invoice to Licensee.
(c) If any amount payable by Licensee to Club under the Agreement is not paid when due, such amount shall bear interest until paid at a rate equal to the lesser of (i) 1.5% per month and (ii) the maximum rate permitted by law, and Club shall have the right to withhold any or all of the benefits granted pursuant to the Agreement during the period in which such amount remains unpaid. Club shall have no obligation to provide benefits withheld pursuant to the foregoing sentence at a later date, nor any obligation to provide any substitutions or any refund of or reduction in the Annual License Fees. Licensee shall pay Club on demand all reasonable attorney’s or other professionals’ fees and other costs and expenses incurred by Club to collect any payment due to Club under the Agreement following Licensee’s failure to make such payment as and when due.

Annual License Fees. Boat Owners shall pay ACL for the use of the slip space the sum of $300 for the boating season which shall commence on January 1, 2024, and end on October 1, 2024. This License Fee of $300 shall be payable on or before the first day of March of each year. The License Fee of $300 shall be payable on or before the first day of March 2024. The License Fee is non-refundable.
Annual License Fees. Annual License Fees are applicable to each Fiscal Year during the Term of the Agreement. Annual License Fees will be assessed each July 1 and divided into equal monthly installments for the duration of the Fiscal Year. Each monthly installment will be due and payable within thirty (30) days of the invoice date. If a Feature with Annual License Fees is activated in the middle of a Fiscal Year, the Annual License Fee will be prorated for the remaining months until the next July 1, and will be divided into equal monthly installments for the remaining duration of the Fiscal Year.
Annual License Fees. (a) As consideration for the license to purchase tickets to use the Seats for Jets Home Games and the other benefits granted to Licensee hereunder (other than those requiring an additional charge, such as post-season Jets Home Games and Stadium events other than Jets Homes Games), Licensee shall pay to JSD an annual license fee in an amount (the “Annual License Fee”) equal to the product of
(i) the per-seat Annual License Fee amount set forth in the Confirmation, subject to reasonable increases that JSD may implement for any given Contract Year by notice to Licensee and (ii) the quantity of Seats that are the subject of this Club Seat Agreement, as set forth in the Confirmation. Licensee shall pay the Annual License Fee for each Contract Year upon receipt of JSD’s invoice for that year’s Annual License Fee. Per Section 6(a), the Annual License Fee includes the cost of tickets for pre-season and regular season games, but does not include the cost of tickets for post-season games.
(b) All payments by Licensee under this Club Seat Agreement shall be made, without offset, deduction or counterclaim, by check, money order or credit card. Checks and money orders should be payable to the order of Jets Stadium Development, LLC and sent to Atlantic Health Jets Training Center, Xxx Xxxx Xxxxx, Xxxxxxx Xxxx, XX 00000 or pursuant to such other written instructions as may be given by JSD or any Assignee designated pursuant to Section 13(c). Credit card payments should be made by contacting the Jets Box Office at the phone number listed in the Confirmation or by such other means as JSD may specify from time to time by notice to Licensee.
Annual License Fees. Camper Owners shall pay ACL for the use of the site space the sum of $780 for the Camping season which shall commence on January 1, 2022 and end on December 31, 2022. This License Fee of $780 shall be payable on or before the first day of March of each year. The License Fee of $780 shall be payable on or before the first day of March, 2022.
