ARTICLE STANDBY Clause Samples

The 'Article Standby' clause establishes a temporary suspension or holding period for the application or enforcement of certain contractual provisions. In practice, this clause may be invoked when specific conditions arise, such as regulatory review, pending approvals, or unforeseen events that necessitate pausing obligations or rights under the agreement. Its core function is to provide flexibility and prevent parties from being unfairly bound or penalized during periods when performance or compliance is impractical or impossible, thereby managing risk and ensuring fairness in the contractual relationship.
