Assignment of Rights and Responsibilities. Guarantor may not assign its rights and responsibilities under this Guaranty without Landlord’s consent. Xxxxxxxxx agrees that this Guaranty shall inure to the benefit of and may be enforced by Xxxxxxxx and any of its successors, transferees and assigns under the Lease, and shall be binding upon and enforceable against Guarantor and its respective successors and assigns.
Assignment of Rights and Responsibilities. Neither Party may assign the Agreement, nor the rights and responsibilities based thereon to a third party without the prior written consent of the other Party. Notwithstanding the aforesaid, each Party has the right to assign their receivables under the Agreement to a third party. In addition to and after providing of a written notice to the Licensee, Netradar shall have the right to transfer its rights and responsibilities under the Agreement to such a third party to whom the business of Netradar related to this Agreement has been transferred.
Assignment of Rights and Responsibilities. No payment due the Subcontractor under this subcontract may be assigned without the prior approval of AHCCCSA. No assignment of the duties of this subcontract shall be valid unless prior written approval is received from AHCCCSA.
Assignment of Rights and Responsibilities a. The City hereby assigns to HSG the overall administrative overview and control of the Site to the extent that the same has been granted to the City by Section 2.01 of the Concession Agreement. HSG shall provide the City with at least bi-weekly reports regarding HSG’s activities undertaken pursuant to this subsection a. At the request of either party, the City and HSG shall meet and confer timely about matters relating to the Site.
i. HSG’s rights under this subsection include engaging with Tufton on matters relating to the parties’ respective rights and obligations under the Concession Agreement.
b. The City hereby assigns to HSG the exclusive rights and responsibilities to schedule, use and manage the Site on all days that are not available for Franchisor Events under Sections 4.02 and 4.03 of the Concession Agreement (“Franchisor Events”) and would otherwise be available for use by the City for City Events and Community Activities as defined in Section 4.01 and 4.05 of the Concession Agreement ("City Events").
c. Notwithstanding Section 2.b., the City may schedule and use, without payment of any cost, fee or charge to HSG, the Parking Facilities for training and other similar City government related activities on any day that the Site is not in use for a Franchisor Event or other activity or event previously scheduled by HSG. The City shall provide HSG with reasonable advance notice of the City's desire to schedule and use the Site as provided in this subsection. HSG shall honor the City's request unless HSG or Tufton previously has scheduled the use of the Site.
d. HSG shall schedule, use and manage the Site pursuant to and in accordance with the City’s rights and obligations under the Concession Agreement and the Parking Easements.
e. HSG shall use commercially reasonable efforts to use and manage the Site in a safe manner, consistent with stadium and event management standards for comparable types of venues and facilities.
f. HSG shall ensure that Tufton adheres to and fulfills its duties and responsibilities under the Concession Agreement. HSG shall consult with the City if HSG believes that Tufton is not fulfilling its duties and responsibilities under the Concession Agreement. HSG and the City jointly shall develop a plan for addressing HSG’s concerns and any Tufton defaults. Unless HSG and the City agree otherwise, HSG shall implement the joint plan.

This Subordination Agreement shall inure to the benefit of and may be enforced by Landlord and its successors and assigns under the Lease, and shall be binding upon and enforceable against Tenant and Manager and each of their respective successors and assigns.
