Buyer’s Service Clause Samples
The "Buyer's Service" clause defines the obligations and scope of services that the buyer is responsible for providing under the agreement. Buyer’s Service. 15.3.1 From the date of arrival of the first of the Seller’s Representative(s) specified in sub-Clause 15.1.1, the Buyer or its Operator shall provide or shall cause to be provided without charge secretarial assistance, suitable space, office equipment and facilities in or conveniently near the Operator's maintenance facilities. The Buyer or its Operator shall provide or shall cause to be provided telecommunications facilities at the Seller's cost to be invoiced on a monthly basis.
15.3.2 In accordance with the Operator's regulations, the Operator shall provide or shall cause to be provided at no charge to the Seller:
(i) airline tickets in business class confirmed and guaranteed between the locations mentioned above in sub-Clause 15.1 and the international airport nearest Toulouse, France, that is on the Operator's network for the Customer Support Representatives mentioned in sub-Clause 15.1.
1. When the use of the Operator's route network is not feasible or practical, the Operator shall reimburse the Seller for business class travel on other airlines; and
(ii) when said Representatives are assigned away from the locations mentioned above in sub-Clause 15.1 at the Operator's request, transportation between the said locations and the place of assignment.
15.3.3 The Buyer, or its Operator as the case may be, will give the Seller all necessary reasonable assistance with general administrative functions specific to the Buyer's or Operator’s country and procurement of the documents necessary to live and work there. Failure of the Seller, after diligent efforts, to obtain the necessary documents will relieve the Seller of any obligation to the Buyer under this Clause 15. The Buyer or its Operator shall reimburse to the Seller charges, taxes, duties, imposts or levies of any kind whatsoever, imposed by authorities of the Buyer’s country upon: - the entry into or exit from the Buyer’s country of the Seller’s personnel; - the entry into or the exit from the Buyer’s country of the Seller’s Representatives and their property; - the entry into or the exit from the Buyer’s country of the Seller’s property.
Buyer’s Service. For as long as the Customer Support Representative(s) specified in Subclause 15.1.1 above remain(s) with the Buyer, the Buyer will furnish without charge, suitable office space, office equipment and facilities in or conveniently near the Buyer's maintenance facilities. The Buyer will provide telecommunications facilities at the Seller's cost to be invoiced on a monthly basis.
Buyer’s Service. 15.5.1 From the date of arrival of the first Resident Customer Support Representative and Spare Parts Field Representative and until the duration of the assignment, the Buyers will provide free of charge, suitable office space, office equipment and facilities for the sole use of the Resident Customer Support Representative(s) in or conveniently near the maintenance facilities of one of the Buyers. The Buyers will also provide internet access, telephone, and facsimile connections at the Seller's cost to be invoiced on a monthly basis.
15.5.2 In accordance with the Buyers' regulations, the Buyers will provide at no charge to the Seller
(i) airline tickets in economy class, confirmed and guaranteed between the locations mentioned above in Clause 15.1 and the international airport nearest Toulouse, France, that is on any Buyer's network for the Resident Customer Support Representative(s) and the Spare Parts Field Representative mentioned in Clause 15.2.1 and 15.4, for travel at the beginning and end of the applicable assignment; and
(ii) when said Resident Customer Support Representative(s) are assigned away from the locations mentioned above in Clause 15.2.1 at the Buyers' request, transportation on similar basis between the said locations and the place of assignment.
15.5.3 The parties will give each other all necessary reasonable assistance with general administrative functions specific to their respective countries and procurement of the documents necessary to live and work there.
Buyer’s Service. 15.3.1. From the date of arrival of the first of the Seller’s Representatives specified in sub-Clause 15.1.1 above the Buyer shall [*], a suitable office, conveniently located with respect to the Buyer’s maintenance facilities, with complete office furniture and equipment including telephone, telefax and SITA connection for the use of the Seller’s Representatives. Buyer’s Service. 15.5.1 From the date of arrival of the first Resident Customer Support Representative and until the duration of the assignment, the Buyer will provide **, suitable office space, office equipment and facilities for the sole use of the Resident Customer Support Representative(s) in or conveniently near the maintenance facilities of the Buyer. **
Buyer’s Service. 15.3.1 From the date of arrival of the first of the Seller’s Representatives and for the duration of the assignment, the Buyer or its Operator (as applicable) shall provide free of charge a suitable lockable office, conveniently located [***] Confidential treatment requested by AerCap Holdings N.V. with respect to the Buyer’s or Operator’s (as applicable) maintenance facilities, with complete office furniture and equipment for the sole use of the Seller’s Representatives. The Buyer or its Operator (as applicable) shall provide or cause to be provided telecommunications facilities.
15.3.2 In accordance with the Operator’s regulations, the Buyer or its Operator (as applicable) shall provide at no cost to the Seller:
(a) airline tickets in business class confirmed and guaranteed between the locations mentioned in Clause 15.1 and 15.2 and the international airport nearest Toulouse, France that is on the relevant Operator’s network for the Seller’s Representatives mentioned in Clause 15.1 or Clause 15.
Buyer’s Service. 15.3.1 From the date of arrival of the first of the Seller's Representatives and for the duration of the assignment, the Buyer shall provide free of charge a suitable lockable office, conveniently located with respect to the Buyer's maintenance facilities, with complete office furniture including telephone and facsimile connections for the sole use of the Seller's Representatives, and with access to relevant office equipment.
15.3.2 Should the Buyer request any of the Seller's Representatives referred to in Clause 15.2 above, to travel on business to a city other than his usual place of assignment, the Buyer shall be responsible for reasonable related transportation costs and expenses.
15.3.3 The Buyer shall assist the Seller to obtain from the civil authorities of the Buyer's country those documents which are necessary to permit the Seller's Representatives to live and work in the Buyer's country.
15.3.4 The Buyer shall reimburse to the Seller charges, taxes, duties, imposts or levies of any kind whatsoever, imposed by authorities of the Buyer's country upon : - the entry into or exit from the Buyer's country of the Seller's Representatives and their families, - the entry into or the exit from the Buyer's country of the Seller's Representatives and their families' personal property,

(i) airline tickets * confirmed and guaranteed between the locations mentioned above in Subclause 15.1 and the international airport nearest Toulouse, France, that is on the Buyer's network for the Customer Support Representative(s) mentioned in Clauses 15.1.1 and 15.1.2; and
(ii) when said Customer Support Representative(s) are assigned away from the locations mentioned above in Clause 15.1 at the Buyer's request, transportation on a space-available coach class basis between the said locations and the place of assignment.
15.3.3 The parties will give each other all necessary reasonable assistance with general administrative functions specific to their respective countries and procurement of the documents necessary to live and work there.
Buyer’s Service. 15.3.1 From the date of arrival of the first of the Seller’s Representatives and for the duration of the assignment, the Buyer or its Operator (as applicable) shall provide free of charge a suitable lockable office, conveniently located with respect to the Buyer’s or Operator’s (as applicable) maintenance facilities, with complete office furniture and equipment for the sole use of the Seller’s Representatives. The Buyer or its Operator (as applicable) shall provide or cause to be provided telecommunications facilities.
15.3.2 In accordance with the Operator’s regulations, the Buyer or its Operator (as applicable) shall provide at no cost to the Seller:
(a) airline tickets in business class confirmed and guaranteed between the locations mentioned in Clause 15.1 and 15.2 and the international airport nearest Toulouse, France that is on the relevant Operator’s network for the Seller’s Representatives mentioned in Clause 15.1 or Clause 15.
Buyer’s Service. 15.2.1 For as long as the Customer Support Representative(s), specified in Subclause 15.1.1 above remain(s) with the Buyer, the Buyer shall furnish without charge secretarial assistance, suitable space, office equipment and facilities in or conveniently near the Buyer's maintenance facilities. The Buyer shall provide telecommunications facilities at the Seller's cost to be invoiced on a monthly basis.
15.2.2 In accordance with the Buyer's regulations, the Buyer shall provide at no charge to the Seller:
(i) for the Customer Support Representatives mentioned in Subclause 15.1.1, confirmed and guaranteed airline tickets between the locations mentioned above in Subclause 15.1 and the international airport nearest Toulouse, France, in business class on international routes and in coach class on domestic routes; and
(ii) when said Customer Support Representatives are assigned away from the locations mentioned above in Subclause 15.1 at the Buyer's request, transportation between the said locations and the place of assignment.
15.2.3 The Buyer shall give the Seller all necessary reasonable assistance with general administrative functions specific to the Buyer's country and procurement of the documents necessary to live and work there. Failure of the Seller to obtain the necessary documents, after using its best efforts to do so, will relieve the Seller of any obligation to the Buyer under this Clause 15.
