Calculation of Cost. A. Except as otherwise provided In Section IX(E), all prices to ARAMARK for products, including without limitation, substitute products and products not listed in a price order guide, will be calculated on SYSCO's cost (hereinafter defined), plus a defined margin based on product type, as more fully provided In Section IX.

Calculation of Cost. The cost of Services provided to EEI will be calculated, based on individual projects or jobs, according to the following guidelines: A. Labor Labor costs billed for Services provided include salaries and related direct labor costs for employees. 1. Direct Labor Direct labor costs will be based on actual gross wage rates of employees assigned to perform services multiplied by the actual number of hours actually worked. These direct labor hours will be recorded on time reports.

Notwithstanding Buyer's internal cost allocation system, all elements of indirect labour such as shop cleaning, workplace maintenance, material handling, overtime premium, idle time and inventory control or labour resulting from damage, misdiagnosis (no fault found) or misuse shall be excluded from the calculation of Airframe direct maintenance man-hours; and 3.2 Airframe Direct Maintenance Material Cost ("ADMMC") The ADMMC is defined as the annual cost of material consumed, which excludes initial provisioning purchases, for the direct airframe maintenance of the Aircraft, -less any transportation, duties, taxes or license fees. Notwithstanding Buyer's internal cost allocation system, all elements of indirect material such as cleaning supplies, consumable tools, hydraulic fluids, oils and greases, welding supplies, sealants, paints, protective coatings, adhesives or material resulting from damage, misdiagnosis (no fault found) or misuse are excluded from the calculation of ADMMC.

Omitted portions have been filed separately with the Commission. 1. Occam Obligations (a) Primary Responsibility for customer BLC Support. Occam shall provide primary technical support services to customers for Tellabs Products sold under this Agreement, including but not limited to the following: (i) Provide Tier 1 and Tier 2 Support to customers as described in this Exhibit C; (ii) Interface with Tellabs for Tier 3 Support as described in this Exhibit C; (iii) Deliver onsite support resources to customers as required; (iv) If possible, and with assistance from Tellabs Tier 3 Support, recreate and solve problems through use of equipment in Occam’s support lab; and (v) Provide properly trained Occam technical staff to provide effective Tier 1 and Tier 2 Support to customers. (b) Tier 1 Support. Occam shall provide all Tier 1 Support to customers. Tier 1 Support is defined as the initial response to customer queries and problem reporting. This involves collecting failure data, determining the event site, and collecting product and warranty information. Additionally Tier 1 Support begins the troubleshooting process to determine the appropriate resolution path. (c) Tier 2 Support. Occam shall provide all Tier 2 Support to customers. Tier 2 Support is defined as the second phase of problem isolation, in which Occam shall work directly with the customer’s technical staff to perform troubleshooting processes. Occam shall use commercially reasonable efforts to identify, isolate, and resolve customer’s reported problem, including, but not limited to, repairing or replacing defective Tellabs Products.
