Chief Operations Officer. The Chief Operations Officer shall have general and active management and control of the operations of the Company, subject to the control of the CEO and the Board.
Chief Operations Officer. The Chief Operations Officer shall be elected and replaced, at any time, by exclusive appointment of LATAM. The persons then appointed shall be elected for the position as Chief Operations Officer at the Board of Directors’ Meeting of NET SERVIÇOS, observing the majority required under the terms of the Clause 5.7 hereof. (vi) Hold the Company’s operations leadership team accountable for performance targets and annual program development goals, including necessary planning and monitoring. (vii) Consistent with the Authority’s strategic objectives, hone the metrics and measurements that will quantify the Company’s performance and operationalize a system for obtaining and reporting those metrics and measurements. (viii) Analyze, manage, monitor and report on the Company’s programmatic work to the Executive Director and the Board of Commissioners of the Authority. (ix) Oversee the performance of the General Manager of HRCP II, L.L.C., a Virginia limited liability company and wholly-owned Subsidiary of the Company (“HRCP”), and all other Subsidiaries of the Company, HRCP or any of their Subsidiaries. (x) Be responsible for the day to day management of the Authority’s Port Facilities as determined by the Member. (xi) Be responsible for ensuring compliance with applicable statutes, regulations, guidelines and Company policy.
