Code of Conduct for Suppliers. The Supplier undertakes to comply with the principles and requirements of the "Code of Conduct for Suppliers of the Xxxxxx Group" in its current revision, available at xxxxx://xxx.xxxxxxx.xxx/fileadmin/Media/Images/Arti cles/Wir/Einkauf/downloads/Code_of_conduct/Code_ of_Conduct_for_Suppliers_EN.pdf The Supplier shall comply with the laws of the applicable jurisdictions, in particular those of the country of manufacture and destination. The Supplier shall neither actively nor passively, directly or indirectly, participate in any form of bribery, violation of the human rights of his employees or child labor. Furthermore, the Supplier will assume responsibility for the health and safety of his employees in the workplace, observe environmental protection laws and promote and demand compliance with this Code of Conduct from his suppliers to the best of his ability. The Supplier shall document compliance with the aforementioned principles and requirements by means of suitable business documents and make them available to the Buyer upon request and shall also use the database platform provided by the Buyer for this purpose. The Supplier agrees to a review of the obligations arising from the "Code of Conduct for Suppliers of the Xxxxxx Group", also on site at the relevant locations, and will provide appropriate support to the Buyer for reviews at its own expense. If there is any suspicion that the Supplier is not complying with the above principles and requirements, the Supplier shall provide the Buyer with comprehensive information on the specific facts upon request. If the Supplier culpably violates the aforementioned principles and obligations, the Buyer shall be entitled, without prejudice to further claims, to withdraw from the contract or to terminate the contract without notice after the unsuccessful expiry of a reasonable period of time to remedy the violation of obligations.
Code of Conduct for Suppliers. The Principal Recipient shall ensure that the Global Fund's Code of Conduct for Suppliers, as amended from time to time, (the “Code of Conduct") shall be communicated to all bidders, suppliers, agents, intermediaries, consultants and contractors (the “Suppliers”). If the Supplier negligently infringes these obligations, the Customer is entitled, regardless of further claims, to withdraw from or ter- minate the contract. If elimination of the infringement of the obligation is possible, the Customer may only exercise this right when he has granted the Supplier a period of grace to eliminate the infringement of the obligation which has lapsed without success.

Code of Conduct for Suppliers. For each Program, the Grantee shall take all appropriate and necessary actions to ensure that the Code of Conduct for Suppliers, of which all the provisions are hereby incorporated herein by reference in their entirety as if they were fully set forth herein, is communicated to each and all Suppliers. The Grantee acknowledges and agrees, and shall cause the Principal Recipient to acknowledges and agree, that in the event of non-compliance by a Supplier with the Code of Conduct for Suppliers, to be determined by the Global Fund at its sole discretion, the Global Fund shall have the right to (a) restrict the use of relevant Grant Funds so as not to fund the contract between the Principal Recipient (or, as the case may be, the Sub-recipient) and the Supplier in question or (b) seek a refund from the Grantee in the event that the payment has already been made to the Supplier in question.
