Conditions of Admission. 3.1 Your admission to the College, attendance on a programme, and right to enjoy any of the privileges of being a student of the College, including access to services and facilities, is subject to you complying with the terms of the Contract and registering with the College. 3.2 You must use all efforts to fulfill all the academic requirements of your programme in accordance with the terms of the Contract, including submission of programme work and other assignments, attendance at examinations and attendance at lectures, seminars and any other such teaching sessions provided by the College. 3.3 If you do not act in accordance with this Contract, or any of the documents referred to in it, the College may take disciplinary action against you under the College's Conduct Review Procedures. 3.4 By accepting an Offer you are confirming that you have no unspent criminal convictions (excluding motoring offences) that you have not previously declared through the application process. If this is not the case you must notify the College via xxxxxxxxxx@xxxxxxxxx.xx.xx prior to enrolment so that the College can consider whether such convictions are compatible with being a student of the College and, in particular, with a place on your programme. For some programmes disclosure of spent convictions may also be required, as specified by Admissions. 3.5 If you commit an offence whilst you are an enrolled student, this will need to be declared to the College’s Welfare and Conduct Panel as it may affect your place at College, see the Conduct Review Procedures.

Conditions of Admission. Each Assignee as a condition to its admission as a Substituted Member shall execute and acknowledge such instruments, in form and substance satisfactory to the Managing Member, as the Managing Member reasonably deems necessary or appropriate to effectuate such admission, including a counterpart to this Agreement.

Such opinion shall be (i) obtained at the expense of the transferor, (ii) from counsel acceptable to the Manager, and (iii) to the effect that such Transfer (w) may be effected without registration of the Units under the Securities Act of 1933, as amended, (x) does not cause the violation of any state or federal securities law (including any investment suitability standards) applicable to the Company, (y) does not have any adverse tax result for the Company, the Manager or the Members, and (z) shall not cause the Company or any entity in which the Company invests to be subject to any additional regulatory requirements (including, without limitation, those imposed by ERISA, or the registration requirements of the Investment Company Act of 1940, as amended, or to lose the “safe harborexemption from such registration which relates to the number of investors); (iv) the transferee must have executed such other documents and instruments as the Manager may deem reasonably necessary to effect the admission of the transferee as a Member; and (v) the transferee or the transferor must have paid the expenses incurred by the Company in connection with the admission of the transferee to the Company. A Person who acquires any Units but who is not admitted as a Member pursuant to this Article Six (such Person an “Unadmitted Assignee”) shall be entitled only to distributions pursuant to Articles Four and Eight with respect to such Units as if a Member and on the same basis as the Members. By using this ticket and attending the Event, or otherwise being in, upon, or about the Racetrack, the Holder, on their behalf and on behalf of any Accompanying Parties, agrees to the following terms and conditions set forth in this Agreement. The Holder is solely responsible for reading and understanding this Agreement before using this ticket. This ticket grants to the Holder a revocable personal license, which is not transferable and may be terminated at any time by LATC by refunding the purchase price of this ticket to the original purchaser. In addition, LATC reserves the right, without refund of any portion of the purchase price, to revoke the license granted by this ticket and refuse admission or eject any person: (i) who violates the terms of this Agreement; (ii) who appears to be or is intoxicated; (iii) whose conduct is deemed by LATC to be improper, disorderly, or unbecoming; (iv) who uses vulgar or abusive language; (v) who, in the sole judgment of LATC is engaging in activity or causing a disturbance that prevents other attendees from fully enjoying the Event; or (iv) who is not permitted to be at the Racetrack by applicable law, rule, or regulation. Without limiting the foregoing, the foregoing in no way restricts or limits LATC’s ability to permanently exclude a person from the Racetrack. All Event times are subject to change. b. The Holder, on their behalf and on behalf of any Accompanying Parties, agrees that: (i) they shall not transmit or aid in transmitting any information about the Event, including, but not limited to, any account, description, picture, video, audio, reproduction, and/or any other information concerning the Event (collectively, the “Event Information”); (ii) LATC is the exclusive owner of all copyrights and other intellectual and property rights in the Event and Event Information; and (iii) LATC, and each of its respective past, present, and future subsidiaries, affiliates, agents, officers, employees and owners (collectively, the “LATC Entities”) and the broadcast rights holders and certain current and future sponsors and licensees of such LATC Entities, shall have the unrestricted right and license to use and exploit, without compensation, the Holder’s image, name, voice, likeness, and/or other proprietary or public rights, and/or those of any Accompanying Party, as they appear in any live or recorded telecast, broadcast, film, photograph, video, audio, audiovisual, or other recording made in connection with the E...

Conditions of Admission. 4.1 Even though an Admission Application Form has been completed and signed by the Parents, and signed by or on behalf of the School Providers, and even though this Contract has been signed by the Parties, a Learner will not be allowed to attend the School at the beginning of a School Term or, unless provided differently by court order or legislation, at the beginning of any academic year until all amounts which are due for payment before the beginning of such School Term or, in the case of an academic year, all Overdue Amounts plus any Default Interest or Lower Interest which remains unpaid from the previous academic year by the Parents in terms of this Contract, including any Deposit (if applicable) and Fees have in fact been paid and such Learner (assisted by the Parents) has signed all forms which the Learner is required to sign (in accordance with the requirements of the Schools Act) in relation to the School Rules, bullying, drug and alcohol abuse and/or in relation to any matter prescribed by the Schools Act. 4.2 Subject to the provisions of this Contract, the admission of the Learner to the School will continue for 1 (one)academic year, at which time the Learner’s admission will automatically terminate. Learners must re- apply foradmission on an annual basis. The Education Provider reserves the right not to readmit a Learner. Reasons why a Learner is not readmitted will be provided to the Parents. 4.3 School attendance by the Learner is compulsory in terms of the Schools Act. The School must therefore be provided with any information required in respect of casual or prolonged absence from the School by the Learner. The School must be notified by the Parents of any absence of the Learner from the School by no later than 9.00 a.m. on the first day of such absence and of the period that the Learner will be absent. Should the period of absence change or be prolonged, the Parents must notify the School immediately.

Conditions of Admission. Subject to the other provisions of this ----------------------- Article XI, a transferee of a Member Interest will be admitted as a Member only ---------- if the following conditions are satisfied: (i) The transferee accepts and agrees to be bound by the terms and provisions of this Agreement as a Member with respect to the Member Interest so transferred; (ii) A counterpart of this Agreement and such other documents or instruments as the Manager may reasonably require is executed by the transferee to evidence such acceptance and agreement; (iii) The transferee pays or reimburses the Company for all reasonable legal fees, filing and publication costs incurred by the Company in connection with the admission of the transferee as a Member with respect to the Member Interest so transferred; and (iv) If the transferee is not an individual, the transferee provides the Company with evidence satisfactory to counsel for the Company of the authority of such transferee to become a Member under the terms and provisions of this Agreement.
