Contract Design. The parties understand and acknowledge that the need for the Contract Services is episodic, but often time sensitive due to specific circumstances (e.g., vessel danger to people, property, environment). The parties further understand and acknowledge that the underlying competitive solicitation that resulted in the multiple Contract awards was designed to provide eligible Purchasers with competitive pricing for the Contract Services. Accordingly, as a procurement integrity matter, it is essential that Contractor both timely provide proposed Contract pricing for Purchaser work requests and that such pricing be independent and competitive.

Contract Design. 1.1 STATE-WIDE AGENCY CONTRACT FOR THE ELECTRICAL SERVICE AND REPAIR AT ALDOT FACILITIES WITH THE INDICATED COUNTIES. CONTRACT TO INCLUDE THE FOLLOWING PAY ITEMS: SERVICE CALL LABOR RATES FOR REGULAR TIME AND OVERTIME RATES. SERVICE AND REPAIR PARTS AND COMPONENTS 15% MARKUP. 1.2 THIS CONTRACT IS NOT TO BE USED FOR NEW CONSTRUCTION OR MAJOR RENOVATIONS IN EXCESS OF $15,000. THESE SERVICES SHALL BE PROCURED THROUGH AN INDIVIDUAL REQUISITION PROCESS. BY COMPETITIVE BID SOLICIATATION, AS REQUIRED UNDER CODE OF ALABAMA, TITLE 41 SECTION 16, OR IN ACCORDANCE WITH DECLARED EMERGENCY BID EXEMPTION PROCESSES. THE CONTRACT SERVICE PROVIDER WILL BE RESPONSIBLE FOR ASSISTING IN THE DEVELOPMENT OF COMPETITIVE BIDDABLE SPECIFICATIONS FOR SAID BID PROCESS.
Contract Design. The General Terms and Conditions set forth in this agreement (hereinafter referred to as „Agency GTC“) shall apply to all and any contracts between Liberty Holding … - a destination management company (so called DMC) - (hereinafter referred to as „Agency“) and its customers - (travel) organizers listed in - Our destinations | Liberty (xxxxxxx-xxx.xxx), and as may be amended from time to time, by Agency, at its sole discretion - (hereinafter referred to as „Client“) with the subject of the contract being Agency's assignment with the procurement of services from providers (i.e. location managers, hotels, caterer, artists, advertising partners) for the scope of the administrative conception, planning, organization, coordination and execution of a (travel) event in Agency's location of business operation/destination (hereinafter referred to as „Inland“), whereby event participants from foreign countries travel to the Inland in order to participate in the event. Agency will, in the course of the aforementioned, function in a role as an agency by procuring (touristic) event related services in Inland and/or abroad and will act on behalf of Client and securing potentially required permits in Client's name. Client shall be the direct contractual partner for the service providers as well as administrative and regulatory authorities. 1.1. The Agency GTC shall prevail the contractual relationships with companies in the business-to-business (B2B) marketplace. Enterprises are natural or legal entities or business partnerships between natural and/or legal persons, vested with legal capacity, who in the course of a legal transaction act within and for the exe-cution of their commercial or professional activity, in particular companies, merchants, corporate bodies under public law and special assets under public law. 1.3. In case Agency and Client will, in form of an agency contract or an appendix to such agency contract, conclude an agreement on terms and conditions deviating from the Agency GTC set forth in this blanket agreement, such specific provisions shall take precedence over the respective provisions of the Agency GTC. Any conclusion of contracts between Agency and Client with regards to the mutual services to be per-formed as well as modifications and/or amendments thereto shall require the written form.

In case Agency and Client will, in form of an agency contract or an appendix to such agency contract, conclude an agreement on terms and conditions deviating from the Agency GTC set forth in this blanket agreement, such specific provisions shall take precedence over the respective provisions of the Agency GTC. Any conclusion of contracts between Agency and Client with regards to the mutual services to be performed as well as modifications and/or amendments thereto shall require the written form.

  • Project Design Applicants must design a project that provides access to health services to enable eligible women and men experiencing health needs to secure and maintain safe and accessible quality screening and diagnostic services, comprehensive family planning, and/ or other women’s health services. A. Applicants are encouraged to emphasize the following components in the design of their projects. Projects must: 1. Use a collaborative approach to maximize existing community resources and avoid duplication of effort; 2. Enhance systems and local processes to make it easier for people to transition to, from, and between services; 3. Address barriers to ensure services are accessible to people regardless of setting or location; and 4. Promote improvement and positively impact health and well-being through coordinated service delivery. B. To be effective, services and activities provided or made available as part of the Proposed Project should have policies and procedures in place and include with the application as an attachment that: 1. Delineate the timely provision of services; 2. Deem Client eligibility and service provision as soon as possible and no later than 30 calendar days from initial request; 3. Require staff to assess and prioritize Client needs; 4. Implement with model fidelity to an evidence-based program or based upon best available research; 5. Plan in partnership with the person and are inclusive; 6. Provide in an environment that is most appropriate and based on a person’s preference including reasonable clinic/reception wait times that are not a barrier to care; 7. Provide referral sources for Clients that cannot be served or receive a specific service; 8. Are culturally and linguistically sensitive; 9. Tailor services to a person’s unique strengths and needs; 10. Manage funds to ensure established Clients continuity of care throughout budget year; 11. Continue to provide services to established Clients after allocated funds are expended; 12. Have processes to identify and eliminate possible barriers to care; 13. Do not deny services due to inability to pay; 14. Have appropriate key personnel and required staff to meet the medical and health needs of Clients; 15. Bill services appropriately and timely through TMHP; 16. Effectively communicate and document information related to health care needs with next steps available to Client; 17. Establish outreach and education plan for the community; and 18. Outline successful delivery of direct clinical services to Clients By submitting an Application under this RFA, the Applicant certifies that Applicant has or will have at time of grant award services, policies, or procedures that conform with the requirements in this section as applicable. HHSC, in its sole discretion, may request to review relevant documentation during the project period as necessary to ensure program fidelity.

  • Contract Deliverables The Contractor shall provide information technology staff augmentation services, including comprehensive management of staff, as set forth in this Contract. The term “staff” refers to the temporary staff provided by the Contractor to render information technology services identified by Customers, but that staff shall not be deemed an employee of the State or deemed to be entitled to any benefits associated with such employment. Contracts resulting from this solicitation should not be structured as fixed-price agreements or used for any services requiring authorization for payment of milestone tasks. Contractor shall only provide information technology staff augmentation services for those Job Titles awarded to the Contractor and shall be paid on an hourly basis. The Department’s intent is for Contractor’s information technology staff to provide services closely related to those described in the Job Family Descriptions document. Detailed scopes of work, specific requirements of the work to be performed, and any requirements of staff shall be provided by the Customer in a Request for Quote. The Contractor shall possess the professional and technical staff necessary to allocate, outsource, and manage qualified information technology staff to perform the services requested by the Customer. The Contractor shall provide Customers with staff who must have sufficient skill and experience to perform the services assigned to them. All of the information technology staff augmentation services to be furnished by the Contractor under the Contract shall meet the professional standards and quality that prevails among information technology professionals in the same discipline and of similar knowledge and skill engaged in related work throughout Florida under the same or similar circumstances. The Contractor shall provide, at its own expense, training necessary for keeping Contractor’s staff abreast of industry advances and for maintaining proficiency in equipment and systems that are available on the commercial market. The Contractor shall be responsible for the administration and maintenance of all employment and payroll records, payroll processing, remittance of payroll and taxes, and all administrative tasks required by state and federal law associated with payment of staff. The Contractor shall, at its own expense, be responsible for adhering to the Contract background screening requirements, testing, evaluations, advertising, recruitment, and disciplinary actions of Contractor’s information technology staff. The Contractor shall maintain during the term of the Contract all licenses, permits, qualifications, insurance and approvals of whatever nature that are legally required to perform the information technology staff augmentation services.

  • Program Design The County Human Resources Department will operate a Catastrophic Leave Bank which is designed to assist any County employee who has exhausted all paid accruals due to a serious or catastrophic illness, injury, or condition of the employee or family member. The program establishes and maintains a Countywide bank wherein any employee who wishes to contribute may authorize that a portion of his/her accrued vacation, compensatory time, holiday compensatory time or floating holiday be deducted from those account(s) and credited to the Catastrophic Leave Bank. Employees may donate hours either to a specific eligible employee or to the bank. Upon approval, credits from the Catastrophic Leave Bank may be transferred to a requesting employee's sick leave account so that employee may remain in paid status for a longer period of time, thus partially ameliorating the financial impact of the illness, injury, or condition. Catastrophic illness or injury is defined as a critical medical condition, a long-term major physical impairment or disability which manifests itself during employment.

(b) The parties acknowledge and agree that: (i) any wording contained in a Scope of Works is established by the Customer, is customisable and within the Customer's absolute control; (ii) Users make decisions within ProcurePro on how to draft Scope of Works and ProcurePro is not responsible for those decisions; (iii) the Supplier is not liable for the Customer's use or reliance upon any Scope of Works; and (iv) the Supplier is not responsible for controlling the use, copying, modification or export of a Scope of Works by any User to which the Customer allows access to that Scope of Works.
