Convention Center. An establishment developed primarily as a meeting facility and for related activities. A facility that supports the rental, storage, service, and preparation of motor vehicles for multiple rental car companies at the airport. These facilities typically include offices, customer amenities, parking, cleaning/service equipment, and fueling systems.
Convention Center. (a) Owner has constructed the Eastside Convention Center upon the Eastside Convention Center Land. Nothing contained herein shall affect or be deemed to affect the Parties’ and their Affiliates’ respective rights and obligations under any of the Other Leases (as such term is defined in the Las Vegas Lease).
(b) Notwithstanding anything to the contrary contained herein, during the Lockout Period, Owner shall be prohibited from selling, disposing, conveying or otherwise transferring all or any portion of the Eastside Convention Center Land or permitting the sale, disposition, conveyance or other transfer of any direct or indirect membership, partnership or other equity interest in Owner, including, without limitation, pursuant to a lease of the Eastside Convention Center Land and/or the Eastside Convention Center (other than the granting of any Use Rights) (collectively, “Transfers”), except such prohibition shall not apply to (i) Transfers to Affiliates of Owner, (ii) Transfers to a Person which is not an Affiliate of Owner that acquires (or whose Affiliate acquires) HLV Tenant’s interest in the HLV Property, including, without limitation, any direct or indirect membership, partnership or other equity interest in HLV Tenant so long as, during the Lockout Period, the owner of the Eastside Convention Center Property and the tenant with respect to the HLV Property under the Las Vegas Lease shall be the same Person or Affiliates of each other, or (iii) Transfers (including pursuant to a deed of trust) to VICI or any of its Affiliates; provided, however, the foregoing does not prohibit Owner from granting a deed of trust on any portion of the Eastside Convention Center Property as security for any indebtedness obtained (x) in a bona fide third-party financing that is also secured by a deed of trust on HLV Tenant’s interest in the HLV Property in accordance with the terms of the Las Vegas Lease (provided that a memorandum of this Agreement is recorded in the Xxxxx County real estate records as contemplated in Section 7(m) prior to the execution of each such deed of trust) or (y) from VICI or any Affiliate of VICI.
Convention Center. 6.2.1. In addition to the Arena discussed in the Arena License Agreement, the City and the Host Committee will provide, for the exclusive benefit and use of DNCC and the Host Committee, at no charge to the DNCC, during the period from and including Local Time, 12:01 a.m. Saturday, September 1, 2012 through and including 11:59 p.m. Saturday, September 8, 2012, the license and privilege to use, for the sole purpose of conducting the Convention, all of those areas of the building known as the convention center (the “Convention Center Licensed Premises”) and all services, facilities, equipment and supplies normally furnished to those licensed to use such areas DNCC shall have the right to assign such areas to other users in its sole discretion. The Convention Center Licensed Premises shall be provided rent free, provided that the Host Committee shall be responsible for and shall pay to the City or its designee all costs of the DNCC’s use of the premises (“Event Costs”). The Event Costs shall be set forth with particularity in a separate license agreement, and include all labor costs to assemble and disassemble rooms, all food and beverage costs, and all costs for electrical and communications facilities required by the DNCC.
6.2.2. Neither the Host Committee nor the DNCC shall alter or modify any structure or permanent fixture of or within the Convention Center Licensed Premises without the express prior written consent of the City. The Host Committee shall be responsible, at its own expense, for removing any furniture, equipment, and supplies, for cleaning the premises and otherwise for restoring the Convention Center to its condition as of the first day of the Convention Period.
Convention Center. Developer shall cause the development of the Convention Center substantially in accordance in all material respects with the Convention Center Plans, within the timeframe described in Section 5.1 and in accordance with all the terms and conditions of this Agreement.
Convention Center. The provisions of Section 4.2 and each subsection thereof shall apply only to the Convention Center.
Convention Center. Either a certificate from Prudential in ----------------- substantially the form attached hereto as EXHIBIT CC or an update and ---------- restatement of the Agreement by and between Prudential and Massachusetts Convention Center Authority dated June 27, 1991, which conforms to the certification set forth in EXHIBIT CC; provided, however, that if Prudential ---------- ----------------- delivers the certificate set forth in EXHIBIT CC at the Closing, and thereafter ---------- obtains such update and restatement, Prudential's certificate shall, as of the date of such update and restatement, thereafter be without further force or effect.
Convention Center. The RVMA shall provide a Convention Center in the Resort Core. The Convention Center shall be as described in the RVMA master amenity plan. The Convention Center shall provide "state of the art" convention and meeting facilities and amenities. A study shall be presented by the RVMA to the BCC prior to the construction of the Convention Center for the purposes of discussing design options. The Facility shall, to the extent practicable, contain exhibition space nearby. A detailed proposal shall be submitted for a Low Impact Permit before construction may commence.
Convention Center. When Developer determines that the Convention Center is Complete, Developer will provide a copy of its certificate of occupancy or temporary certificate of occupancy to Authority, with a copy to the Administrative Agent, and the Authority shall confirm its Acceptance of the Convention Center within five (5) Business Days after Authority’s receipt of such copy of such certificate of occupancy or temporary certificate of occupancy.
Convention Center. The Organizing committee and GACC agreed to use the facilities of the _____________ Convention Center to host all meetings officially programmed during the entire duration of the 78th CISM General Assembly & Congress 2023. All costs related to the renting and operating of the convention center will be covered by the Organizing Committee. The Organizing Committee took note of all requirements related to the provision of meeting room equipment including translation requirements as they are listed in the CISM General Assembly Organization Guidelines.
Convention Center. The exhibitor assumes the entire responsibility and liability for losses, damages, and claims arising out of exhibitor’s activities on the Convention Center premises and will indemnify, defend, and hold harmless the Convention Center, its owner, and its management company, as well as their respective agents, servants, and employees from any and all such losses, damages, and claims.
