Customer’s Other Obligations. 8.1 The Customer shall not use or disclose any material and/or information on the Website pertaining to Business Internet Banking and/or the Services other than to access and use the Business Internet Banking and/or the Services. In addition, the Customer shall procure that none of the Customer Users shall use or disclose any material and/or information on the Website pertaining to Business Internet Banking and/or the Services other than to access and use the Business Internet Banking and/or the Services. The Customer further undertakes not to reproduce, sell, distribute or in any way whatsoever allow any third party access to the aforesaid material and/or information provided by the UOB Group Bank on or via Business Internet Banking. 8.2 The copyright in and to the contents of the Website (save for information pertinent to the Customer’s Account(s)) is owned by or licensed for use by the UOB Group Banks. No part or parts of such contents may be reproduced, distributed, published, modified, displayed, broadcasted, hyperlinked or transmitted in any manner or by any means stored in an information retrieval system without the prior written consent of the UOB Group Banks. The trade and service marks displayed on the Website are the sole and exclusive property of the UOB Group Banks and/or other relevant third parties. No right or licence is given for any reproduction or use of any such trade and service marks. 8.3 In the event that the Customer, or any of the Customer Users receives or retrieves any data or information from the Business Internet Banking and/or the Services that is not intended for the Customer, the Customer shall immediately notify the relevant UOB Group Bank, and procure that the UOB Group Bank is notified, of such receipt or retrieval of such information, and delete and destroy and procure the deletion and destruction of such information. 8.4 The Customer shall respond to all enquiries and communications from the UOB Group Bank regarding Business Internet Banking and the Services or any transaction effected or service provided through Business Internet Banking. 8.5 The Customer shall ensure that: (a) any person appointed by the Customer as the Customer User has sufficient knowledge and skill to properly operate and maintain all equipment and software installed or used by the Customer to enable the Customer to access and utilise Business Internet Banking and the Services; (b) every Customer User acquires full and complete knowledge of all fea...

Customer’s Other Obligations. 4.1. In addition to the obligations set out in Clause 3, the Customer must: 4.1.1. comply with the Service Level Agreement to the extent that the Service Level Agreement imposes obligations on the Customer; 4.1.2. co-operate and liaise with Looking Local and any third parties retained by Looking Local to perform any Services and as reasonably requested by Looking Local from time to time; and 4.1.3. if it becomes aware of any End User breaching any associated Terms of Use, the Customer will immediately provide Looking Local with details of the End User to enable Looking Local to deactivate that End User’s access to the Service. 4.2. The Customer shall not: 4.2.1. Copy (and shall not permit any third party to copy), adapt, reverse engineer, decompile, disassemble, modify, adapt or make error corrections to the Website or any Digital Services provided by Looking Local in whole or in part. 4.2.2. Reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services, use of the Services, or access to the Services. 4.2.3. Access all or any part of the Services in order to build a product or Service which competes with the Services. 4.3. The Customer may not use the Digital Services other than as specified in this agreement without the prior written consent of Looking Local, and the Customer acknowledges that additional fees may be payable on any change of use approved by Looking Local.
Customer’s Other Obligations. You must: (a) comply with the terms of a Service Agreement; (b) not allow a Service to be used in a way that is contrary to Law or is a nuisance; (c) comply with all Laws including the Privacy Act 1988; (d) give us all information, cooperation and assistance reasonably required for the purposes of a Service Agreement; (e) follow our reasonable directions; (f) maintain all permissions you require for the use of a Service; (g) comply with any Acceptable Use Policy issued by us; (h) respond to our requests and communications promptly; (i) not solicit any employee or contractor of ours to become an employee or contractor of yours; (j) indemnify us against Loss arising in connection with a negligent or wrongful act by you (including a breach of clause 23(n)) or your People including a breach of a Service Agreement; (k) indemnify us against any Claim by any person in connection with a Service (including infringement of IP Rights) except to the extent the Claim arises from a negligent or wrongful act by us or our People or a breach of a Service Agreement by us; (l) must comply with our System Requirements in order to use the Service; (m) ensure that your People do nothing that would breach a Service Agreement if done by you; and (n) ensure that you maintain the security and confidentiality of account login and password details.

Customer shall provide to SunGard access to the Customer's facilities, equipment and employees, and shall otherwise cooperate with SunGard, as reasonably necessary for SunGard to perform its implementation, training, support and other obligations under this Agreement.

(c) In the event that the Customer receives or retrieves any data or information through Perbadanan TAIB Digital Banking which is not intended for the Customer, the Customer shall immediately notify Perbadanan TAIB and procure the deletion and destruction of such information. (d) The Customer shall respond to all enquiries and communications from Perbadanan TAIB on any transaction effected or service provided through TAIB Digital Banking within the stipulated dates there to.
Customer’s Other Obligations. 4.1 Cooperation and Access to Facilities, Data and Employees. Customer shall provide to SunGard access to Customer's facilities, equipment, data and employees at reasonable times and upon reasonable notice, and shall otherwise cooperate with SunGard, as reasonably necessary for SunGard to perform its implementation, training, support and other obligations under this Agreement. Customer shall devote all equipment, facilities, personnel and other resources reasonably necessary to (a) implement the System Services and System, (b) be trained in the use of the System Services and System and (c) begin using the System and System Services in production on a timely basis as contemplated by this Agreement. SunGard shall not be responsible for any delays, costs, or increases in third party fees associated with Customer's failure to timely perform its obligations under this Section 4.

Customer shall be responsible, at its expense, for procuring and maintaining the computer hardware, systems software and other items which comprise the Specified Configuration (defined in Schedule A), and for updating the Specified Configuration in accordance with Licensor's published updates to Schedule A. If not yet completed, Customer shall complete its procurement and installation of the Specified Configuration(s) for the Initial Installation Site(s) at least fifteen (15) days before the Installation Date.
