Delivery Protocol. At the request of Nalcor, Emera shall enter into a delivery protocol not later than six months prior to the end of the Term, or such shorter period as may be appropriate in the circumstances, for the purpose of setting out the procedure to be followed and matters to be attended to in conjunction with the delivery of the Maritime Link to Nalcor at the end of the Term, which agreement shall be on mutually agreed terms and conditions. If either Party is unable to agree upon such terms and conditions, that Party may refer the matters in dispute for resolution as a Specified Dispute. Section 1.2(m)(i) applies to this Section 7.4(b).

Delivery Protocol. 11.1. On the Delivery Date of the Property to the Buyer the Buyer shall sign an approval confirming delivery of possession in the Property and a delivery protocol in the form customary in the Seller (hereinafter: the "Delivery Protocol") and in which the Buyer shall confirm in writing to the Seller that Buyer received the Property when the Property is built in accordance with the provisions set forth in this Agreement including Appendixes thereof and that the Buyer has no claims against the Seller and/or the Operating Contractor except for the defects and/or non-conformances the that Buyer notes explicitly in the Delivery Protocol. The Seller and/or the Operating Contractor and/or its representative shall specify in the Delivery Protocol the said defects and/or non-conformances in respect of which the Buyer argue that they require repair. It is hereby clarified that the registration of the defects and/or the signing of the Seller or its representative on the Delivery Protocol shall not constitute an admission and/or approval regarding any of the argued defects specified by the Buyer in the Delivery Protocol. 11.2. The signing of the Delivery Protocol in the manner specified in this Section by the Buyer shall constitute a prerequisite for the delivery of possession in the Property to the Buyer. In the event the Buyer refused to sign the Delivery Protocol, this shall not derogate from the status and weight of the Delivery Protocol however this shall be noted therein. 11.3. The Operating Contractor shall repair all defects as agreed between the parties in accordance with the Delivery Protocol within a reasonable time according to the circumstances of the case, considering, inter alia, the type and scope of the defect and the necessary repair. In the event the Seller or the Operating Contractor are of the opinion that there are defects that require immediate repair, the said repairs shall be made at the earliest opportunity, the said repairs shall be made promptly and the Delivery Date shall be delayed accordingly, at the discretion of the Seller or the Operating Contractor. 11.4. It is hereby clarified that in any event of a defect as aforesaid the Seller and/or the Operating Contractor shall be entitled to cause that the defect and/or the failure and/or the non-conformance will be repaired and the Seller and/or Operating Contractor shall not be obligated in any manner to cause the replacement of any product and/or accessory and/or item in which the defect wa...
Delivery Protocol. 5.6.1 The cost of suitable and proper packing fit for the intended purpose is included in the contract value. 5.6.2 The Seller will provide the Purchaser with the necessary delivery information and other data as may be reasonably required by the Purchaser. Such information will be submitted in Excel or PDF file format and by email. 5.6.3 Upon unwrapping each ERS at the Stores, Purchaser shall undertake a visual inspection of each shipment of ERS to assess if (i) there is any apparent shortage, damage, Defect or other discrepancy between the ERS delivered and the shipment’s bill of lading, the dispatch clearance certificate or product description and data sheets; and (ii) there is any discrepancy with the quantity of each product type required to be included in such delivery (“Discrepancy”). 5.6.4 If the Purchaser determines from any inspection that there is any Discrepancy, it shall submit a written notification of the same to the Seller (accompanied, except in the case of a shortage, by photographs or other suitable evidence clearly showing such Discrepancy) (a “Discrepancy Notice”) no later than fifteen (15) Business Days after date of such inspection. As of the date of any Discrepancy Notice, the ERS listed therein as having a Discrepancy shall be deemed “Rejected ERS”. 5.6.5 Upon receiving a Discrepancy Notice, the Seller shall immediately arrange for the shipment of the number of ERS required (a) in the case of a shortfall, to make up for such shortfall; and (b) in all other cases, to replace the Rejected ERS. Within three (3) Business Days after receiving such Discrepancy Notice, Seller shall notify Purchaser in writing of the delivery date of such make up or replacement ERS, which shall be no later than the one month from the date of such notification (the “Guaranteed Replacement Delivery Date”). 5.6.6 Each delivery of a ERS that is required to make up for a shortfall or replace a Rejected ERS, shall be considered a late delivery, if the Seller is unable to deliver such ERS on or prior to the Completion Date, and shall be subject to Delay Damages in manner identified in Clause 5.5 and which shall accrue from the original guaranteed Completion Date of the ERS (in the case of a shortfall) or the Rejected ERS, as applicable, until the actual delivery of such make up or replacement ERS. 5.6.7 The Purchaser shall make all Rejected ERS available for pick up by the Seller at the Site. Delivery Protocol. Contractor shall coordinate delivery times with the City of Milwaukee and the Joint MRF operator (i.e., ReCommunity) to maximize efficiencies at the truck scale and tip floor and minimize traffic back-ups.
