Duties and Extent of Service. As , you will report to and you will have responsibility for performing those duties as are customary for, and are consistent with, such position, as well as those duties that may be designated to you from time to time. As you know, your employment will be contingent upon your agreeing to abide by the rules, regulations, instructions, personnel practices, and policies of the Company and any changes therein that the Company may adopt from time to time, and your execution of the Company’s standard Nondisclosure, Developments, and Non-Competition Agreement.

Duties and Extent of Service. (a) During the Term, Executive shall serve as Chief Executive Officer and President of the Company and, in addition, in such other executive capacity or capacities for the Company, as may be commensurate with Executive’s seniority and experience and as determined by the Company’s Board of Directors (the “Board”). During the Term, the Company shall use its reasonable best efforts to ensure that Executive is re-elected as a director of the Company, and Executive agrees to serve in such capacity without additional compensation. (b) Executive shall report directly and exclusively to the Board and no other executive officer shall be appointed with authority over the business operations of the Company superior to that of Executive. (c) Executive shall perform such services and duties for the Company as are customarily performed by an executive in Executive’s position at a business such as the Company’s business and as the Board may assign or delegate to him from time to time. Executive shall devote his full business knowledge, skill, time and reasonable best efforts exclusively to the performance of his duties for the Company and the promotion of its interests; provided, however, that Executive shall be entitled to (i) engage in civic and charitable activities, (ii) manage passive personal investments, and (iii) with the consent of the Board (which shall not be unreasonably withheld), serve on the board of directors of corporations not in competition with the Company; provided further that none of the foregoing activities shall, individually or in the aggregate, interfere with Executive’s ability to devote the requisite time and effort to the performance of his duties and responsibilities under this Agreement. Executive’s duties hereunder shall be performed at such place or places as the interests, needs, businesses or opportunities of the Company shall require, as the Board may determine from time to time. The Board may determine that Executive shall perform some or all of his duties primarily at the Company’s corporate headquarters, and the Company and Executive agree that any such determinations by the Board shall constitute a material term of Executive’s duties under this Agreement.
Duties and Extent of Service. During the term of this Agreement, the Employee agrees to devote Employee's full business time energy and skill to the business of O2 and to the promotion of O2's interests as may be required for the fulfillment of Employee's obligations under this Agreement. Employee may provide services for third parties and engage in other employment so long as such other services and employment do not interfere with Employee's ability to provide the services set forth herein for O2 on a full-time basis, and the services do not violate any other covenant or obligation of the Employee herein. During the term of this Agreement, the Employee has a duty of loyalty to O2 and shall not engage in, or otherwise have an interest in, directly or indirectly, any other business activity that would adversely affect the Employee's ability to perform Employee's duties as set forth in this Agreement; provided, however, this constraint is not to be construed as preventing the Employee from investing Employee's assets in any form or manner that does not require any services on the part of the Employee and does not require Employee's operation of the affairs of the companies in which investments are made. Employee agrees that termination of Employee's employment, regardless of the method, reason or circumstances of such termination shall not relieve Employee of Employee's obligations under the restrictive covenants set forth herein.
Duties and Extent of Service. As Chief Scientific Officer of the Company, you have responsibility for performing those duties as are customary for, and are consistent with, such position, as well as those duties as the Company’s Board of Directors or Chief Executive Officer may from time to time designate. The Company is currently located in the Village of Oakwood, Ohio. The Company acknowledges that your primary residence is in Chagrin Falls, Ohio. If the Company relocates from the Village of Oakwood, Ohio, the Company shall provide you with relocation assistance as described below. In any event after the Closing Date, Employee shall not take any action inconsistent with Employee's relationship and responsibilities as an employee or the Company, or take any action which is intended, or may be reasonably expected, to harm the reputation, business, prospects, or operations of ACG.
Duties and Extent of Service. As Chief Scientific Officer of the Company, you will report directly to the President and Chief Executive Officer of the Company (the “Supervising Officer”) and you will have responsibility for performing those duties as are customary for, and are consistent with, your position with the Company, as well as those duties as the Supervising Officer or the Board of Directors of the Company (the “Board”) may designate. Your first date of employment was April 6, 2020. Your primary working location shall initially be your home; provided that if the Company were to establish an office no more than a 50 mile radius from the address set forth above, the Company shall be entitled to designate such location as your primary working location. Subject to the terms of this Agreement, the Company reserves the right to reasonably require you to perform your duties at places other than your primary working location from time to time and to require business travel. You agree to abide by the rules, regulations, instructions, personnel practices and policies of the Company and any changes therein that may be adopted by the Company. Except for vacations and absences due to temporary illness, you will be expected to devote your full-time business efforts to the business and affairs of the Company. Notwithstanding the foregoing, you may participate in outside charitable, civic, educational, professional, community or industry activities to the extent such activities do not individually or in the aggregate materially interfere with the performance of your duties to the Company as provided in this Agreement or create an actual or potential conflict of interest with the Company’s business; provided, further, that your service on any outside boards (whether for profit or non-profit) shall require the prior consent of the Supervising Officer. Any of your outside activities listed on Schedule 1 attached hereto shall also be deemed approved for purposes of this Agreement and shall not be a violation of your obligations in this paragraph.

Duties and Extent of Service. Efforts. Executive agrees to devote such working time, energy, knowledge, and efforts as Employer deems necessary to the performance and discharge of Executive's duties and responsibilities hereunder and such other reasonable duties and responsibilities as are assigned to him from time to time by the Board of Directors of Employer.
