Duties of Chief Executive Officer. The Chief Executive Officer shall preside at all meetings of the stockholders and at all meetings of the Board of Directors (if a director), unless the Chairperson of the Board of Directors has been appointed and is present. Unless an officer has been appointed Chief Executive Officer of the corporation, the President shall be the chief executive officer of the corporation and shall, subject to the control of the Board of Directors, have general supervision, direction and control of the business and officers of the corporation. To the extent that a Chief Executive Officer has been appointed and no President has been appointed, all references in these Bylaws to the President shall be deemed references to the Chief Executive Officer. The Chief Executive Officer shall perform other duties commonly incident to the office and shall also perform such other duties and have such other powers, as the Board of Directors shall designate from time to time.

Duties of Chief Executive Officer. Punch will employ Xxxxxxx as its Chief Executive Officer (from now referred to as CEO) during the Term of this Agreement. As part of his duties, Xxxxxxx shall also attend those educational, academic or philanthropic conferences related to Punch that Xxxxxxx or the Board of Directors determine are beneficial and appropriate. Xxxxxxx shall be responsible for the hiring and discharge of all Punch personnel and contractors, either directly or through his designees. Xxxxxxx shall also have the right and authority to contract and make other commitments on behalf of Punch consistent with its goals, missions, and the confines of Punch budget. Without limiting the foregoing, Xxxxxxx’ duties include but are not limited to: 1.1.1 Communicating the vision, mission and core values of Punch to the staff, to the community, to contributors, to governmental entities and to the public at large; 1.1.2 Acting as a positive force in the community consistent with the vision, mission and core values of Punch; 1.1.3 Working with the Chairman of the Board to establish Punch Board of Directors' meeting agendas; 1.1.4 Providing advice and counsel to Punch Board of Directors and its Committees; 1.1.5 Recruiting and managing the key (i.e., top) employees; 1.1.6 Orienting and training new and established employees; 1.1.7 Developing and evaluating Board of Director and key employees; and 1.1.8 Serving as Punch spokesperson with the media.

Except as set forth in Sections 3.10 and 3.11 above, the Chief Executive Officer shall have the power to do the following, without the consent of the Members or the Management Committee: 3.12.1 Control of the day-to-day operations of the Company; 3.12.2 Carrying out and affecting all directions of the Management Committee; 3.12.3 Providing for the accounting function for the Company; 3.12.4 Applying for and obtaining all appropriate insurance coverage; 3.12.5 Temporary investment of the Company's funds and short-term investments providing for appropriate safety of principal; 3.12.6 Engaging in any kind of activity and performing and carrying out all contracts of any kind necessary to, in connection with or incidental to the accomplishment of the purposes and business of the Company, so long as said activities and contracts are in the ordinary course of business; 3.12.7 Negotiate, execute and perform all agreements, and exercise all rights and remedies of the Company in connection with the foregoing; and 3.12.8 Providing quarterly and annual operating and financial reports to the Management Committee.

Duties of Chief Executive Officer. Subject to the control of the Management Committee and, within the scope of their authority, any committees thereof, the Chief Executive Officer shall: (i) have general and active management of all the business, property and affairs of the Company, (ii) see that all orders and resolutions of the Management Committee and the committees thereof are carried into effect, (iii) effectuate the business plan of the Company as set forth in the Annual Budget, (iv) appoint and remove subordinate officers, employees and agents, other than those appointed, approved or elected by the Management Committee, as the business of the Company may require, (v) act as the duly authorized representative of the Company in all matters, and in that capacity, execute agreements and other contracts on behalf of the Company, except where the Management Committee has formally designated some other person or group to act, and (vi) in general perform all the usual duties incident to the office of Chief Executive and such other duties as may be assigned to such person by the Management Committee. The Chief Executive Officer shall have the authority to make all decisions for the Company which are not reserved to the Management Committee or the Member pursuant to this Agreement.

Duties of Chief Executive Officer. If the corporation has a Chief Executive Officer, the Chief Executive Officer shall be the chief executive officer of the corporation and shall have all of the authority, powers and duties provided for or reserved to the President in paragraph (d) of this Section 5.02 in lieu of the President, and the President shall be the Chief Operating Officer of the corporation charged with the duty and power to manage the operations of the business of the corporation but subject to the overall direction of the Chief Executive Officer and the Board of Directors. In the absence or disability of the Chief Executive Officer, or in the event of his inability or refusal to act, the President shall perform the duties and have the authority and exercise the powers of the Chief Executive Officer.
