Education Service Provider. (ESP): A for-profit or non-profit organization that contracts with new or existing charter schools to provide services including, but not limited to curriculum design, professional development, student assessments, financial and operational management, facilities management, and human resources management, such as Education Management Organizations (EMOs), Charter Management Organizations (CMOs), Education Service Organizations (ESOs), and others.
Education Service Provider.
(a) The Organizer may enter into a management agreement with an Education Management Organization or Education Service Provider (“ESP”) to subcontract administrative, managerial or educational services only if the Organizer first complies with all applicable University Charter School Policies and this Charter. The Organizer must provide evidence satisfactory to the University that the Organizer has performed sufficient due diligence to establish that the ESP has the appropriate financial resources, educational services, and managerial experience to provide the contracted services and to support a finding that the ESP agreement will be in the best financial and educational interests of the Charter School.
(b) The Organizer must submit to the Executive Director of the OCS copies of any proposed agreement with an ESP or amendment or restatement to an agreement with an ESP for review and approval by the University prior to execution, as specified in University Charter School Policies, and it shall not enter into any such agreement that is disapproved by the University.
(c) Any management agreement with an ESP must comply with the University’s Policy as to Contracts with Education Service Providers and, in addition, contain language, in form satisfactory to the University, requiring the ESP to indemnify and hold the University, its trustees, officers, employees, agents and representatives harmless from all claims, demands, or liability, including attorney fees, and related expenses, on account of injury, loss or damages, including, without limitation, claims arising from bodily injury, personal injury, sickness, disease, death, property loss or damage or any other losses of any kind whatsoever and not caused by the sole negligence of the University, which arise out of or are in any manner connected with acts or omissions of the ESP in connection with the Charter School’s operations or which are incurred as a result of the reliance by the University or any of its trustees, officers, employees, agents or representatives upon information supplied directly or indirectly by the ESP.
(d) Any contract between the Organizer or the Charter School and an ESP must require the ESP to agree to, and comply with, the terms and conditions set forth in this Charter. The provisions of this Charter shall supersede any contrary or competing provisions contained in the contract between the Organizer or the Charter School and the ESP. Education Service Provider. Should the School decide to retain an Education Service Provider/Management Company (ESP) to conduct a significant portion of the School’s operation, the following terms shall apply.
A) The School shall submit a copy of any proposed contract for such services to the Sponsor at least thirty (30) days prior to the contract being executed. The School must clearly demonstrate that a performance based “arms-length” relationship will exist between the School and the ESP. The School shall also submit written documentation demonstrating due diligence in the selection process of an ESP, and in the negotiation of the proposed agreement, including documentation that the funds to be paid to the ESP are consistent with industry standards in the charter schools in the State of Florida. Any proposed contract shall clearly identify the amount the ESP is to be paid. Included with that contract will be a statement of the qualifications and the professional experience or competence of those individuals or the organization hired or retained to provide such services, and a clear description of their responsibilities.
B) Prior to entering into a contract with an ESP, the School must first obtain the Sponsor’s approval of the ESP. Such approval must be obtained from the School Board at an open meeting, but will not include any approval of the contract between the School and the ESP, as the Sponsor is not a party to that contract.
Education Service Provider. A) School Use of Education Services Provider (ESP)
i. The contract between the School and the education service provider/ management company (ESP) shall require that the ESP operate the School in accordance with the terms stipulated in this Charter and all applicable laws, ordinances, rules, and regulations. The contract between the School and the ESP shall allow the School the ability to terminate the contract with the ESP.
ii. No employee or staff member of the management company and/or education service provider shall become a member of the School’s governing board.
iii. The School Leader shall be evaluated by the School’s governing board.
iv. The contract between the ESP and the School’s governing board shall ensure that an “arms-length,” performance-based relationship exists between the governing board and the ESP.
v. The contract between the School and the management company shall require that the management company disclose to the School and the Sponsor, any affiliations with individuals or entities (e.g. lessors, vendors, consultants, etc.) doing business with the School.
vi. Any default or breach of the terms of this Charter by the management company shall constitute a default or breach by the School under the terms of the Charter between the School and Sponsor.
Education Service Provider. A) School Use of Education Services Provider (ESP)
i. The contract between the School and the education service provider/ management company (ESP) shall require that the ESP operate the School in accordance with the terms stipulated in this Charter and all applicable laws, ordinances, rules, and regulations. The contract between the School and the ESP shall allow the School the ability to terminate the contract with the ESP.
ii. No employee or staff member of the management company and/or education service provider shall become a member of the School’s governing board.
iii. The School Leader shall be evaluated by the School’s governing board. Moreover, the School’s governing board shall have the authority and power to dismiss the School Leader. The School Leader shall not own, operate, or serve as an officer of the management company that serves the School. The contract between the ESP and the School’s governing board shall ensure that an “arms-length,” performance-based relationship exists between the governing board and the ESP.
iv. The contract between the School and the management company shall require that the management company disclose to the School and the Sponsor, any affiliations with individuals or entities (e.g. lessors, vendors, consultants, etc.) doing business with the School.
v. Any default or breach of the terms of this Charter by the management company shall constitute a default or breach by the School under the terms of the Charter between the School and Sponsor.

Failure of the School to first obtain said approval shall be considered a material breach of this Charter.
C) The requirements of this section may be waived by the superintendent or designee upon written request of the School upon demonstration that the services to be provided by the ESP are de minimis when compared to the overall operation of School. The decision shall be made within the sole discretion of the superintendent or designee and not appealable.

This relationship shall be articulated in the public charter school application. FISCAL YEAR. October 1 through September 30. GOVERNING BOARD. The independent board of a public charter school that is party to the charter contract with the authorizer. For purposes of this Contract, the Governing Board is Woodlawn Community Charter School, an Alabama nonprofit corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code. A governing board shall have at least 20 percent of the membership of its board of directors be parents of students who attend or have attended the public charter school for at least one academic year. Before the first day of instruction, the 20 percent membership requirement may be satisfied by parents who intend to have their students attend the public charter school. LOCAL SCHOOL BOARD. A city or county board of education exercising management and control of a city or county local school system pursuant to state law. LOCAL SCHOOL SYSTEM. A public agency that establishes and supervises one or more public schools within its geographical limits pursuant to state law. A local school system includes a city or county school system. NATIONALLY RECOGNIZED AUTHORIZING STANDARDS. Standards for high-quality public charter schools issued by the National Association of Charter School Authorizers.
Education Service Provider. An entity with which a public charter school intends to contract for educational design, implementation, or comprehensive management.
