Operational Management. 7.1 The Authority authorises the Contract Manager to act as the Authority’s representative for the Contract and the Service Provider shall deal with the Contract Manager (or his or her nominated representative) in respect of all matters arising under the Contract, unless otherwise notified by the Authority save in respect of issues relating to variations to the Contract, any matter concerning the terms of the Contract and any financial matter (including the issues in Schedule 4) which shall be referred to the Procurement Manager.
7.2 The Service Provider shall, at the Authority’s request, provide promptly to the Authority at no additional cost such reports on the provision of the Services as the Authority may reasonably request.

Operational Management. 23.1 The Authority authorises the Engineer to act as the Authority’s representative for all purposes of this Contract and the Contractor will deal with the Engineer (or his or her nominated representative or assistant) in respect of all matters arising under this Contract unless notified otherwise.
23.2 The Contractor will appoint a manager who will be responsible for the day to day supervision of this Contract (“Contract Manager”). The appointee will have extensive relevant experience, a significant part of which will be in the maintenance of the Equipment of a practical nature. The Contract Manager will be available during each Working Day to oversee Services and problems as they may arise. A deputy with similar working knowledge will be available to deputise when the Contract Manager is absent or otherwise unavailable.
23.3 During the Term, the Contractor will submit to the Authority for approval the curriculum vitae of any new manager or deputy manager the Contractor wishes to employ as the Contractor’s Contract Manager or his deputy. The Authority’s approval of such individuals proposed will not be unreasonably withheld.
23.4 The Contractor will comply with the provisions in relation contract management as set out in Schedule 17 (Contract Management), including the requirements for meetings, reporting and documentation.
23.5 The Contractor will promptly provide to the Authority such reports as the Authority may request in relation to the provision of the Services and in such format as reasonably required by the Authority, including the Highlight Report.
Operational Management. Project reports will be produced as specified in Schedule 2 which will inform project meetings. All project meetings will be handled in a speedy and efficient manner with agendas and minutes for each meeting.

The Contract Manager will be available during each Business Day to oversee Services and problems as they may arise. A deputy with similar working knowledge will be available to deputise when the Contract Manager is absent or otherwise unavailable.
28.3 The Contractor shall ensure at all times that:
28.3.1 a competent and experienced person is appointed to act as the Contractor’s representative for Instructed Capital Works; and
28.3.2 a different competent and experienced person is appointed to act as the Contractor’s representative for Maintenance. In each case, such Contractor’s representatives may, after notifying the Authority and the Engineer, delegate any of their actions to someone of similar experience and may cancel any delegation. A reference to an action of the Contractor’s representative(s) in this Contract includes an action by his delegate.
28.4 During the Term, the Contractor will submit to the Authority for approval the curriculum vitae of any new manager or deputy manager the Contractor wishes to employ as the Contractor’s Contract Manager or either of the representatives mentioned in Clause 28.3 or, in ease case, their deputy. The Authority’s approval of such individuals proposed will not be unreasonably withheld.
28.5 The Contractor will comply with the provisions in relation to contract management as are set out in Schedule 8, including the requirements for meetings, reporting and documentation.
28.6 The Contractor will promptly provide to the Authority such additional reports as the Authority may reasonably request in relation to the provision of the Services and in such format as reasonably required by the Authority from time to time.
Operational Management. The staff of Moray Carshare are employed to help members in a courteous and friendly way with regard to using our services. Members must respect the roles of the Moray Carshare staff as available at xxx.xxxxxxxxxxxxx.xxx. Our office phone line (00000 000 000) is generally open for enquiries during the hours of 9am to 5pm on Mondays to Fridays. Outside these working hours we provide a helpline number (08458 609 609), which should only be used for emergencies and other urgent situations. Although we will try to answer calls outside working hours, we cannot guarantee to do so. Cars: A full road rescue service is provided for use whenever a car is more than 1 mile from its base. In the glove compartment of each car we provide a members list and details of what to do in case of a puncture, a breakdown or an accident.
Operational Management. (a) Ensure that all operational activities and projects, such as walking tracks and fire management, recognise and incorporate measures to respect and protect Rainforest Aboriginal cultural heritage and traditional management.
Operational Management. 4.1 Al Zuhra LLC hereby appoints APM and its Affiliates in Oman or otherwise as the initial Project Manager on an exclusive basis and it is agreed that APM will continue to be the Project Manager until such time as the Management Committee decides otherwise. Further, only the persons nominated by APM would be appointed by the Shareholders as the managers and authorised signatories of Al Zuhra LLC for the purposes of the Commercial Companies Law.
4.2 APM shall, in its sole discretion, be entitled to appoint such other persons as it deems necessary for Al Zuhra LLC, including, inter alia, the appointment of an internationally recognised independent consulting firm to carry out a BFS, a construction manager, plant manager, exploration manager and the like, and APM undertakes to consult with Al Zuhra before making any such appointments. Al Zuhra agrees to appoint such persons as designated by APM from time to time.
4.3 Al Zuhra LLC hereby grants APM the right to access the Exploration Area on an exclusive basis.
4.4 Al Zuhra LLC agrees to take all actions to give effect to the terms of this Agreement and provide all assistance for the Exploration Activities as reasonably requested by APM.
Operational Management. 5.1 Within 7 (seven) days after the formation of the Management Committee in terms of Clause 6.1 blow, the Management Committee will appoint APM as the initial Project Manager, and it is agreed that APM will continue to be the Project Manager until such time as the. Management Committee decides otherwise.
5.2 APM shall, with such assistance from the AFM Shareholder as may reasonably be required, obtain and maintain all permits, consents, approvals or other authorisations necessary or desirable for the performance of the Joint Ventures obligations during the Exploration Period under or in connection with this Agreement provided that any and all costs associated with the obtaining or maintaining of such permits, consents, approvals or other authorisations shall be borne solely by APM.
5.3 For the purposes of carrying out the Exploration Activities during the Exploration Period, APM shall, in its sole discretion, be entitled to appoint such other persons as it deems necessary for the Joint Venture, including, inter alia, the appointment of an internationally recognised independent consulting firm to carry out a BFS, a construction manager, plant manager, exploration manager and the like, and APM undertakes to consult with the AFM Shareholder before making any such appointments.
5.4 As and when APM earns a Participating Interest in the Block 5 Project in terms of this Agreement (and at the end of the Exploration Period after completion of the BFS), APM acknowledges that it shall be responsible for all costs and expenses in connection with any increase in the share capital of Al Xxxxxx Mining (including the minimum capitalisation requirements for a foreign participation in an LLC, any equity funding necessary or desirable for the purposes of carrying out the activities contemplated by this Agreement), the allotment and registration of shares reflecting at all times (notwithstanding any increase in such share capital or equity funding at the sole cost of APM) an equal 50% (fifty percent) shareholding in Al Xxxxxx Mining by each of the AFM Shareholder and APM.
