EMOLUMENT Sample Clauses

EMOLUMENT. 4.1 Executive shall be entitled to an annual fixed gross emolument of CHF 545,500 (the “Base Renumeration”). The Base Remuneration shall be split into two (2) amounts: (a) CHF 400,000 of which shall be payable in Switzerland, after deduction of Executive’s withholding taxes, as applicable under applicable laws and regulations, in twelve monthly gross installments of CHF 33,333; and (b) CHF 145,500 of which shall be payable in the United States, after deduction of Executive’s contributions to social security, medicare and 401(k), in twelve monthly gross installments of USD 9,926. Any emolument paid for a period of less than a full month shall be prorated based on the actual number of days elapsed. 4.2 During his employment hereunder, Executive will be entitled to a bonus of up to 60% of the Base Remuneration as provided in the EnerSys Management Incentive Plan, as amended from time to time (the “MIP”). Such amount shall be payable in Switzerland in Swiss Francs, less any contributions or deductions required under applicable law. 4.3 The above emolument compensates for the entire working time necessary for carrying out and performing the duties and obligations of Executive’s position and function. 4.4 Executive will be able to participate in EnerSys 2006 Equity Incentive Plan and any successor plan thereto (the “EIP”) on the same basis as other senior managers of the EnerSys group. Executive acknowledges that all awards granted under the EIP to Executive, if any, are at the sole discretion of the Board of Directors of EnerSys.

EMOLUMENT. A. As base compensation for the services rendered by the Executive hereunder, the Company will pay him a salary of $200,000 per annum, plus fifty percent (50%) of the fees generated by Executive as producer for Company related projects. The aforesaid salary shall initially be payable in 26 equal payments commencing two (2) weeks from the date hereof, or on such other basis, such as weekly or monthly as determined by the Board of Directors of the Company. The Board of Directors of the Company may, from time to time, increase the Executive's salary or pay such discretionary bonuses as it deems appropriate, but such increases shall neither affect nor alter the fixed obligation of the Company as herein provided or referred to.
EMOLUMENT. 2.1 In his capacity as Managing Director of HAWKER BELGIUM S.A., Xx. Xxxxx shall receive, subject to the provisions of this Agreement, an annual fixed gross emolument of EURO 286,168.28 payable monthly in twelve monthly installments of EURO 23,847.36 each (the Base Remuneration). Any emolument paid for a period of less than a full month shall be prorated based on the actual number of days elapsed. 2.2 During the term of this Agreement, Xx. Xxxxx will be entitled to a bonus of up to 60% of the Base Remuneration as provided in the Enersys incentive bonus plan as amended from time to time. 2.3 In addition to his Base Remuneration and the bonus to which he is entitled, Xx. Xxxxx shall have the following benefits: • Company Car: the Company will provide or bear the cost of one automobile and reasonable operating expenses for business and personal use for the duration of the Mandate in accordance with Company policy as in effect from time to time. • Home Leave: the company will reimburse Xx. Xxxxx and his immediate family for the actual cost incurred of two direct round trip coach class air flights between Brussels and one United States destination during each year of the Mandate term. Xx. Xxxxx will be responsible for living and other expenses during any home leave.

The Executive shall not receive any salary the first year of this Agreement, but shall thereafter receive an annual salary. Related to EMOLUMENT

  • Overtime Equalization The assignment of overtime shall be reasonably equalized within classifications. The normal maximum hours officers will be scheduled is (15) fifteen hours. Upon field training competition, probationary officers will begin their total overtime hours on the overtime equalization chart at the average of all members within the officer classification. An overtime equalization chart shall be maintained within the department. The chart shall list all overtime offers and each officer’s declined and accepted hours for each particular offer. Each time an officer is offered overtime, the number of overtime hours worked, or the number of hours declined, will be credited to officer’s chart. The overtime equalization chart shall be posted monthly.

  • No Other Compensation or Benefits You acknowledge that, except as expressly provided in this Agreement, you have not earned and will not receive from the Company any additional compensation relating to or arising from employment with the Company (including base salary, bonus or incentive compensation), severance, or benefits before or after the Separation Date, with the exception of any vested right you may have under the express terms of a written ERISA-qualified benefit plan (e.g., 401(k) account).

  • Wages A transferring employee will be paid in accordance with the collective agreement of the designated employer.

  • No Compensation Except as provided in this Section 7.4 and elsewhere in this Agreement (including the provisions of Articles V and VI hereof regarding distributions, payments and allocations to which it may be entitled), the General Partner shall not be compensated for its services as general partner of the Partnership.

  • Other Compensation or Benefits You acknowledge that, except as expressly provided in this Agreement, you will not receive any additional compensation, severance or benefits after the Separation Date.

  • Unemployment Compensation The Contractor shall be solely responsible for the unemployment compensation payments on behalf of their employees and personnel. The Contractor shall not be entitled to unemployment compensation in connection with the Services performed under this Agreement.

  • Unemployment Benefits The Company will not oppose the Executive’s claim for unemployment insurance benefits.

  • Fixed Compensation Each of the Co-Managers will receive certain additional fixed compensation pursuant to separate agreements with Masterworks, which is not tied specifically to this Offering or to any other specific offering, but a portion of which is deemed to be underwriting compensation for this Offering. Such additional fixed compensation relates to (i) a monthly retainer for administrative support services and (ii) fixed compensation payments to representatives of Arete. $8,224 is a reasonable estimate of costs and expenses referenced in clauses (i) and (ii) above that are appropriately allocated to this Offering.

  • Overtime Compensation 1. Except as provided in this section, Grantee will be responsible for any obligations of premium overtime pay due employees. Premium overtime pay is defined as any compensation paid to an individual in addition to the employee’s normal rate of pay for hours worked in excess of normal working hours. 2. Funds provided under this Contract may be used to pay the premium portion of overtime only under the following conditions: i. With the prior written approval of System Agency; ii. Temporarily, in the case of an emergency or an occasional operational bottleneck; iii. When employees are performing indirect functions, such as administration, maintenance, or accounting; iv. In performance of tests, laboratory procedures, or similar operations that are continuous in nature and cannot reasonably be interrupted or otherwise completed; or v. When lower overall cost to System Agency will result.

  • Sick Pay 23.1 When a seafarer is landed at any port because of sickness or injury, a pro rata payment of their basic wages plus guaranteed or, in the case of officers, fixed overtime, shall continue until they have been repatriated at the Company’s expense as specified in Article 20. 23.2 Thereafter the seafarers shall be entitled to sick pay at the rate equivalent to their basic wage while they remain sick up to a maximum of 130 days. The provision of sick pay following repatriation shall be subject to submission of a valid medical certificate, without undue delay. 23.3 However, in the event of incapacity due to an accident the basic wages shall be paid until the injured seafarer has been cured or until a medical determination is made in accordance with clause 25.2 concerning permanent disability. 23.4 Proof of continued entitlement to sick pay shall be by submission of satisfactory medical reports, endorsed, where necessary, by a Company appointed doctor. If a doctor appointed by or on behalf of the seafarer disagrees with the assessment, a third doctor may be nominated jointly between the Company and the Union and the decision of this doctor shall be final and binding on both parties.
