Employment Status/Separation. Executive and the Companies mutually agree that Executive's employment with the Companies shall cease effective the Termination Date, and that the cessation of Executive's employment shall be treated as a "Qualifying Termination" for purposes of the Severance Plan. The parties further agree that, except as otherwise provided in this Agreement, neither Executive nor the Companies shall have any further rights, obligations or duties under any other agreement or arrangement, relating to severance payments and benefits due to Executive, as of (or after) the date of this Agreement.

The parties agree that Xxxxx'x last day working in the Company's office in Florida shall be December 23, 2016; provided that Xxxxx agrees to provide all necessary services after such date and prior to the Date of Termination as needed by the Company.

Xxxxxxx and the Companies hereby agree that, except as otherwise provided in the last sentence of Section 15(b) of this Agreement, Xxxxxxx’ employment with the Companies will be terminated effective December 31, 2013 (the “Separation Date”) and, except as otherwise specifically provided in this Agreement, neither Xxxxxxx nor the Companies shall have any further rights, obligations, or duties under any agreement or arrangement as of December 31, 2013. During the period between October 1, 2013 and December 31, 2013, Xxxxxxx will continue to be available for reasonable consultation, guidance, project completion, and travel to any of the Companies’ locations, if necessary, and as reasonably directed by Hertz’s Chief Executive Officer. From the date hereof until the Separation Date, Hertz will continue to pay Xxxxxxx her regular base salary, and she shall continue to be eligible for all benefits and perquisites that she currently enjoys, provided, that Xxxxxxx shall not be eligible for any new equity grants or other new incentive or bonus opportunities.

Executive and the Companies mutually agree that Executive shall remain employed by the Companies through April 30, 2019 (the “Termination Date”), during which time he shall be entitled to the same compensation and benefits in effect for him as of the Resignation Date, and that the cessation of Executive’s employment shall be treated as a “Qualifying Termination” for purposes of the Severance Plan. The parties further agree that, except as otherwise provided in this Agreement, neither Executive nor the Companies shall have any further rights, obligations or duties under any other agreement or arrangement, relating to severance payments and benefits due to Executive, as of (or after) the date of this Agreement.

MacDonald and the Companies mutually agree that XxxXxxxxx’x employment with the Companies ceased effective 20, 2015 (the “Date of Termination”), and that any notice period that may be required to be provided to MacDonald under the Employment Documents is waived; provided, however, that solely for purposes of the amounts owed to Macdonald under clause (a) of Section 3 and Section 4.b., MacDonald shall be deemed to have continued employment through June 9, 2015, which shall be deemed the Date of Termination for such purposes. The parties further agree that, except as otherwise provided in this Agreement, neither MacDonald nor the Companies shall have any further rights, obligations, or duties under any other agreement or arrangement relating to severance payments and benefits due to MacDonald, as of the date of this Agreement; provided, however, that nothing in this Agreement shall affect the rights of MacDonald under applicable employee and executive benefit plans of the Companies, as provided in Section 3 below.

For the avoidance of doubt, the Life Insurance Policy, Sign-On Equity Award and Vehicle Benefit shall remain in effect in accordance with their terms following Executive’s termination of employment.
