Excluded Support. 5.1 The Supplier is not obliged to remedy a Network fault where the fault results from or is caused by any act or omission of the Customer including without limitation damage to equipment or an unplugged handset (Excluded Cause). 5.2 Where an Excluded Cause occurs, the Supplier shall be entitled to charge the Customer an additional fee in respect of the Engineer call out and time incurred at the Supplier’s then prevailing rates. 5.3 For the avoidance of doubt maintenance of equipment is not covered by the Assure Service. Should the Customer require this a separate equipment maintenance agreement will need to be entered into between the Customer and the Supplier.
Excluded Support. 6.1 Beezy’s obligations related to the Support Services shall cease in case the Beezy Software Problem or non-operation of the Beezy Software has been caused by any factor outside the control of Beezy, including but not limited to: a) Any problem caused by installation, reparation, modification, alteration, reinstallation or relocation of the Beezy Software, any of its parts and/or components or any of the elements of Office 365 on which the Beezy Software is added, if not authorized and/or performed by Beezy or its sub-contractor; b) any problem with the functioning or the use of the external system or the hardware configuration, including without limitation the operating system of the software platform and/or hardware upgrades; c) any problem related with the unsuitability of the hardware used by Client; d) any problem caused by the poor functioning of any other software. e) the operation or use of the Beezy Software in a way that is not compatible with the latest release of the documentation provided by Beezy to the Client related to the Beezy Software; f) Support related to third party’s software or hardware not supplied by Beezy; g) Any malfunction of the Beezy Software caused by configuration or other alteration or adaptation of the Beezy Software not performed by Beezy unless made with Xxxxx’s prior written consent; h) Any problem or malfunction that could have been ascertained when the agreed acceptance test was conducted. i) Abuse, improper use, misuse or mishandling of the Beezy Software. 6.2 Should the Beezy Software not be operable due to reasons outside the control of Beezy, Client shall be liable to pay Beezy in accordance with then valid hourly rates. Beezy shall, however, be under no obligation to provide services when the Beezy Software is not operable due to reasons outside their control. Beezy will use its reasonable efforts to resolve non-operation issues only if and insofar as the Beezy software is involved, and Client pays any applicable service fees.
Excluded Support. Support to be provided under this Agreement does not include repair of damage, replacement of parts or increase of service time attributable to reasons other than normal wear and tear, including but not limited to the combination or operation or use of Equipment, Software or Workstations with materials not supplied by Davox or for purposes for which the Equipment, Software or Workstation was not designed, unusual physical or electrical stress, accident, neglect, acts of God, or misuse, abuse, or modification of the Equipment, Software or Workstations by persons other than Davox. When support service is required for reasons other than normal wear and tear, services will be performed at Davox's then prevailing time and materials rate and an invoice issued to the Customer. If Customer modifies the Equipment, Software or Workstation or adds foreign devices to the UNISON System or Workstation, then Davox may at its option, (i) terminate this Agreement or (ii) support and service such modifications and foreign devices at its then prevailing rates. Provisions or replacement of operational supplies or media items are specifically excluded form support services hereunder.
Excluded Support. Xxxxx.Xxx will not support your customers. Xxxxx.Xxx will not support your software applications. Xxxxx.Xxx will not provide training to you on how to configure or administer your servers. Xxxxx.Xxx will not provide support for HTML programming or any other scripting languages.
Excluded Support. Notwithstanding any provision to the contrary herein: Google will have no obligation to provide TSS: (i) for Products which do not have the latest Software update installed; (ii) for Products on the Beta Channel, Developer Channel, or in Developer Mode; (iii) if Customer deletes the Software from the Hardware or disables Google’s ability to make updates to the Software or Services; (iv) for issues in interoperability with Third Party Products; (v) for Products which have exceeded End-of-Life Date; (vi) for Products where the identification number is altered or removed; or (vii) for any error, bug, defect or malfunction in the Solution that is caused by: (a) Customer’s failure to follow Google’s environmental, installation, operation or maintenance instructions or procedures (including use contrary to user manuals); (b) Customer’s improper handling or use, abuse, neglect, accident, negligence, or improper storage, servicing, shipment, or operation of the Solution (including use with incompatible equipment or in unsuitable physical environment); (c) modifications, disassembly, repairs or improper installation not performed by Google; (d) normal wear and tear; (e) problems with electrical power; (f) acts of nature; (g) accessories, parts, or components not provided by Google; (h) malicious software installed on the Products after Customer’s receipt; or (i) any Third Party Products.

  • Child Support Obligation Under Section 231.006(d) of the Texas Family Code regarding child support, Contractor certifies that the individual or business entity named in this Contract and any related Solicitation Response is not ineligible to receive the specified payment and acknowledges that the Contract may be terminated and payment may be withheld if this certification is inaccurate. If the certification is shown to be false, Contractor may be liable for additional costs and damages set out in 231.006(f).

  • Child Support (Applicable if the Party is a natural person, not a corporation or partnership.) Party states that, as of the date the Agreement is signed, he/she: a. is not under any obligation to pay child support; or b. is under such an obligation and is in good standing with respect to that obligation; or c. has agreed to a payment plan with the Vermont Office of Child Support Services and is in full compliance with that plan. Party makes this statement with regard to support owed to any and all children residing in Vermont. In addition, if the Party is a resident of Vermont, Party makes this statement with regard to support owed to any and all children residing in any other state or territory of the United States.

  • Included Services If any services, functions, or responsibilities not specifically described in this Agreement are an inherent, necessary, or customary part of the Services or are required for proper performance or provision of the Services in accordance with this Agreement, such services, functions, or responsibilities are deemed to be included within the scope of the Services to be delivered for the Charges, as if such services, functions, or responsibilities were specifically described in this Agreement.

  • PRODUCT SUPPORT Partners may provide support for Products and other value-added services, and Partner is responsible for the performance of any services it provides. If Customer purchases Microsoft Support Services through a Partner, Microsoft will be responsible for the performance of those services subject to the terms of this Agreement.

  • STUDENT SUPPORT SERVICES The Parties will identify and collaborate on measures to assist those students who may not be performing satisfactorily to succeed. The School will seek guidance from the College designee(s) in the areas of test preparation, tutoring, College Connection services, academic advising, and the development of an integrated support system for Students across the two institutions. Students will have access to the same or similar tutoring and other academic support as provided for other students in the School District, School and College. To promote academic success, the Parties will provide academic support services as may be needed. The School counselor and its designee will work to ensure Students receive pertinent information regarding higher education, financial assistance, and assistance waivers for tuition and fees. As needed, each Party will assist families as they complete initial application and admission requirements per the respective organizations’ processes. The School District will be responsible for non-academic counseling services and the College is authorized, but not required, to provide emergency counseling intervention services. See section 4 – Disability Support Services.

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • Customer Support If Customer is entitled to receive Customer Support as part of a separately purchased Service Plan, Sage warrants that while Customer’s Service Plan is in effect and if it has paid all required Service Plan fees, Sage will use qualified personnel to provide Customer Support in a professional manner consistent with industry standards. Customer’s sole remedy under this section 5.2 is limited to Sage’s re-performance of the Customer Support services giving rise to Customer’s claim.
