EXECUTIVE CHAIRMAN DUTIES. Following the Transition Date until December 31, 2019, you shall serve as Executive Chairman of the Board. Your duties shall consist of providing leadership of the Board, transition and consultation with the Company’s Chief Executive Officer, and advising the Board and Chief Executive Officer on strategic planning and industry and client relationships. You agree to devote such business time as is necessary to perform your duties and responsibilities as Executive Chairman which the parties acknowledge and agree will not be full time. Subject to the requirements of your position as a member of the Board, you shall be free to determine the times of the performance of your services and in no event will you be required to provide services for more than 20 hours per week.

EXECUTIVE CHAIRMAN DUTIES. As of December 31, 2012, Mx. Xxxxxxx shall offer to resign as Executive Chairman of First Savings. ● Transition to Strategic Focus, Corporate Governance and Community Outreach. As the successor executive assumes the daily management of First Savings, Mx. Xxxxxxx’x duties will transition to a more strategic focus, including but not limited to strategic planning and franchise direction. In addition, Mx. Xxxxxxx will spend time on corporate governance matters with emphasis on board development and oversight responsibilities along with director education programs concerning best practices and industry trends.
EXECUTIVE CHAIRMAN DUTIES. During the Employment Period, as Executive Chairman of the Board, Employee shall oversee corporate governance including the structure, activities and meetings of the Board and perform such other duties and services for the Company as may be designated from time to time by the Board including, without limitation, the following: • Aiding in the executive management transition; • Advising and working closely with the Chief Executive Officer of the Company and senior management concerning the activities of the Company including overall strategy, corporate development, research and development, regulatory programs and other initiatives including, without limitation, the following: • working with various R&D constituencies to maximize strategic and organizational effectiveness; and • working with potential corporate partners for licensing, development and commercialization of products or technologies; • Upon request and, as appropriate, sitting on boards representing the Company; and • Providing advice and input into material agreements and arrangements to be entered into or amended by the Company including, for example, agreements related to the acquisition of intellectual property, strategic alliances or corporate collaborations, the licensing of intellectual property and other material acquisitions or dispositions.

EXECUTIVE CHAIRMAN DUTIES. During the Employment Period, as Executive Chairman of the Board, Employee shall have responsibility and authority, subject only to the supervisory authority of the Board, in the areas of strategic planning and initiatives, advocacy and public policy matters, business development, personnel development and such other duties as may be assigned to him from time to time by the Board and, in the interim period between meetings of the Board, the Executive Committee of the Board.

  • Executive Duties During and after Executive’s employment with the Company, Executive shall, without additional compensation: (i) promptly disclose to the Company any Employee Development, specifically identifying any inventions, improvements or other portions of the Employee Development that are potential patentable or susceptible to protection as a trade secret; (ii) execute and deliver any and all applications, assignments, documents, and other instruments that the Company shall deem necessary to protect the right, title and interest of the Company or its designee in or to any Employee Development; (iii) reasonably cooperate and assist in providing information for making and completing regulatory and other filings in connection with any Employee Development; (iv) reasonably cooperate and assist in providing information for or participating in any action, threatened action, or considered action relating to any Employee Development; and (v) take any and all other actions as the Company may otherwise require with respect to any Employee Development.

  • Chairman and Vice Chairman of the Board The Board may appoint one of its members as Chairman of the Board (“Chairman”). The Board may also appoint one of its members as Vice Chairman of the Board, and such individual shall serve in the absence of the Chairman and perform such additional duties as may be assigned to such person by the Board.

  • Duties of Employee Employee will be based in New Jersey or North Carolina at the discretion of the Company. Employee’s title will be Chief Executive Officer, Chief Financial Officer, Chief Operating Officer and Corporate Secretary and Employee will report directly to the Board of Directors of the Company. Employee will devote Employee's full professional and business-related time, skills and best efforts to such duties and will not, during the term of this Agreement, be engaged (whether or not during normal business hours) in any other business or professional activity, whether or not such activity is pursued for gain, profit or other pecuniary advantage, without the prior written consent of the Board of Directors of the Company. This Section will not be construed to prevent Employee from (a) investing personal assets in businesses which do not compete with the Company in such form or manner that will not require any services on the part of Employee in the operation or the affairs of the companies in which such investments are made and in which Employee's participation is solely that of an investor; (b) purchasing securities in any corporation whose securities are listed on a national securities exchange or regularly traded in the over-the-counter market, provided that Employee at no time owns, directly or indirectly, in excess of one percent (1%) of the outstanding stock of any class of any such corporation engaged in a business competitive with that of the Company; or (c) participating in conferences, preparing and publishing papers or books, teaching or joining or participating in any professional associations or trade group, so long as the Board of Directors of the Company approves such participation, preparation and publication or teaching prior to Employee’s engaging therein.

  • Chairman and Vice Chairman Unless provided otherwise by a resolution adopted by the Directors, the Chairman shall preside at meetings of the Members and the Directors; shall see that all orders and resolutions of the Directors are carried into effect; may maintain records of and certify proceedings of the Directors and Members; and shall perform such other duties as may from time to time be prescribed by the Directors. The Vice Chairman shall, in the absence or disability of the Chairman, perform the duties and exercise the powers of the Chairman and shall perform such other duties as the Directors or the Chairman may from time to time prescribe. The Directors may designate more than one Vice Chairmen, in which case the Vice Chairmen shall be designated by the Directors so as to denote which is most senior in office.

  • Employment Duties The Company hereby employs the Executive for the Term (as defined in Section 2.1), to render exclusive and full-time services to the Company as President and Chief Operating Officer or in such other executive position as may be mutually agreed upon by the Company and the Executive, and to perform such other duties consistent with such position as may be assigned to the Executive by the Board of Directors or any officer of the Company senior to the Executive.

  • Employment Term Duties The Company hereby continues to employ the Employee as Chief Technology Officer ("CTO").   • Employee Duties (a) During the term of this Agreement, the Employee shall have the duties and responsibilities of Chief Operations Officer, reporting directly to the President & CEO of the Company. It is understood that such duties and responsibilities shall be reasonably related to the Employee's position.
