Xxxxxxx’x Duties. A xxxxxxx shall represent his Employer on a project to the limit of authority prescribed and given by his Employer. Within that authority he shall perform the following duties as applicable for the orderly and efficient installation of the work:
1. Supervise and coordinate the work and activity of the men;
2. Plan and schedule the work, including the necessary layout;
3. Coordinate his work with that of other trades in an orderly fashion;
4. Anticipate and arrange for the delivery of tools and materials without undue frequency;
5. Represent the Employer at job meetings and safety meetings and implement results consistent with the Employer's policy;
6. Reassign employees for the best use of their abilities, when necessary;
7. Attempt to resolve grievances at an early stage;
8. Assemble and verify the time sheets in the form prescribed by the employer
9. Update as-built drawings and instructions for the maintenance of equipment and the operation of systems;
10. Keep job log and transmit to the Employer at the conclusion of the work;
11. Stress safe working habits, and supplement all activity in Article IV of this Agreement; and
12. Give notice to the Local Union that the project or job has begun. A xxxxxxx may supervise journeymen and/or apprentices on more than one building provided it is considered within the job site and covered by the same contract and Employer. If it is necessary for an employee covered by this Agreement to supervise work on separate job sites covered by a separate contract, he shall be rated as a Superintendent.
Xxxxxxx’x Duties. In addition to the minimum and general requirements of the Landlord, the Landlord also specifically agrees to the following duties:
1. Maintain BYU-Idaho Apartment Living Standards as set forth in the Approved Housing Guidebook, and to inform tenants of these standards, pursue compliance, and make a report to the University when notice is given of any suspected violation.
2. Rent student-approved facilities only to tenants who are eligible single students as defined in the Approved Housing Guidebook under “Qualifications for Living in Approved Housing” and remove any tenant not meeting said definitions upon notice given to Landlord or the Landlord’s agent.
3. Work in good faith with tenant(s) toward the resolution of any dispute covered by BYU- Idaho Student Landlord Housing Contract. In the event Landlord and tenant(s) are unable to resolve a dispute, Xxxxxxxx agrees to participate in at least one formal mediation session provided at no cost by the university through a University-designated mediator, before pursuing any other remedies generally available at law. Unpaid rents are not subject to this mediation requirement unless rent was not paid because tenant disputes the validity of the Contract.
Xxxxxxx’x Duties. (a) The Union shall designate one (1) Xxxxxxx or alternate designate to deal with a Supervisor with respect to any complaint arising out of this Agreement or any general working conditions to be discussed with the Supervisor, subject to maintaining as much continuity as is reasonably possible.
(b) A Xxxxxxx may attend to his/her duties during working hours without loss of pay provided that:
(i) the duties do not disrupt the Xxxxxxx’x normal duties as an Employee or the normal duties of any other Employees;
(ii) in order to ensure compliance with (i), no Xxxxxxx shall leave his/her work site without obtaining the permission of his/her Supervisor or designate, such permission not to be unreasonably withheld; and
(iii) the time shall be devoted to the prompt handling of necessary Union business.
Xxxxxxx’x Duties. A xxxxxxx’x duties shall include:
a. Investigation of grievances involving Employees whom he represents; and
b. Discussion of working conditions and other labor relations matters with his supervisor or other rep- resentatives of the Company.
Xxxxxxx’x Duties. ARTICLE 11 -
Xxxxxxx’x Duties. In addition to the minimum and general requirements of the Landlord, the Landlord also specifically agrees to the following duties:
1. Exercise every reasonable effort to maintain BYU-Idaho Apartment Living Standards as set forth in the Approved Housing Guidebook, and to inform students of these standards, pursue compliance, and make a report to the University when notice is given of any suspected violation.
2. Rent student-approved facilities only to tenants who are eligible single students as defined in the Approved Housing Guidebook under “Qualifications for Living in Approved Housing” and remove any tenant not meeting said definitions upon notice given to Landlord or the Landlord’s agent.
3. Work in good faith with tenant(s) toward the resolution of any dispute covered by BYU- Idaho Student Landlord Housing Contract. Unresolved disputes may be submitted to binding arbitration as outlined in the Approved Housing Guidebook. Xxxxxxxx agrees to abide by the decision rendered by the arbitration board.
Xxxxxxx’x Duties. 2.1 In his capacity as BioMarin's Chief Executive Officer, Xxxxxxx shall perform all acts or services and do all things necessary or advisable to manage or conduct BioMarin's business, subject to the policies set by BioMarin's board of directors.
2.2 Except with the written consent of BioMarin's board of directors, Xxxxxxx shall devote seventy percent (70%) of his productive time, ability, and attention to BioMarin's business and during this 70% of time, shall not engage in any other business or render any services of a business, commercial, or professional nature to or on behalf of any other person or enterprise. With respect to the 30% of his time not devoted to BioMarin, Xxxxxxx shall not do any activity which is directly competitive with BioMarin. This provision shall not prevent Xxxxxxx from making passive personal investments, except investments that result in Xxxxxxx'x direct or indirect acquisition of an interest in a business actually or potentially competitive with BioMarin, provided, however, that notwithstanding the foregoing, Xxxxxxx shall not be prohibited from acquiring in the public market shares of securities that do not exceed 1% of the outstanding stock of such issuer, and to the extent that, on the effective date of this Agreement, Xxxxxxx has interests in businesses actually or potentially competitive with BioMarin, nothing in this Agreement shall be construed to require Xxxxxxx to divest himself of such interests.
2.3 Xxxxxxx shall not misuse, misappropriate, or, except as authorized by BioMarin's board of directors, disclose to persons not employed by BioMarin, any confidential information concerning BioMarin so long as the information is reasonably subject to characterization as a "trade secret" within the meaning of California Civil Code Section 3426.1 (d) as that section exists on the date of this Agreement is executed or renewed. The confidential information subject to the prohibition in this paragraph includes, but is not limited to, information concerning finances, personnel, customers, computer operations and programs, research and development, products, or services.
Xxxxxxx’x Duties. In consideration of the promises made by Pegasystems in this Agreement, Xxxxxxx covenants and agrees as follows:
a. To remain in the position of Vice President and Chief Financial Officer of Pegasystems until the Separation Date, and to fulfill all duties consistent with that position;
b. To assist Pegasystems on a consulting basis, as may be reasonably required from time to time, during the Severance Period, subject to his availability, at a rate of $200 per hour, plus expenses;
c. To refrain from making any false or disparaging comments about Pegasystems or any present or former director, officer or employee of Pegasystems;
d. To cooperate fully with Pegasystems with respect to all matters arising during or related to his employment, including without limitation, all matters in connection with the defense or prosecution of any claim or action, governmental investigation, litigation, or regulatory or other proceeding which already has arisen or which may arise in the future. Xxxxxxx'x full cooperation in connection with such matters shall include, without implication of limitation, being available to meet with counsel to prepare for discovery or trial and to testify truthfully as a witness when requested by Pegasystems. Pegasystems agrees to reimburse Xxxxxxx for any reasonable out-of-pocket expenses incurred in connection with such cooperation, subject to reasonable documentation. If Xxxxxxx'x cooperation is required at any time after the Separation Date, Pegasystems will reimburse him for any time reasonably spent by him in connection with such cooperation at the hourly consulting rate referenced in Section 2(b) above, which approximates in hourly terms Xxxxxxx'x salary during his employment with Pegasystems.
Xxxxxxx’x Duties. 3.1 XXXXXXX agrees, promises, and represents that after the Effective Date XXXXXXX shall reformulate any Covered Products manufactured after the Effective Date and offered for sale in California to a point where the level of DEHP in the Covered Products does not exceed 0.1%. Covered Products that were supplied to third parties by XXXXXXX prior to the Effective Date shall be deemed exempted from the requirements of Section 3 and shall be permitted to be sold through as previously manufactured, packaged and labeled.
3.2 XXXXXXX agrees, promises, and represents that, as of the Effective Date, to the extent it ships or sells any Covered Products in existing inventory that have not been reformulated, it will provide warnings on such Covered Products that comply with Proposition 65. The warnings shall be provided in such a conspicuously and prominent manner that will assure the message is made available and likely to be read, seen, or heard by the consumer prior to or at the time of the sale or purchase. The Parties agree that product labeling stating that: WARNING: This product can expose you to chemicals including Di(2- ethylhexyl) phthalate (DEHP), which is known to the State of California to cause cancer, birth defects or other reproductive harm. For more information go to xxx.X00Xxxxxxxx.xx.xxx. WARNING: Cancer, birth defects or other reproductive harm. xxx.X00Xxxxxxxx.xx.xxx shall constitute compliance with Proposition 65 with respect to the Listed Chemical in the Covered Products for any Covered Products in existing inventory that had not been reformulated and were distributed and/or sold by Releasees or Downstream Releasees after the Effective Date.
Xxxxxxx’x Duties. 3.1 Xxxxxxx agrees, promises, and represents that Xxxxxxx shall reformulate any Covered Products manufactured after the Effective Date and offered for sale in California to a point where the level DEHP in the Covered Products does not exceed 0.1% by weight.
