Filings; Cooperation; Information. Promptly after the execution of this Agreement, each Party will promptly prepare and make (or cause to be prepared and made) all required filings, submissions and notifications under the laws of any domestic or foreign jurisdictions, including all filings, submissions and notifications required under the HSR Act, to the extent necessary to consummate the transactions contemplated by this Agreement. Each Party will promptly consult and cooperate with the other Party with regard to, and provide any necessary information and reasonable assistance to the other Party and copies of, all filings, submissions and notifications made and other information supplied by such Party with or to any Governmental Entity in connection with this Agreement or any of the transactions contemplated hereby. Each Party will furnish to the FTC, the DOJ and to all other Governmental Entities such necessary information and reasonable assistance as the FTC, the DOJ or other Governmental Entity may reasonably request in connection with the foregoing.

Filings; Cooperation; Information. Each Party acknowledges that it has, prior to the execution of this Agreement, prepared and made (or caused to be prepared and made) all required filings, submissions and notifications under the Laws of any domestic or foreign jurisdictions to the extent necessary to consummate the Transactions. However, since the Conversion Date is four days prior to the Closing, Seller will be obligated to make only a good faith effort to file conversion documents in all foreign jurisdictions in which it is registered to do business. Subject to applicable Laws, each Party will promptly consult with the other Parties with regard to, and provide to each other Party any necessary information and reasonable assistance, and copies of all filings, submissions and notifications made and other information supplied by such Party with or to any Governmental Entity in connection with this Agreement or the Transaction Documents or any of the Transactions. Each Party will furnish to all Governmental Authorities such necessary information and reasonable assistance as such Governmental Authorities may reasonably request in connection with the foregoing. Each Party will promptly furnish the other with any communication it receives from any Governmental Authority in connection with any filings made pursuant to this Subsection 4.5. The Purchaser covenants and agrees with the Vendor that during the Interim Period, the Purchaser will not contact, directly or indirectly, any Vendor supplier or associate involved with the Brooke-Alvinston Project (regarding the Project), including, without limitation, Samsung, RES Canada, RES Americas, Stantec Consulting, Xxxxxx Xxxxxx, Hydro One Networks Inc., the OPA, the Ontario Ministry of Energy, and the Ontario Ministry of Environment, without the consent of the Vendor, which consent shall not be unreasonably withheld.

  • Information/Cooperation Executive shall, upon reasonable notice, furnish such information and assistance to the Bank as may be reasonably required by the Bank, in connection with any litigation in which it or any of its subsidiaries or affiliates is, or may become, a party; provided, however, that Executive shall not be required to provide information or assistance with respect to any litigation between Executive and the Bank or any other subsidiaries or affiliates.

  • Information and Cooperation Each Party that has responsibility for filing and prosecuting any Patent Rights under this Section 7.4 (a “Filing Party”) shall (a) regularly provide the other Party (the “Non-Filing Party”) with copies of all patent applications filed hereunder and other material submissions and correspondence with the patent offices, in sufficient time to allow for review and comment by the Non-Filing Party; and (b) provide the Non-Filing Party and its patent counsel with an opportunity to consult with the Filing Party and its patent counsel regarding the filing and contents of any such application, amendment, submission or response. The advice and suggestions of the Non-Filing Party and its patent counsel shall be taken into consideration in good faith by such Filing Party and its patent counsel in connection with such filing. Each Filing Party shall pursue in good faith all reasonable claims and take such other reasonable actions, as may be requested by the Non-Filing Party in the prosecution of any Patent Rights covering any Program Technology under this Section 7.4; provided, however, if the Filing Party incurs any additional expense as a result of any such request, the Non-Filing Party shall be responsible for the cost and expenses of pursuing any such additional claim or taking such other actions. In addition, Company agrees that if Licensor claims any action taken under Section 7.4(d)(i) would be detrimental to Patent Rights covering Licensor Technology, Licensor shall provide written notice to Company and the Patent Coordinators shall, as promptly as possible thereafter, meet to discuss and resolve such matter and, if they are unable to resolve such matter, the Parties shall refer such matter to a mutually agreeable outside patent counsel for resolution.

  • Tax Returns; Information The Managing Member shall arrange for the preparation and timely filing of all income and other tax and informational returns of the Company. The Managing Member shall furnish to each Member a copy of each approved return and statement, together with any schedules (including Schedule K-1), or other information that a Member may require and reasonably request in connection with such Member’s own tax affairs, as soon as practicable after the end of each Fiscal Year.
