Filings; Cooperation; Information. (a) Promptly after the execution of this Agreement, each party will prepare and make (or cause to be prepared and made) all required filings, submissions and notifications under the laws of any domestic or foreign jurisdictions, including all filings, submissions and notifications required under the HSR Act, to the extent necessary to consummate the transactions contemplated by this Agreement. Subject to applicable Legal Requirements, each party will promptly consult with the other party with regard to and provide to the other party any necessary information and reasonable assistance with all filings, submissions and notifications made and other information supplied by such party with or to any Governmental Authority in connection with this Agreement or any of the transactions contemplated by this Agreement. Any HSR Act filing fees shall be paid by Buyer. Each party will furnish to all Governmental Authorities such necessary information and reasonable assistance as such Governmental Authority may reasonably request in connection with the foregoing. (b) Prior to the Closing, the Company shall provide to Buyer, and shall use its reasonable best efforts to cause its officers, employees and advisors, including legal and accounting, of the Company to, provide to Buyer all cooperation reasonably requested by Buyer that is reasonably necessary or customary in connection with financing the transactions contemplated by this Agreement (the “Financing”) (provided that such requested cooperation does not unreasonably interfere with the business or operations of the Company), including (i) participating in a reasonable or customary number of meetings, presentations, road shows, due diligence sessions, (ii) using reasonable best efforts to assist with the preparation of materials for rating agency presentations, offering documents, private placement memoranda, bank information memoranda, prospectuses and similar documents necessary or customary in connection with the Financing, (iii) using reasonable best efforts to furnish Buyer as promptly as reasonably practicable with financial and other pertinent information regarding the Company as may be reasonably requested by Buyer in connection with the Financing, including information customarily included in private placement memoranda relating to private placements under Rule 144A promulgated under the Securities Act to consummate the offering(s) of debt securities of affiliates of the Buyer contemplated by the Financing at ...

Filings; Cooperation; Information. Each Party acknowledges that it has, prior to the execution of this Agreement, prepared and made (or caused to be prepared and made) all required filings, submissions and notifications under the Laws of any domestic or foreign jurisdictions to the extent necessary to consummate the Transactions. However, since the Conversion Date is four days prior to the Closing, Seller will be obligated to make only a good faith effort to file conversion documents in all foreign jurisdictions in which it is registered to do business. Subject to applicable Laws, each Party will promptly consult with the other Parties with regard to, and provide to each other Party any necessary information and reasonable assistance, and copies of all filings, submissions and notifications made and other information supplied by such Party with or to any Governmental Entity in connection with this Agreement or the Transaction Documents or any of the Transactions. The Purchaser covenants and agrees with the Vendor that during the Interim Period, the Purchaser will not contact, directly or indirectly, any Vendor supplier or associate involved with the Brooke-Alvinston Project (regarding the Project), including, without limitation, Samsung, RES Canada, RES Americas, Stantec Consulting, Xxxxxx Xxxxxx, Hydro One Networks Inc., the OPA, the Ontario Ministry of Energy, and the Ontario Ministry of Environment, without the consent of the Vendor, which consent shall not be unreasonably withheld.

  • Information/Cooperation Executive shall, upon reasonable notice, furnish such information and assistance to the Bank as may be reasonably required by the Bank, in connection with any litigation in which it or any of its subsidiaries or affiliates is, or may become, a party; provided, however, that Executive shall not be required to provide information or assistance with respect to any litigation between Executive and the Bank or any other subsidiaries or affiliates.

  • Transaction Information The Adviser shall furnish to the Trust such information concerning portfolio transactions as may be necessary to enable the Trust or its designated agent to perform such compliance testing on the Funds and the Adviser’s services as the Trust may, in its sole discretion, determine to be appropriate. This questionnaire will be used to: Determine geographical requirements; Identify CLEC identification codes; Determine CenturyLink system requirements to support CLEC's specific activity; Collect credit information; Obtain Billing information; Create summary bills; Establish input and output requirements; Create and distribute CenturyLink and CLEC contact lists; and Identify CLEC hours and holidays. 3.2.2 CLECs that have previously completed a Questionnaire need not fill out a New Customer Questionnaire; however, CLEC will update its New Customer Questionnaire with any changes in the required information that have occurred and communicate those changes to CenturyLink. Before placing an order for a new product, CLEC will need to complete the relevant New Product Questionnaire and amend this Agreement.
