Financial Relationship. A direct or indirect ownership or investment interest (including an option or non-vested interest) in any entity. This direct or indirect interest may be in the form of equity, debt, or other means, and includes any indirect ownership or investment interest no matter how may levels removed from a direct interest; or a compensation arrangement with an entity.
Financial Relationship. Landlord certifies that, as of the Effective Date of the Lease, no member of his or her immediate family (or if Landlord is a corporate entity, then no principal of Landlord has a member of his or her immediate family that) has entered into a financial relationship, including an employment relationship, with Tenant or an affiliate of Tenant related to the provision of designated health services as defined in Section 1877 of the Social Security Act or that, if such relationship exists, it has been disclosed to and approved by Tenant. Landlord agrees to give Tenant five (5) business days written notice in the event such a relationship is created during the Term of the Lease. For purposes of this paragraph, “immediate family” is defined to mean spouse; natural or adoptive parent, child or sibling; stepparent, stepchild, stepbrother, stepsister; father-in-law, mother-in-law, daughter-in-law, son-in-law, brother-in-law, sister-in-law; grandparent, grandchild and spouse of a grandparent or grandchild.

B. Requests for private grants for SDIRC, for which the grantor requires the grantee to be a 501(c)(3) organization, predominantly will be administered by EFIRC.
C. EFIRC is authorized to receive on behalf of the SDIRC gifts, contributions, donations, grants and bequests made to SDIRC or to a particular school or program operating in the SDIRC per donor restriction in accordance with EFIRC gift policy.
D. Each year EFIRC shall present to the SDIRC a written report summarizing its annual fundraising efforts on behalf of the SDIRC.
E. Each year EFIRC shall submit to the District Accounting office a copy of its most current audited Financial Statement.
F. EFIRC hereby acknowledges that gifts and contributions that it receives that are intended for a particular school or for specfic School District programs and activities shall not be used for other purposes. All administration of funds by EFIRC shall be consistent with laws governing tax-exempt organizations.
G. If a school or District program fund closes for whatever reason, EFIRC will determine disposition of the remaining funds, according to legal requirements and donor intent. No fund shall be allowed to have a deficit balance.
H. The Communications Department of SDIRC and the EFIRC will coordinate media strategies, share media contacts and information, jointly plan and produce EFIRC segments for School District communication outlets, collaborate on messaging and strive to have their communications aligned. 3.

Financial Relationship a) The Parties will make a best effort to successfully complete a deeper financial relationship. This relationship could be in the form of a stock swap, purchase of an equity position by one Party in the other or of both Parties in each other, stock option based on purchases value, or any other form mutually agreed upon by the Parties.
b) As an initial step, Arelnet is interested in obtaining stock options in TEK.
c) TEK is interested in obtaining stock options in Arelnet.
Financial Relationship a. The City and NUSD recognize the importance of an SRO to NUSD and the Novato community. As such, the City and NUSD agree this MOU will remain in effect to provide two full-time SROs to NUSD, if staffing and funding allows each party to discharge its responsibilities to the other party under this MOU.
b. The City agrees to provide at zero cost, (1) one SRO to NUSD in each year of this agreement for the services provided under this MOU.
c. NUSD agrees to compensate the City for the hiring of an additional police officer to be deployed as the second SRO to NUSD for the services provided under this MOU. NUSD by use of California Department of Justice Tobacco Prevention Grant Funds will on an annual basis in an amount equivalent to the maximum annual salary and benefits payable to one City police officer position as that amount may be adjusted from year to year and submitted through reporting to the California Department of Justice.
d. The City agrees to provide NUSD an invoice by July 30 of each year that details the maximum annual salary and benefits payable to one City police officer position for the Fiscal Year (July 1- June 30 period) that is being invoiced. NUSD agrees to pay the invoice in full within 30 days of receipt by making payment directly to the City at the City’s administrative offices, located at 000 Xxxxxx Xxxxxx.
e. Nothing in this MOU is intended to alter or affect the employment relationship of the City and the SRO, who shall remain an employee of the City throughout the term of this MOU subject to the same terms and conditions of employment in each and every respect (including, but not necessarily limited to, benefits, rights, privileges, disciplinary rules and proceedings, rules of conduct, obligations, duties, and immunities) as any officer of NPD having the same position, rank and seniority who is not assigned as an SRO. SROs shall continue to take directions and orders from supervisory, superior and commanding personnel of NPD, in the same manner as officers who are not assigned as SROs.
f. The relationship between the Parties under this Agreement shall be of independent contractor. Any SRO who provides Services under this Agreement shall not be an employee or agent of District and is not entitled to participate in any District pension plans, retirement, health and welfare programs, or any similar programs or benefits, because of this Agreement.
