Full and Faithful Service. The Employee will devote to the business and affairs of the Employer all of his working time, attention and ability to carry out the duties of his position, to the exclusion of any other employment or gainful occupation, and will ensure that he is not at any time engaged in conduct which would constitute an actual or potential conflict with the interests of the Employer. The Employee agrees that he will, in the performance of his duties, promote the interests, business and reputation of the Employer and shall perform all such duties as are essential or conducive to the efficient management thereof in accordance with the rules and policies of the Employer. The Employer agrees that the Employee will be free to hold equity interests in businesses which do not compete with the business of the Employer.

Full and Faithful Service. The Employee shall devote to the business ------------------------- and affairs of the Employer all of his working time, attention and ability to carry out the duties of his position and will ensure that he is not, at any time, engaged in conduct that would constitute a conflict with the interests of the Employer. The Employee agrees that he will, in the performance of his duties, promote the interest, business and reputation of the Employer and shall perform all such duties as are essential or conducive to the efficient management thereof in accordance with the rules and policies of the Employer.

Full and Faithful Service. (a) During his employment with the Corporation, and except as otherwise contemplated herein, the Executive undertakes to act with diligence, loyalty and honesty, to devote his full business time, attention and skills as a full-time employee of the Corporation, to faithfully serve the Corporation Group and to use his best efforts to promote the interest thereof, and he shall not, on his own behalf or on behalf of any other Person, whether directly or indirectly, alone, through or in connection with any Person, undertake the pursuit of, or engage in, any employment or business other than his employment under this Agreement, regardless of whether such activity is to gain profit or not. (b) The Executive shall comply with all applicable rules and policies of the Corporation Group, which may be amended or replaced from time to time at the Corporation Group's sole discretion.

Full and Faithful Service. The Executive shall well and faithfully serve the Corporation and use his best efforts to promote the interests of the Corporation and during the term of this Agreement, the Executive shall devote his full time and energy to the Corporation and shall not, directly or indirectly, render services to any Entity other than services with regard to charitable or community service organizations, or any other organizations that are approved by the Corporation, provided such activities do not interfere with Executive’s duties hereunder. The Executive further acknowledges that he will comply with (i) the lawful policies and procedures established by the Corporation, from time to time, including any code of ethics or business conduct adopted by the Corporation (including any future revisions of such policies, procedures or other codes of business conduct), and (ii) all applicable laws, rules and regulations, and all requirements of all applicable regulatory, self-regulatory and administrative bodies.

Full and Faithful Service. (a) The Executive shall devote his full time and attention and his best efforts to the business and affairs of the Corporation and its subsidiaries, and will ensure that he is not at any time engaged in conduct which would constitute a conflict with the interests of the Corporation or any of its subsidiaries. (b) During his employment with the Corporation, except as contemplated in Subsections 2.2(b) and 2.3(c), the Executive shall not engage in any other employment or gainful occupation, undertake any other business, or be a director, officer or agent of any other company, firm or individual without the express prior written consent of the Board. (c) Notwithstanding the foregoing Section 2.3(b), the Executive may act as a director of, or render services to, charitable or community organizations as may be agreed between the Executive and the Board, to the extent such service is reasonable in time and provided that such activities do not interfere with Executive’s duties hereunder.

Full and Faithful Service. During the term of the Executive’s employment, the Executive will serve the Company faithfully honestly, diligently and to the best of the Executive’s ability. The Executive will, except in the case of illness or accident, devote all of the Executive’s working time and attention to the Executive’s responsibilities to the Company and will use the Executive’s best efforts to promote the interests of the Company.

Full and Faithful Service. Digout will devote to the business and affairs of the Corporations, all of the time and attention reasonably necessary to carry out the duties of his position, and will ensure that he is not at any time engaged in conduct which would constitute a conflict with the interests of the Corporations. During his employment with the Corporations Digout shall not engage in any other employment or gainful occupation, undertake any other business, or become a director, officer or agent of any other company, firm or individual without the express written consent of the President of the Corporations, such consent not to be unreasonably withheld.

Full and Faithful Service. (a) During his employment with the Corporation, and except as otherwise contemplated herein, the Executive undertakes to act with diligence, loyalty and honesty, to devote his full business time, attention and skills as a full-time employee of the Corporation, to faithfully serve the Corporation Group and to use his best efforts to promote the interest thereof, and he shall not, on his own behalf or on behalf of any other Person, whether directly or indirectly, alone, through or in connection with any Person, undertake the pursuit of, or engage in, any employment or business other than his employment under this Agreement, regardless of whether such activity is to gain profit or not. (b) Notwithstanding the foregoing, the Corporation hereby consents to the Executive maintaining his existing external board roles for Indigo Books & Music Inc. and TrilogyGrowth as long as such companies are not engaged in any activities which compete with the Business, in whole or in part; it being understood that the Executive shall not serve on any committees related to such companies and any meetings related to such roles shall be limited to one (1) meeting per quarter. The Executive hereby agrees and understands that the Corporation reserves its right to withdraw such consent, at any time, at its discretion, including in the event that it considers that such appointments interfere with or conflict with the Executive’s obligations under this Agreement. (c) The Executive shall comply with all applicable rules and policies of the Corporation Group, which may be amended or replaced from time to time at the Corporation Group’s sole discretion.

Full and Faithful Service. The Executive shall faithfully serve the Corporation and use his best efforts to promote the interests of the Corporation and during the term of this Agreement, the Executive shall devote his full time and energy to the Corporation and shall not, directly or indirectly, render services to any Person other than services with regard to charitable or community service organizations or, with the prior consent of the Board, other professional activities; provided such activities do not interfere with Executive’s duties hereunder. With the prior consent of the Board, the Executive may also serve or continue to serve on not more than two (2) boards of directors of companies (or similar business organizations), as long as they involve no conflict of interest with the interests of the Corporation. The Executive further acknowledges that he will comply with (a) the lawful policies and procedures established by the Corporation, from time to time, including the Corporation’s Code of Business Conduct (including any future revisions of such policies, procedures and Code of Business Conduct), and (b) all applicable laws, rules and regulations, and all requirements of all applicable regulatory, self-regulatory and administrative bodies.
