General Duties of the Contractor. Contractor and Covered California acknowledge and agree that Contractor’s QHPs are important to furthering the goal of Covered California with respect to delivering better care and higher value. Contractor agrees that Contractor’s QHPs submitted and certified through the annual certification process for the current Plan Year, shall be offered through Covered California to provide access to Covered Services to Covered California Enrollees in accordance with the terms and conditions required by this Agreement and as required for designation of each health insurance plan as a QHP. Contractor shall maintain the organization and administrative capacity to support and ensure implementation and operation of this Agreement. This requirement includes the following:

Contractor and the Exchange acknowledge and agree that Contractor’s QHPs are important to furthering the goal of the Exchange with respect to delivering better care and higher value. Contractor agrees that Contractor’s QHPs identified at Attachment 1 (“Contractor’s QHP List”) shall be offered through the Exchange to provide access to Covered Services to Enrollees in accordance with the terms and conditions required by this Agreement and as required for designation of each health insurance plan as a QHP. Contractor shall maintain the organization and administrative capacity to support and ensure implementation and operation of this Agreement. This requirement includes the following:

The Contractor shall process personal data exclusively within the framework of the arrangements made and/or in compliance with any supplementary instructions issued by the Client. Excluded from this shall be provisions of law that may oblige the Contractor to process the data in another way. In such case, the Contractor shall inform the Client of such legal requirements prior to processing, unless the law concerned prohibits such notification on grounds of important public interest. The purpose, type, and scope of data processing shall otherwise be exclusively determined by this Agreement and/or the instructions of the Client. Any data processing deviating from this shall be prohibited to the Contractor.

Contractor agrees that Contractor’s QDPs submitted and certified through the annual certification process for the current Plan Year, shall be offered through Covered California to provide access to Health Care Services to Covered California Enrollees in accordance with the terms and conditions required by this Agreement and as required for designation of each dental plan as a QDP. Contractor shall maintain the organization and administrative capacity to support and ensure implementation and operation of this Agreement. This requirement includes the following:
(a) Contractor maintains the legal capacity to contract with Covered California and complies with the requirements for participation in Covered California pursuant to this Agreement and applicable Federal and State laws, rules and regulations;
(b) A dedicated liaison is available as the primary contact person to coordinate and cooperate with Covered California in the implementation of this Agreement and the contact person and/or other personnel are available to Covered California as needed to fulfill Contractor’s duties under this Agreement.
i. Key individual(s) who will have primary responsibility for servicing the Covered California account and flow of responsibilities include the following representatives: Chief Executive Officer, Chief Finance Officer, Chief Operations Officer, Chief Medical Officer, and Dedicated Liaison.
1. Contractor shall timely notify Covered California within ten (10) Days in the event of a change of key individual(s) (as defined in 1.5b)i)) occurs.
(c) Contractor’s QDPs are offered in compliance with the Affordable Care Act and the California Affordable Care Act and implementing regulations, and with applicable Federal and State laws, rules and regulations as may be amended from time to time as required under applicable laws, rules and regulations or as otherwise authorized under this Agreement;
General Duties of the Contractor. 5.2.1 The Contractor warrants and confirms:
5.2.1.1 that he/she has the necessary qualifications, competency, ability, and equipment to timeously provide Folio with Language Services in accordance with professional industry standards, the agreed deadlines and at the agreed fee;
5.2.1.2 to timeously and professionally provide Folio with the Language Services as required by Folio, at the agreed or estimated cost of the Assignment;
5.2.1.3 that his/her Language Services shall in all respects equal the professional standards prevalent in the translation and language service industry;
5.2.1.4 he/she is professionally qualified, competent, and equipped to perform the Language Services required by Folio.
5.2.2 The Contractor specifically agrees:
5.2.2.1 to liaise with the project manager if he/she is uncertain of the requirements/instructions pertaining to an Assignment;
5.2.2.2 that should any Language Services or Assignment require amendment, alteration or correction that is due to errors/poor quality of the Language Services provided by the Contractor, the Contractor agrees to perform the necessary amendments, alterations or corrections free of charge and within a reasonable time specified by Folio;
5.2.2.3 that should Folio’s client/s withhold or reduce payment as a result of the Contractor’s failure to meet an agreed deadline or due to poor quality of the Language Services provided, then, in such an event, Folio shall be entitled to withhold, alternatively reduce payment of the Contractor’s fee pro-rata and deduct any administrative costs and disbursements caused thereby;
5.2.2.4 to comply with the confidentiality undertakings set out in clause 7 below.

(a) The Contractor shall carefully study the Plans and Specifications and shall at once report to the Owner any error, inconsistency or omission the Contractor may discover. Provided, the Contractor does not warrant that the Plans and Specifications are without error.
