GENERAL DUTIES OF THE EMPLOYEE. In addition to the Job Description, the Employee undertakes to: a. Conscientiously carry out his/her work; b. Observe and work towards the fulfilment of the corporate interests and business goals of the Employer and goals agreed for his/her job position; c. Observe and satisfy the Employer’s demands and adhere to its instructions relating to the fulfilment of contractual and other obligations arising from the employment relationship, including the internal work instructions, which define performance of work assignments, work discipline, co-worker relationships, arrival at work, leaving work and other matters relating to technological order and work discipline; d. Perform his/her tasks in accordance with Company policy and regulations and agreed-on work procedures in accordance with professional standards; e. Maintain up-to-date overview of his/her work, including documentation of the procedures and results of his/her own work and documentation of the project where he/she is a participant or a leader in a way that the complete documentation is available for the review of the Employer at all times; f. Xxxx the guidance of his/her supervisor in the performance of his/her tasks if he/she does not have appropriate instructions or lacks knowledge in any task assigned to him/her; g. Ensure mentoring and know-how sharing and transfer between co-workers; h. Keep himself/herself informed about the latest developments in the area of his/her expertise and engage in self-directed learning with the aim of improving his/her task performance; i. Professionally, perform work assignments, meet Company and client deadlines and achieve expected work results; j. Use work assets and equipment in an economically viable and responsible way; k. Respect and implement the regulations on safety and health at work and work carefully in order to protect his/her own and co-workers’ life and health; l. Respect and implement the regulations and special written and oral instructions of the Employer on fire safety measures; m. Maintain order and cleanliness in the work environment; n. Prepare proposals for improving work results and improving utilization of work assets; o. Inform the Employer of relevant circumstances which affect or might affect the fulfilment of his/her contractual obligations; p. GENERAL DUTIES OF THE EMPLOYEE. 5.1 The Employee agrees and acknowledges that he owes a duty of loyalty, fidelity and allegiance to act at all times in the best interests of the Company, to not knowingly become involved in a conflict of interest and to not knowingly do any act or knowingly make any statement, oral or written, which would injure the Company's business, its interests or its reputation unless required to do so in any legal proceeding by a competent court with proper jurisdiction. 5.2 The Employee agrees to comply at all times during the Employment Period with all applicable policies, rules and regulations of the Company, including, without limitation, the Company's policy regarding trading in the Common Stock, as is in effect from time to time during the Employment Period.
GENERAL DUTIES OF THE EMPLOYEE. The Employee must promote the interests of the Company, the Group and CBII at all times. The Employee must perform all duties and exercise all powers that the Company may assign to or vest in him. In carrying out his assignments, the Employee will always show the care and concern of a prudent businessman in the performance of same. The Employee must give the Company and CBII all information regarding the Company's and CBII’s business that they require and must comply with all instructions from the Company and CBII.

  • Duties of the Employee The Executive represents and warrants that the performance by Executive of the Executive’s duties and obligations under this Agreement will not violate any agreement between the Executive and any other person, firm, partnership, corporation or other organization.

  • Duties of the Executive (a) Subject to the ultimate control and discretion of the Boards, the Executive shall serve in the Position and perform all duties and services commensurate with the Position. Throughout the Term of this Agreement as the same may be extended from time to time, the Executive shall perform all duties reasonably assigned or delegated to the Executive under the By-laws of the Employers or from time to time by the Boards consistent with the Position. Except for travel normally incidental and reasonably necessary to the business of the Employers and the duties of the Executive under this Agreement, the duties of the Executive shall be performed from an office location not greater than 35 miles from Marietta, Pennsylvania. (b) The Executive shall devote substantially all of the Executive’s business time and attention to the performance of the Executive’s duties under this Agreement and, during the term of the Executive’s employment under this Agreement, the Executive shall not engage in any other business enterprise that requires any significant amount of the Executive’s personal time or attention, unless granted the prior permission of the respective Boards. The foregoing provision shall not prevent the Executive’s purchase, ownership or sale of any interest in, or the Executive’s engaging in, any business that does not compete with the business of the Employers or the Executive’s involvement in charitable or community activities, provided, that the time and attention that the Executive devotes to such business and charitable or community activities does not materially interfere with the performance of the Executive’s duties under this Agreement and that a material portion of the time the Executive devotes to charitable or community activities are devoted to charitable or community activities within the Employers’ market area and further provided that such conduct complies in all material respects with applicable policies of the Employers. (c) The Employers shall accrue earned but unused vacation in accordance with the Employers’ vacation policy.

  • General Duties It shall be the duty of the Owner Trustee to discharge (or cause to be discharged) all of its responsibilities pursuant to the terms of this Agreement and the Sale and Servicing Agreement and to administer the Trust in the interest of the Holder, subject to the Basic Documents and in accordance with the provisions of this Agreement. Notwithstanding the foregoing, the Owner Trustee shall be deemed to have discharged its duties and responsibilities hereunder and under the Basic Documents to the extent the Servicer has agreed in the Sale and Servicing Agreement to perform any act or to discharge any duty of the Trust or the Owner Trustee hereunder or under any Basic Document, and the Owner Trustee shall not be liable for the default or failure of the Servicer to carry out its obligations under the Sale and Servicing Agreement.

Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect.   • Executive Duties During and after Executive’s employment with the Company, Executive shall, without additional compensation: (i) promptly disclose to the Company any Employee Development, specifically identifying any inventions, improvements or other portions of the Employee Development that are potential patentable or susceptible to protection as a trade secret; (ii) execute and deliver any and all applications, assignments, documents, and other instruments that the Company shall deem necessary to protect the right, title and interest of the Company or its designee in or to any Employee Development; (iii) reasonably cooperate and assist in providing information for making and completing regulatory and other filings in connection with any Employee Development; (iv) reasonably cooperate and assist in providing information for or participating in any action, threatened action, or considered action relating to any Employee Development; and (v) take any and all other actions as the Company may otherwise require with respect to any Employee Development.

  • Duties of Employment Faculty Member agrees to perform the teaching, service, and research duties and responsibilities set forth in the written statement attached to this Agreement as Appendix “A” and incorporated herein by reference.   • Certain Duties and Responsibilities The duties and responsibilities of the Trustee shall be as provided by the Trust Indenture Act. Notwithstanding the foregoing, no provision of this Indenture shall require the Trustee to expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties hereunder, or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it. Whether or not therein expressly so provided, every provision of this Indenture relating to the conduct or affecting the liability of or affording protection to the Trustee shall be subject to the provisions of this Section.
