General Revenues. Except as provided in Article 11 with respect to Authority Events, StadCo or TeamCo, as the case may be, shall be entitled to contract for, collect, receive and retain all gross income and revenues and any other consideration of whatever kind or nature realized by, from or in connection with its use of the Premises pursuant to this Lease, including, without limitation, all gross revenues, royalties, license fees, concession fees and income and receipts, and in kind property of any nature, derived from any Stadium Events, including those arising from (i) the sale of tickets or passes, (ii) the sale, lease, or licensing of, or granting any concession with respect to, Advertising Rights, (iii) all Broadcast Rights, (iv) promotion of Stadium Events at the Premises, (v) the sale of food, beverages, merchandise, programs and other goods and wares of any kind at the Premises, as and to the extent permitted under this Lease, (vi) parking revenues of any kind in connection with StadCo’s use of the Premises in accordance with this Lease and the Site Coordination Agreement for Stadium Events, and (vii) the Naming Rights. Notwithstanding the foregoing, the Authority shall be entitled to participate in the sharing of revenues related to any CMA Fest in the manner in which such revenues have been shared between the Parties prior to the date hereof.‌

General Revenues. (a) Each year on July 1, beginning in 2021, or when the City prepares its budget, the City covenants to include in the proposed annual budget of the City for the following fiscal year, to be submitted for consideration by the Common Council, a line item for an amount of General Revenues equal to the debt service due on the Series 2019 Bonds in the following fiscal year; provided, however, the inclusion of such line item in the proposed budget does not obligate the Common Council to appropriate said General Revenues. This covenant to include the debt service payment in the proposed budget is not a covenant to appropriate said General Revenues and does not restrict the Common Council from excluding an appropriation of the General Revenues from the final approved budget. The amount of General Revenues initially appropriated in the budget may be reduced from time to time by the amount of TIF Revenues and Taxpayer Payments received and on deposit with the Trustee for the payment of debt service on the Series 2019 Bonds, and investment earnings on funds held in the Debt Service Reserve Fund.

  • COMPENSATION FOR LOSS OF OTHER REVENUES To the extent not included in the amounts calculated pursuant to Section 4.2 above, Applicant shall also pay to or on behalf of the District on an annual basis all M&O Revenue losses, and other costs as they are incurred by the District that arise from entering this Agreement (the “Additional Loss”), including without limitation to: (a) any loss incurred by the District resulting from a judicial challenge to this Agreement; (b) any reasonable attorneys’ fees or other costs incurred by the District due to any amendment, audit, legal defense or enforcement of this Agreement brought by or against either party or person or entity, irrespective of whether or not this Agreement or any interpretation thereof by the District is ultimately determined to be valid; and (c) any non-reimbursed reasonable costs or fees incurred by the District and reasonably necessary to administer or maintain this Agreement, either directly or indirectly, including costs paid to the Appraisal District based on the values of the Qualified Property used for the District’s debt service (interest and sinking fund) that exceeds the Tax Limitation Amount provided in Section 2.4 herein. Notwithstanding anything to the contrary in Section 4.8, payment for such Additional Loss shall be made by Applicant no later than 30 days following written notice that such Additional Loss is due and owing, together with supporting calculations by the Third Party Consultant and copies of invoices (redacted as needed) for any such non-reimbursed costs and fees paid.

  • Overtime Meal Allowances (a) An Employee who is required to work a minimum of two and one-half (2½) hours overtime before or after his/her scheduled hours of work, shall be provided with a meal or shall be reimbursed nine dollars ($9.00). A meal break of one-half (½) hour with pay shall be given at the overtime rate. This section shall not apply to an Employee who is on travel status which entitles him/her to claim for lodging and/or meals.

  • Overtime Meal Allowance ‌ An employee who works two and one-half hours of overtime immediately before or following his/her scheduled hours of work shall receive a meal allowance of seven dollars. One-half hour with pay shall be allowed the employee in order that he/she may take a meal break either at or adjacent to his/her place of work.

  • REPORT ON CONTRACT SALES ACTIVITY AND ADMINISTRATIVE FEE PAYMENT A. CONTRACT SALES ACTIVITY REPORT. Each calendar quarter, Supplier must provide a contract sales activity report (Report) to the Sourcewell Supplier Development Administrator assigned to this Contract. Reports are due no later than 45 days after the end of each calendar quarter. A Report must be provided regardless of the number or amount of sales during that quarter (i.e., if there are no sales, Supplier must submit a report indicating no sales were made). The Report must contain the following fields: • Participating Entity Name (e.g., City of Staples Highway Department); • Participating Entity Physical Street Address; • Participating Entity City; • Participating Entity State/Province; • Participating Entity Zip/Postal Code; • Participating Entity Contact Name; • Participating Entity Contact Email Address; • Participating Entity Contact Telephone Number; • Sourcewell Assigned Entity/Participating Entity Number; • Item Purchased Description; • Item Purchased Price; • Sourcewell Administrative Fee Applied; and • Date Purchase was invoiced/sale was recognized as revenue by Supplier.

  • Overtime Meals When employees are required to work more than two (2) hours beyond their regular work days, the Employer will provide hot meals at no cost to the employees, up to a maximum of sixteen dollars ($16.00) (receipts to be submitted) plus paid meal periods of one-half (1/2) hour at the prevailing rate and thereafter at four (4) hour intervals. Any early morning start before regular starting time is entitled to a paid meal. The breakfast limit is thirteen dollars ($13.00) (receipts to be submitted). Employees called out on overtime shall be paid for meals as above, after four (4) hours work.

  • Contract Duration and Annual Salary 1. The College hereby employs the Administrator in the capacity of Director of Adult Educational Development, Assistant Professor for one year, commencing on July 1, 2023 and terminating on June 30, 2024. The Administrator accepts such employment on the conditions hereinafter set forth, and any applicable provisions of the Board of Trustees Policy Manual. In the event of conflict between Board Policy and this Contract, the Contract shall govern.

  • Annual Payments The Settling Distributors shall make eighteen (18) Annual Payments, each comprised of base and incentive payments as provided in this Section IV, as well as fifty percent (50%) of the amount of any Settlement Fund Administrator costs and fees that exceed the available interest accrued in the Settlement Fund as provided in Section V.C.5, and as determined by the Settlement Fund Administrator as set forth in this Agreement.

  • Payment for period of leave (a) Payment to an Employee in respect of long service leave shall be made in one of the following ways:

  • Kilometrage Allowance An Employee who is authorized to use a privately owned automobile on the Employer’s business shall be paid a kilometrage allowance of $0.4415 cents per kilometre. The Employer will adopt the civil service kilometrage rate effective the date of a tentative agreement being reached between the parties, provided that such agreement is subsequently ratified. Thereafter adjustments will be made in accordance with, and on the same effective dates as adjustments to the civil service rate.

  • Office Visit Copayments In each year of the Agreement, the level of the office visit copayment applicable to an employee and dependents is based upon whether the employee has completed the on-line Health Assessment during open enrollment and has agreed to opt-in for health coaching.
