GOODS RETURNED FOR CREDIT. Any Goods to be returned for credit requires prior written authorization by Seller. Goods authorized for return may be subject to a minimum fifteen percent (15%) return charge. The exact return charge will be determined at the time return authorization is granted.

GOODS RETURNED FOR CREDIT. (a) The Purchaser may return goods for credit only with the Seller’s prior written consent. A handling and restocking charge will be charged at the Sellers discretion. The credit given for returned goods will be the value of the goods only, adjusted for handling or other charge that might have applied to the original invoice. (b) Goods returned for credit shall be delivered to the Seller free into store in the original packing, unsoiled and undamaged, along with a delivery docket stating the original invoice number, and the reason for return, within 30 days of receipt of the goods. (c) Credit shall not be given for incorrect supply of goods unless the Seller receives written confirmation of the order prior to dispatch of the goods. (d) If the Purchaser is unable to take delivery or if delivery cannot otherwise be affected, the Seller at its sole discretion may store the goods at the Purchaser’s risk and expense, or take such other steps as are consideredappropriate. (e) The Purchaser cannot return for credit non-stock or indent items or Goods made to order. (f) The Purchaser must have written approval prior to returning credit Goods more than 30 days from the date of delivery.
GOODS RETURNED FOR CREDIT. We reserve the right to decide whether goods can be accepted back for credit. Xxxxx returned to us for credit will not be accepted unless previously agreed by us in writing. Goods returned by prior written agreement will be subject to inspection before any offer of credit is made to the Buyer. Credit allowed on such goods will be subject to a deduction of charges for inspection, cleaning, restocking and rejects. Fabricated and non- standard goods can not be accepted for credit.
GOODS RETURNED FOR CREDIT. 14.1. The Purchaser must inspect the Goods on delivery. This responsibility remains with the Purchaser even where the Goods are delivered to a third party. 14.2. Subject to clause 14.3 and 14.5, the Supplier will not be liable for any defects, shortages, damage or non- compliance with the specifications in the Agreement unless the Purchaser notifies the Supplier with full details and description within 7 days of delivery of the Goods or completion of the Services, whichever is later, otherwise the Purchaser is deemed to have accepted the Goods and Services. 14.3. When any shortages, claim for damaged goods or non-compliance with the Agreement specifications is accepted by the Supplier, the Supplier may, at its option, replace the goods, or refund the price of the goods. 14.4. Subject to clause 14.5, the Supplier will not under any circumstances accept goods for return that: (a) have been specifically produced (including customisation such as but not limited to being cut to size), imported or acquired to fulfil the Agreement; (b) are discontinued goods or no longer stocked by the Supplier; (c) have been altered in any way; (d) have been used; or (e) are not in their original condition and packaging. 14.5. If the Purchaser is a consumer, nothing in this clause 14 limits any remedy available for a failure of the guarantees in the ACL. 14.6. Goods will be deemed to comply with the specifications of this Agreement if they are manufactured, made, cut, finished and/or supplied to dimensions and measurements that are within acceptable industry tolerances. 14.7. The Goods may vary from product to product, including without limitation as to their colour, finish and design. Any sample provided is intended as a general guide only. To the extent permitted by law, the provision of a sample does not constitute a supply of goods by sample and the Supplier is not liable to the Purchaser for any variation in colour, finish and/or design of the Goods. 14.8. To the maximum extent permitted by law, the Supplier excludes responsibility, and does not accept any liability, if the colour, design, measurement and/or dimensions of the Goods varies from those contained in any catalogue, brochure or other promotional or information document, which is intended as a guide only. 14.9. Goods returned for credit will only be accepted by prior agreement with either of the responsible Senior Manager, General Manager, National Sales Manager or Service Manager where: 13.1.1. they have been wrongly or over supplied; and 13.1.2. they have been returned within 14 days of the invoice date. 13.2. The Supplier reserves the right to accept the return of Goods on credit after 14 days of the date of invoice. 13.3. In all cases except for the wrong or over supply of Goods a restocking fee will apply. 13.3.1. the value of the restocking fee will be at the discretion of the Supplier. 13.4. The Supplier reserves the right to not accept Goods returned for credit in line with clause 13 including but not limited to: 13.4.1. the Goods returned in non-merchantable quality; and 13.4.2. the Goods are a non-stocked, non-standard item, or altered or made to order or procured for the specific purposes of the Customer.

GOODS RETURNED FOR CREDIT. 11.1 The Seller is not obliged to accept the return of any goods for credit where it has not been in breach of the contract. 11.2 Any goods returned for the purpose of credit, when the return has not previously been authorised by the Seller, may incur a handling and inspections charge. 11.3 The Seller cannot accept responsibility for any goods which are lost or damaged in transit or otherwise during return. 11.4 Goods returned, for whatever reason, remain at the risk of the Buyer until receipt is acknowledged in writing by the Seller.

GOODS RETURNED FOR CREDIT. (a) Goods may not be returned for credit, except as agreed in writing between the parties in accordance with a Goods Returned Authority (GRA). A claim for credit must be made within 21 days of date of invoice and include the original invoice number and delivery date and the goods must then be returned to Ark’s premises within 30 days of date of invoice, failing which goods will not be accepted for credit. The Customer must arrange and pay for freight of the goods to ARK’s premises. (b) All goods returned for credit must be in their original containers and should not be shop soiled, damaged or obsolete, as such goods may not be accepted for credit, or credited at a reduced price. (c) A 30% restocking charge may be applied to all goods returned for credit, except in the case of faulty or incorrectly supplied goods. (d) In the case of a return of goods which have been specially ordered for the Customer, credit will only be allowed if the original manufacturer or supplier also accepts the return of the goods. (e) Specialised, custom-made or modified products ordered by customers will not be accepted for credit under any circumstances.

  • Treatment of Unallowable Costs Previously Submitted for Payment Mallinckrodt further agrees that within 120 days of the Effective Date of this Agreement it shall identify to applicable Medicare and TRICARE fiscal intermediaries, carriers, and/or contractors, and Medicaid and FEHBP fiscal agents, any Unallowable Costs (as defined in this Paragraph) included in payments previously sought from the United States, or any State Medicaid program, including, but not limited to, payments sought in any cost reports, cost statements, information reports, or payment requests already submitted by Mallinckrodt or any of its subsidiaries or affiliates, and shall request, and agree, that such cost reports, cost statements, information reports, or payment requests, even if already settled, be adjusted to account for the effect of the inclusion of the Unallowable Costs. Mallinckrodt agrees that the United States, at a minimum, shall be entitled to recoup from Mallinckrodt any overpayment plus applicable interest and penalties as a result of the inclusion of such Unallowable Costs on previously-submitted cost reports, information reports, cost statements, or requests for payment. Any payments due after the adjustments have been made shall be paid to the United States pursuant to the direction of the Department of Justice and/or the affected agencies. The United States reserves its rights to disagree with any calculations submitted by Mallinckrodt or any of its subsidiaries or affiliates on the effect of inclusion of Unallowable Costs (as defined in this Paragraph) on Mallinckrodt or any of its subsidiaries or affiliates’ cost reports, cost statements, or information reports.

  • Allocations for Capital Account Purposes For purposes of maintaining the Capital Accounts and in determining the rights of the Partners among themselves, the Partnership’s items of income, gain, loss and deduction (computed in accordance with Section 5.5(b)) shall be allocated among the Partners in each taxable year (or portion thereof) as provided herein below.

  • Repayment of Amounts Advanced for Network Upgrades Upon the Commercial Operation Date, the Interconnection Customer shall be entitled to a repayment, equal to the total amount paid to the Participating TO for the cost of Network Upgrades. Such amount shall include any tax gross-up or other tax-related payments associated with Network Upgrades not refunded to the Interconnection Customer, and shall be paid to the Interconnection Customer by the Participating TO on a dollar-for- dollar basis either through (1) direct payments made on a levelized basis over the five- year period commencing on the Commercial Operation Date; or (2) any alternative payment schedule that is mutually agreeable to the Interconnection Customer and Participating TO, provided that such amount is paid within five (5) years from the Commercial Operation Date. Notwithstanding the foregoing, if this Agreement terminates within five (5) years from the Commercial Operation Date, the Participating TO’s obligation to pay refunds to the Interconnection Customer shall cease as of the date of termination. Any repayment shall include interest calculated in accordance with the methodology set forth in FERC’s regulations at 18 C.F.R. §35.19a(a)(2)(iii) from the date of any payment for Network Upgrades through the date on which the Interconnection Customer receives a repayment of such payment. Interest shall continue to accrue on the repayment obligation so long as this Agreement is in effect. The Interconnection Customer may assign such repayment rights to any person. If the Small Generating Facility fails to achieve commercial operation, but it or another Generating Facility is later constructed and makes use of the Network Upgrades, the Participating TO shall at that time reimburse Interconnection Customer for the amounts advanced for the Network Upgrades. Before any such reimbursement can occur, the Interconnection Customer, or the entity that ultimately constructs the Generating Facility, if different, is responsible for identifying the entity to which reimbursement must be made.

  • LIABILITY ON FOREIGN ACCOUNTS State Street shall not be required to repay any deposit made at a non-U.S. branch of State Street, or any deposit made with State Street and denominated in a non-U.S. dollar currency, if repayment of such deposit or the use of assets denominated in the non-U.S. dollar currency is prevented, prohibited or otherwise blocked due to: (a) an act of war, insurrection or civil strife; (b) any action by a non-U.S. government or instrumentality or authority asserting governmental, military or police power of any kind, whether such authority be recognized as a defacto or a dejure government, or by any entity, political or revolutionary movement or otherwise that usurps, supervenes or otherwise materially impairs the normal operation of civil authority; or(c) the closure of a non-U.S. branch of State Street in order to prevent, in the reasonable judgment of State Street, harm to the employees or property of State Street. The obligation to repay any such deposit shall not be transferred to and may not be enforced against any other branch of State Street. The foregoing provisions constitute the disclosure required by Massachusetts General Laws, Chapter 167D, Section 36. While State Street is not obligated to repay any deposit made at a non-U.S. branch or any deposit denominated in a non-U.S. currency during the period in which its repayment has been prevented, prohibited or otherwise blocked, State Street will repay such deposit when and if all circumstances preventing, prohibiting or otherwise blocking repayment cease to exist.
