You need to give a clear, unambiguous and comprehensive description of the Agency’s needs and requirements, including all the details regarding the Activity that the recipient organisation is to carry out or perform (what and how?), the milestones (how and when?) and all related reports and payments. It is preferable that payment is linked to satisfactory completion of Milestones and submission of reports. This Grant Schedule forms part of the Agreement between the Agency and Your Organisation. The Activity description is the basis of the Agreement. A significant part of the success of the Agreement relies on you setting out an accurate statement of the Agency’s requirements. Grant Schedule. 7.2.1. Subject to Section 3.2(b) below, the Company shall procure that the Token Entity grants and delivers the Vested Operator Tokens to the Operator, on the first day of each subsequent entire calendar month following the Initial Token Launch (each, a Grant Date), one twelfth (1/12th) of the Vested Operator Tokens such that all of the Vested Operator Tokens have been granted and delivered to the Operator approx. 12 months after the Initial Token Launch.
7.2.2. The Company or the Token Entity shall not be under any obligation to grant to the Operator any Vested Operator Tokens due on a Grant Date if, on such Grant Date, (i) any of the representations and warranties set out in Section 4 (Representations and Warranties) is incorrect or untrue; or (ii) if the Company deems that the Operator does not fulfill the Hardware Requirements, in which case the Vested Operator Tokens due on such Grant Date shall not be granted to the Operator and the Operator shall not be entitled to such Vested Operator Tokens (regardless of whether the conditions set out in items (i)-(ii) above would subsequently be fulfilled).
7.2.3. Notwithstanding anything in this Agreement, the Company and the Token Entity, respectively, shall have the right to deviate from the grant schedule set out above in Section 3.2(a) at its sole discretion. Without limiting the generality of the foregoing, such deviation may include withholding or refusing the grant of any Vested Operator Tokens.
