Human Capital Plan Sample Clauses

Human Capital Plan. On January 23, 2012 the Authority approved the plan submitted by Urban Strategies, Inc., on behalf of the Developer, in draft form bearing a date of January 15, 2012, and in final form bearing a date of January 31, 2012 (as it may be revised in accordance with the terms of this Agreement, the “Human Capital Plan”). The Developer will subcontract with Urban Strategies, Inc., a nonprofit entity identified as a member of the development team in Developer's response to the RFQ, to coordinate the implementation activities for the Human Capital Plan. Urban Strategies, Inc. will oversee and direct the activities of a local staff operating under the name US Galveston Today, and will engage and provide technical support to a network of local partner organizations in implementing the components of the Human Capital Plan. Notwithstanding the subcontracting of responsibilities and services to Urban Strategies, Inc., the Developer will provide oversight of the Human Capital Plan. The Human Capital Plan is dependent upon the availability of resources. Neither Developer nor Urban Strategies nor any of their partners or service providers shall be authorized or obligated to carry out or coordinate the Human Capital Plan unless and until there is a mutually acceptable agreement in place with an approved budget identifying the funding sources for implementation. The Developer, in coordination with Urban Strategies, Inc., will work collaboratively with the Authority to identify and capture funding resources to support the launch and operation of the Human Capital Plan. Such sources may include: public and private sources; national and local foundations; underwriting human services in each Rental Phase (as permitted by the funding sources); construction cost savings, and other sources as appropriate. The Authority and Developer each shall work in good faith to identify and commit sufficient funds for such purposes, and such work shall include efforts to capitalize funding for such purpose (to the extent allowed and feasible) as part of each Rental Phase. While the Developer anticipates being able to contribute funding in support of the Human Capital Plan from its Developer Fee in accordance with Section 2.2, the Authority acknowledges that both the availability and the timing of such funds are uncertain and that they are intended to supplement (and potentially to reimburse) primary funding provided by the Authority or from other resources.
