Legal Services to be Provided. Van Xxxxxx xxxl provide to the Funds the following legal services, including without limitation: accurate maintenance of the Funds' Corporate Minute books and records, preparation and oversight of each Fund's regulatory reports and other information provided to shareholders as well as responding to day-to-day legal issues on behalf of the Funds. Van Xxxxxx xxxll hire persons (collectively the "Legal Services Group") as needed to provide such Legal Services and in such numbers as may be agreed from time to time.

Legal Services to be Provided. Attorney shall represent Client in connection with certain business services and other non-litigation matters (the “Matter”). Attorney’s engagement does not cover litigation services of any kind, whether in court, arbitration, administrative hearings, or government agency hearings. Separate arrangements must be agreed to for those services.
Legal Services to be Provided. The legal services to be provided by Attorney to Client are as follows: Client is engaging the office to represent Client in connection with to handle all legal matters, such as contract negotiations and including any cases, letters or legal representation. RESPONSIBILITIES OF Office. Attorney will perform the legal services called for under this agreement, keep Client informed of progress and developments, and respond promptly to Client's inquiries and communications. Although Attorney expects that the undersigned attorney will be primarily responsible for Client’s legal work, other lawyers and paralegals, contractors, associates, and or contracted assistants may participate in rendering services, as Attorney considers appropriate. Unless Attorney and Client make a different agreement in writing, this agreement will govern all future services office may perform for Client. Client is a person of sound mind and body gives attorney and attorneys’ offices full powers with no exclusions of a general power of attorney with express authority to act on Client’s behalf to be as the client including all

Legal Services to be Provided. Legal Counsel shall initiate services immediately upon receipt of City’s notice to proceed together with an executed copy of this Agreement. Legal Counsel agrees to complete work that is detailed in Exhibit A and by this reference made a part hereof. Any and all work assigned by the City will be contained in subsequent scope of work as needed
Legal Services to be Provided. The legal services to be provided by Law Firm to Client are as follows: Preparation of the following documents: (Check appropriate boxes) Revocable Living Trust Schedule A Assignment of Personal Property to Revocable Living Trust Certificate of Trust Community Property Ownership Agreement Separate Property Ownership Agreement Pour-Over Will for ________ and _________ Standard Will for ____________________ and ____________________________ Durable Power of Attorney for _________ and _________ Advance Health Care Directive for ________ and __________ Life Insurance Trust for _______________ and _______________________ Charitable Remainder Annuity Trust Charitable Remainder Uni Trust Charitable Lead Trust Family Limited Partnership Other: If Client wishes that Law Firm provide any legal services not covered by this agreement, a separate written agreement between Law Firm and Client will be required. In the event Law Firm provides services at Client's request on any matter other than that specified in this agreement, Client agrees that the terms of this agreement shall govern our relationship for that matter in the absence of a separately signed written fee agreement. However, any additional services will be billed according to the Rate Schedule attached hereto.
Legal Services to be Provided. The legal services to be provided by Attorneys to Client are as follows: Representation of Client with respect to the following matters (collectively, the “Swaps Action”):
a. Evaluation of potential claims related to the City’s numerous interest rate swap transactions and swaptions entered into from 2006 to the date hereof (“Swaps”), including any termination payments which have been made.
b. Claims and/or actions against financial advisors, swap advisors, attorneys, swap providers and others, as appropriate, seeking equitable and/or legal relief, including but not limited to damages sustained by Client as a result of the Swaps, including all appeals related thereto (such claims or actions are referred to as the “Swap Action”).
Legal Services to be Provided. Attorneys agree to provide the following professional services upon request:
a. Represent and advise Client on those aspects of law as directed by the Client;
b. Prepare legal opinions regarding statutes, court decisions, legislation, and other legal issues;
c. Represent the Client before the courts, and other legal and administrative agencies;
d. Assist Client in legal matters relating to administration of the Client;
e. Perform such other duties as may be assigned by Client in meeting its obligations under the law; and
f. Other duties as assigned by Client and acceptable to Attorneys.
