New Systems. When new Systems are approved pursuant to paragraph 4.1, the Operator will prepare and forward to all System Owners a new Exhibit “1.5” reflecting the new Systems and the System Ownership Interests of each Participating System Owner in such new Systems and the new Exhibit “1.5” will be incorporated herein without the necessity of amending this Agreement.

[*] After the Effective Time, Supplier will provide GWI with sufficient advance notice of any proposed acquisition of new systems to allow GWI an opportunity to comment on possible issues regarding access to GWI Data and/or effect on the supply of Products under this Agreement, but GWI will have no obligation to investigate, provide, fund or assist in the implementation of any new Supplier system or related services, unless expressly set forth in the IT Support Services or otherwise agreed in writing by the parties.
New Systems. The Supplier will install default and blank environments of the services requested. It is the sole responsibility of the Client to perform all other services, data or website transfer, training, routines or configurations, unless these services have been requested by the Client and stated explicitly as part of the work order.

New Systems. For County approved installations at either parks added to the Contract or replacement of unrepairable systems at current parks: a. The Contractor shall install a Lightning Prediction and Warning System at a park location within five (5) to seven (7) business days after the permit is obtained or on the installation start date scheduled with the County’s Project Manager or designee. The County will provide electrical outlets to meet the electrical power requirements for the systems at all locations. Once system installation is complete at a park, the Contractor shall test the system. The testing will include programming of equipment with proper on/off times, clock set, ranges set, and a complete live test to make sure the strobe lights and remote horns are working when activated and working 100%. The test plug will then be inserted in the equipment and will not be activated until the park passes inspection, permit is closed and the system is accepted by the County’s Project Manager or designee. b. The Contractor shall obtain the required electrical permits to install the systems. The Contractor shall obtain any other required permits to install these systems. The Contractor shall provide the County with proof of payment of permit fees. The cost of the fees for these permits will be reimbursed to the Contractor by the County. c. Each system will be activated upon completion of installation, testing and training. The Contractor shall promptly repair failures due to defects in materials or workmanship after the system is accepted by the County for a minimum of two years after installation. d. The Contractor shall provide training for the equipment to the County staff (Park Managers and other key personnel to be identified by the County). Upon completion of the training, the Contractor will develop policies and procedures and install proper signage at each park. e. The Contractor shall provide an operational manual for each system. E. New Systems. (i) The purchase price for each System purchased by Greenbrook on or after the Effective Date (each a “New System” and collectively “New Systems”) will be [***], inclusive of shipping and installation (the “Purchase Price”); provided, however, that, beginning with the 2024 Contract Year, Neuronetics will have the option to pass through any increases in its fully-loaded cost of goods sold for manufacturing, delivering and installing New Systems as well as related components and peripherals. Neuronetics will provide Greenbrook with at least thirty (30) days’ prior written notice of any such increases to the Purchase Price, including a reasonable description of such increased costs of goods sold.

New Systems. SCT (TMD) and Client will cooperate and in good faith mutually agree on the Hardware, Systems Software or Application Software to be acquired for the good faith estimated capital amounts identified in Exhibit B(2). SCT (TMD) and Client acknowledge and agree that the acquisition of such different Hardware, Systems Software, and Application Software may result in increased expenses and the need or desire for additional services, if the Hardware, Systems Software and/or Application Software so acquired exceeds in cost the amounts identified therefor in Exhibit B(2). SCT (TMD) will not be responsible for any additional services or increased expenses resulting therefrom unless an approved Service Enhancement Request is executed by the parties pursuant to which SCT (TMD) will provide the Supplemental Services specified in the approved Service Enhancement Request. Conversely, to the extent that expenditures for any Systems Components from the estimated capital amounts identified in Exhibit B(2) are less then the amounts identified in Exhibit B(2), SCT (TMD) will credit the amount of such difference against the amounts otherwise due and owing from Client to SCT (TMD) under this Agreement.
New Systems. During the term of this Agreement, the Company and the Union reserve the right to explore and discuss other bidding alternatives such as Preferential Bidding System(s). 1. The MEC Scheduling Chairperson and other Union representatives will be invited to meetings scheduled by the Company with individual vendors. 2. No Preferential Bidding System will be implemented without a mutually agreed upon Letter of Agreement. 3. Notwithstanding the provisions of paragraph X.2. above, the Company and the Union agree that, by operation of this Agreement, pay protection for lost credit hours due to Lead-in, Training and Vacation conflicts no longer exists, and these types of pay protection will not be the subject of any negotiations and/or Letter of Agreement relating to the implementation of a Preferential Bidding System. Accordingly, these types of pay protection will not otherwise exist with the implementation of a Preferential Bidding System.

  • Infrastructure Infrastructure serves as the foundation and building blocks of an integrated IT solution. It is the hardware which supports Application Services (C.3.2) and IT Management Services (C.3.3); the software and services which enable that hardware to function; and the hardware, software, and services which allow for secure communication and interoperability between all business and application service components. Infrastructure services facilitate the development and maintenance of critical IT infrastructures required to support Federal government business operations. This section includes the technical framework components that make up integrated IT solutions. One or any combination of these components may be used to deliver IT solutions intended to perform a wide array of functions which allow agencies to deliver services to their customers (or users), whether internal or external, in an efficient and effective manner. Infrastructure includes hardware, software, licensing, technical support, and warranty services from third party sources, as well as technological refreshment and enhancements for that hardware and software. This section is aligned with the FEA/DoDEA Technical Reference Model (TRM) which describes these components using a vocabulary that is common throughout the entire Federal government. A detailed review of the TRM is provided in Section J, Attachment 5. Infrastructure includes complete life cycle support for all hardware, software, and services represented above, including planning, analysis, research and development, design, development, integration and testing, implementation, operations and maintenance, information assurance, and final disposition of these components. The services also include administration and help desk functions necessary to support the IT infrastructure (e.g., desktop support, network administration). Infrastructure components of an integrated IT solution can be categorized as follows:

  • Equipment and Software To use the Mobile Remote Deposit Services, you must obtain and maintain at your expense, compatible equipment and software that we may specify from time to time.

  • Security Systems The Service may not be compatible with security systems. You may be required to maintain a telephone connection through your local exchange carrier in order to use any alarm monitoring functions for any security system installed in your home or business. You are responsible for contacting the alarm monitoring company to test the compatibility of any alarm monitoring or security system with the Service.

  • Systems The details of any systems work will be determined after a thorough business analysis. System's work will be billed on a time and material basis. Investors Bank provides an allowance of 10 systems hours for data extract set up and reporting extract set up. Additional hours will be billed on a time and material basis.

  • Building Systems The term "Building Systems" means all systems serving the Building in general, including, but not limited to, the fire/life safety, electrical, plumbing, HVAC, including all components thereof and related equipment, including any distribution systems or equipment existing within the Premises.

  • All new supplies equipment and services shall include manufacturer's minimum standard warranty unless otherwise agreed to in writing. Vendor shall be legally permitted to sell all products offered for sale to TIPS Members. All goods proposed and sold shall be new unless clearly stated in writing. The Vendor shall provide timely and accurate customer support for orders to TIPS Members as agreed by the Parties. Vendors shall respond to such requests within a commercially reasonable time after receipt of the request. If support andƒor training is a line item sold or packaged with a sale, support shall be as agreed with the TIPS Member. Most TIPS Members are tax exempt and the related laws andƒor regulations of the controlling jurisdiction(s) of the TIPS Member shall apply. No assignment of Agreement may be made without the prior notification of TIPS. Written approval of TIPS shall not be unreasonably withheld. Payment for delivered goods and services can only be made to the awarded Vendor, Vendor designated reseller or vendor assigned company.
