No Third Party Beneficiaries; Independent Contractors. Except as otherwise specifically set forth herein, this Agreement does not expressly or implicitly provide any third party (including users) with any remedy, claim, liability, reimbursement, cause of action, or other right or privilege. The parties to this Agreement are independent contractors. Neither party is an agent, representative, or partner of the other party. Neither party shall have any right, power, or authority to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other party. This Agreement shall not be interpreted or construed to create an association, agency, joint venture, or partnership between the parties or to impose any liability attributable to such a relationship upon either party. Each party acknowledges and agrees that any interpretation of this Agreement may not be construed against a party by virtue of that party having drafted the provisions.

Except as set forth in Section 6.1, nothing express or implied in this Agreement is intended to confer, nor shall anything herein confer, upon any person other than the Parties and the respective successors or assigns of the Parties, any rights, remedies, obligations, or liabilities whatsoever.

This Agreement is intended for the benefit of the parties hereto, and no other party may claim rights hereunder, whether as a third party beneficiary or otherwise. The relationship of the parties is solely that of independent contractors, as neither party can obligate the other party to third parties.
No Third Party Beneficiaries; Independent Contractors. (a) This Agreement is intended only to benefit the parties hereto, their permitted successors and assigns, and Indemnitees. This Agreement shall not be deemed to be for the benefit of any entity or person that is not a party hereto, is a party’s permitted successor or assign, or an Indemnitee and does not create any rights, benefits or causes of action for any other person, entity or member of the general public.
(b) Neither the Contractor nor the City is, nor will they be deemed to be, for any purpose, the agent, representative or employee of the other by reason of the Contract. Nothing in the Contract or any agreement or subcontract by the Contractor will create any contractual relationship between the Contractor’s employee, agent, contractor or subcontractor and the City.
No Third Party Beneficiaries; Independent Contractors. No third party, including any employee of any party to this Agreement, shall have or acquire any rights by reason of this Agreement. Draxis, DAHI and Pfizer shall be deemed to be independent contractors, and neither this Agreement nor any of the other Agreements shall be construed to create between or among any of Draxis, DAHI or Pfizer any other relationship such as, by way of example only, that of employer and employee, principal and agent, joint-venturer, partner or co-partner or any similar relationship, the existence of which is expressly denied by the parties.
No Third Party Beneficiaries; Independent Contractors. The MSA is for the benefit of the Parties and their successors and permitted assigns and does not confer any rights or benefits on any third party. Moloco and Company are entering this MSA as independent contractors, and this MSA will not be construed to create a partnership, joint venture, franchise, or employment relationship between them. Neither Party will represent itself to be an employee or agent of the other, or enter into any agreement on the other’s behalf or in the other’s name. This MSA does not constitute a hiring by either Party. It is the Parties intention that Company shall have an independent contractor status and not be an employee for any purposes, including, but not limited to, the application of the Federal Insurance Contribution Act, the Social Security Act, the Federal Unemployment Tax Act, the provisions of the Internal Revenue Code, the State Revenue and Taxation Code relating to income tax withholding at the source of income, the Workers' Compensation Insurance Code 401(k) and other benefit payments and third party liability claims. Company shall retain sole and absolute discretion in the manner and means of carrying out its activities and responsibilities under this MSA. Company will not be required to follow or establish a regular or daily work schedule, and Company shall supply all necessary equipment, materials, and supplies. Company will not rely on the equipment or offices of Moloco for completion of tasks and duties set forth pursuant to this MSA. Company will be solely responsible for determining the most effective, efficient, and safe manner to perform the Services.

This Agreement is not intended nor shall be construed to confer upon or give to any person or entity other than Customer and Hornbill any rights, remedies or other benefits under or by reason of this Agreement. The relationship of the Parties is that of independent contractors. Nothing in this Agreement is intended to, or should be construed to, create a partnership, agency, joint venture or employment relationship between the Parties.

This XXXX is not intended nor shall be construed to confer upon or give to any person or entity other than Licensee and Cloudhouse any rights, remedies or other benefits under or by reason of this XXXX. The relationship of the parties is that of independent contractors. Nothing in this EULA is intended to, or should be construed to, create a partnership, agency, joint venture or employment relationship between the parties.
