Non-Material Changes. Vendor may implement any new Network Operating Policies and Technical Requirements, or amend, or repeal and replace any existing Network Operating Policies and Technical Requirements, for a particular service at any time by providing all Participants notice of the change at least thirty days prior to the effective date of the change so long as the new or amended Network Operating Policies and Technical Requirements to the particular service are not Material. Within fifteen days of receiving notice of the non-Material change, a Participant may request that Vendor delay implementation of the change based on unforeseen complications or other good cause. Vendor shall respond to a request to delay implementation within seven days of receiving the request.
Non-Material Changes. Notwithstanding the foregoing, Client acknowledges, however, that KBI Biopharma is given flexibility to conduct the Services, although not expressly stated in the Proposal, at the time and in the manner that KBI Biopharma deems reasonably necessary to fulfill its obligations under this Agreement. Such flexibility includes the right to make non-Material Changes to the Services and the Proposal, provided that KBI Biopharma implements all such changes only (a) in accordance with KBI Biopharma’s written standard operating procedures governing change control and (b) after confirming that such change does not affect either the related Product specifications if such specifications and requirements are fixed in writing by the Parties. As used herein, “Material Change” is defined as any variation, alteration or modification of activities, materials, or methods provided in the Proposal that (i) impacts the regulatory commitments or filings for the Product, (ii) affects the quality, purity, identity or strength of the Product, or (iii) materially increases the cost of manufacturing the Product.
Non-Material Changes. Partner shall give written notice to the designated City representative of any of the following non-material changes that affects either programmatic or financial requirements of this Agreement but a written amendment will not be necessary.
i. Change of address, telephone number, email, fax number;
ii. Change of Partner’s authorized signatory or his/her designee;
iii. Change in the name and address of the designated representatives to which notices are to be sent;
iv. Changes in Agreement related personnel positions of Partner which do not affect staffing ratios or staff qualifications required under this Agreement.
v. Change in the name of Partner where the ownership remains the same.
Non-Material Changes. Any non-material changes to the land, buildings and infrastructure at Playland Park made by Manager, other than as described in this Section, which do not require amendment of the Plans and Specifications, may be made at any time, without the prior approval of the County.

We may make all other amendments to this Agreement (including changes to the Services) by: ● Posting the revised Agreement ("Revised Agreement") on the Site; or ● Providing you with a copy of the Revised Agreement through email or other electronic communication. D&B reserves the right to withdraw, reconfigure, modify, and/or substitute Information, Services or Software if (and only to the extent) required as a result of new legislation, or new technologies, or, where sourced from third parties, changes to the terms upon which data, services or software is supplied or made available to D&B, provided that such changes do not materially alter the existing functionality of the Information, Services or Software. D&B shall notify Customer as soon as is reasonably practicable if any such change affects an active Order.
Non-Material Changes. Any non-material proposed changes to the Disaster Recovery Plan (the materiality of which shall be determined in Customer’s sole discretion) may be incorporated into the revised Disaster Recovery Plan without Customer’s prior written approval.
