Owner Initiated Changes. Notwithstanding anything contained herein to the contrary, Owner may negotiate changes in the Work with Contractor by submitting a Request for Quotation to Contractor describing the change being considered and requesting that Contractor submit its proposal for the corresponding encumbrance against an Allowance, adjustment in Contract Price, any Key Completion Times, or Contract Time, if any.

Owner Initiated Changes. The Owner may request changes in the Work within the general scope of this Agreement consisting of additions, deletions or other revisions. If the Owner so desires to change the Work, it shall promptly contact the Contractor to discuss the proposed changes to determine appropriate changes to the course of and impact on the Work. In addition, the Owner shall promptly submit a change request to the Contractor in writing in the form set out in Schedule 11. Within five (5) Working Days of its receipt of any such request, the Contractor shall submit a detailed proposal to the Owner in the form set out in Schedule 11 stating (i) the proposed increase, if any, in the Fixed Contract Price which would result from such a Change in Work, (ii) the effect, if any, upon the Guaranteed Substantial Performance Date by reason of such proposed Change in Work, and (iii) any other effect that the change would have on the provisions of this Agreement, together with supporting data and documentation, including any reasonably requested by the Owner in its request for the Change in Work. If the Contractor does submit a proposal within the preceding five (5) Working Day time period, the Owner shall, within three (3) Working Days following its receipt of such proposal, notify the Contractor as to whether the Owner agrees with such proposal and wishes to accept the Contractor’s proposal for the Change in Work (for purposes of this Section 16.2, the “Approval Date”). If the Owner agrees with such proposal and wishes to accept the same, the Owner and the Contractor promptly shall execute a Change Order pursuant to Section 16.3 below. In the event that the Owner disagrees with the Contractor’s proposal for the Change in Work, the Owner may either (i) notify the Contractor that the Owner has decided to withdraw its requested change, or (ii) issue a Construction Change Directive pursuant to Section 16.4 below (the “Directive Date”). Notwithstanding the time frame for formalizing any changes described above, the Parties agree to consult with one another throughout the process with respect to such changes.
Owner Initiated Changes. When the Owner wishes to order changes in the Work, the A/E, on behalf of the Owner, will submit to the Contractor a PCO (Part A of the Change Order Form), consisting of a description of the request, including such Drawings and Specifications as are reasonably necessary to inform the Contractor of the nature of the change. Within 20 days of receipt of the Owner’s PCO, the Contractor will submit a CPE (Part B) to the A/E, with a copy to the ODR, stating either: 1) that the proposed change will be at no-cost, or proposing an adjustment in the Contract Sum and/or Time. The A/E will then prepare, sign, and submit a COJ (Part C) to the ODR, either confirming: 1) that the proposed change will be at no cost; or 2) that the change will result in a change in the Contract Sum. If the Owner agrees with the A/E findings, as presented in the COJ, then the Owner will sign a CA (Part D) authorizing the CO.
Owner Initiated Changes. Without invalidating the Agreement and without notice to any Surety, Owner may, at any time, order additions, deletions or revisions in the Work. These will be authorized by a written amendment, a Field Directive, a Change Order, or a Work Directive Change, as the case may be. Upon receipt of any such document, Contractor shall promptly proceed with the Work involved which will be performed under the applicable conditions of the Contract Documents (except as otherwise specifically provided). A Work Directive Change may not change the Contract Sum or the Contract Time; but is evidence that the parties expect that the change directed or documented by a Work Directive Change will be incorporated in a subsequently issued Change Order following negotiations by the parties as to its effect, if any, on the Contract Sum or Contract Time.

The request shall be accompanied by drawings and specifications prepared by the Designer. In response to the request for a proposal, the Contractor shall submit for evaluation detailed information concerning the price and time adjustments, if any, as may be necessary to perform the proposed change order work. The Designer and CM shall review the Contractor’s proposal, shall discuss the proposed changes with the Designer and Contractor, and endeavor to determine if the Contractor’s basis for the price and time proposed to perform the work is appropriate per the terms of the contract.

Such changes may be completed through a Change Order or by a Work Directive. The value of the work covered by the Change Order shall be determined by unit price (when applicable) or by a mutually agreed upon lump sum price.
