Parent’s Rights. Anything in this Section 7.3 to the contrary notwithstanding, the Representative shall not, without the written consent of Parent, settle or compromise any action or consent to the entry of any judgment which does not include as an unconditional term thereof the giving by the claimant or the plaintiff to Parent of a full and unconditional release from all liability and obligation in respect of such action without any payment by Parent.

Parent’s Rights. (a) All distributions in respect of the Pledged Collateral shall be paid to Parent but held in escrow by Lender pending maturity of the Notes; all rights to such distributions and payments shall remain subject to the lien created by this Pledge Agreement; provided that notwithstanding the foregoing the Borrower may distribute the proceeds of the issuance of the Notes to the Parent and such proceeds will not be subject to escrow or any liens hereunder; and (b) Parent hereby agrees to execute and deliver (or cause to be executed and delivered) all such instruments as Lender may reasonably request for the purpose of enabling Parent to exercise the rights which it is entitled to exercise pursuant to the provisions hereof, and to receive the distributions and payments which it is authorized to receive and retain pursuant to the provisions hereof.

Parents, upon presentation of identification, have the right to enter and inspect the day care facility in which their child is receiving care without advance notice to the provider. Entry is limited to the normal operating hours while their child is receiving care. 2. The law prohibits discrimination or retaliation against any child or parent/guardian for exercising their right to inspect. 3. The law requires that parents/guardians be notified of their rights to enter and inspect. 4. The law requires that this notification of parent’s right to enter and inspect be posted in the facility in a location accessible to parents/guardians. 5. The law authorizes the person in charge of the day care facility to deny access to a parent/guardian under the following circumstances: a) The parent/guardian is behaving in a way which poses a risk to the children in the facility or b) The adult is a non-custodial parent and the facility has been requested in writing by the custodial parent to not permit access to the non-custodial parent. The center must have a court order on file in order to follow this policy.
