Participation in Benefit Programs. Employee shall be entitled to participate in any benefit programs generally applicable to employees of Employer adopted by Employer from time to time. All expenses for which Employee may be eligible for reimbursement and all in-kind benefits Employee may receive pursuant to this Section 4 must be incurred by or provided to, as applicable, the Employee during the Period of Employment for the Employee to be eligible for the reimbursement or the in-kind benefit. All taxable reimbursements shall be paid as soon as administratively practicable, but in no event shall any reimbursement be paid after the last day of the taxable year following the taxable year in which the expense was incurred, nor shall the amount of taxable, reimbursable expenses incurred or in-kind benefits provided in one taxable year affect the expenses eligible for reimbursement or the in-kind benefits provided, as applicable, in any other taxable year. The right to a taxable reimbursement or an in-kind benefit under this Agreement will not be subject to liquidation or exchange for another benefit.

Participation in Benefit Programs. PCP acknowledges and agrees that, notwithstanding of the listing of a Benefit Program on Schedule D, PCP's participation in any one or more Benefit Program(s) is under no circumstances whatsoever conditioned by VISTA or a VISTA Affiliate or dependent on PCP's participation or non-participation in any other Benefit Program, relationship, arrangement, contract, line of business or other agreement with VISTA or any VISTA Affiliate.

These benefits include life insurance in the event of death equivalent to three (3) times base pay while employed. Employee will be entitled to one country club membership paid for by Employer provided that the Chief Executive Officer of Employer has prior approval on the selection of the specific club. Employee shall also be eligible to participate in (i) Employer's Incentive Compensation Plan and (ii) Employer's 1995 Incentive Stock Plan and 2001 Incentive Compensation Plan, as long as Employer continues such plans during the term of this Agreement, and to receive awards or grants under such Plans at Employer's sole discretion.
Participation in Benefit Programs. Employee shall be eligible to participate in all benefit programs and under the same terms and conditions as are generally applicable to salaried employees and senior executives of Employer during the term of his employment and as otherwise provided in this Agreement. These benefits include life insurance while employed which pays three (3) times base pay in the event of death. Employee will be entitled to one country club membership paid for by Employer provided that the Chief Executive Officer of Employer has prior approval on the selection of the specific club. Employee shall also be eligible to participate in (i) Employer’s 2001 Incentive Compensation Plan, (ii) Employer’s 2005 Long-Term Incentive Plan and (iii) any other equity-based compensation plan created by Employer during the term of this Agreement (the “Equity-Based Compensation Plans”), as long as Employer continues the plans during the term of this Agreement, and to receive awards or grants under the plans at Employer’s sole discretion. Employee also shall be entitled to participate in Employer’s annual incentive plan for senior executives, as in effect from time to time. Bonus awards shall be paid in accordance with the terms of such plan.
Participation in Benefit Programs. The Executive shall be entitled to participate in or receive benefits under all of the Company's benefit plans in effect on the date hereof or made available in the future to employees and key management personnel of the Company, including without limitation, major medical, dental, life and disability insurance, profit sharing, stock option and deferred compensation plans, subject to the general eligibility and participation provisions set forth in such plans. The commencement of inclusion of Executive as a participant in the Company's employee benefit plans shall be consistent with the waiting periods, if any, for the Company's executives generally. With respect to health insurance coverage for Executive's immediate family (defined as Executive's spouse and children), if such coverage is provided by the Company for its other executive officers, such coverage shall be provided on the same basis as it is provided to other executive officers of the Company.

Participation in Benefit Programs. MSO acknowledges and agrees and shall cause MSO Providers to acknowledge and agree that, notwithstanding of the listing of a Benefit Program on Schedule D, an MSO Provider’s participation in any one or more Benefit Program(s) is under no circumstances whatsoever conditioned by VISTA or a VISTA Affiliate or dependent on an MSO Provider’s participation or non- participation in any other Benefit Program, relationship, arrangement, contract, line of business or other agreement with VISTA or any VISTA Affiliate.
Participation in Benefit Programs. During the term of this Amended Agreement, Executive will be entitled to participate in all benefit programs hereafter adopted by Employer from time to time and to the extent permitted by such plans or programs.
