Payment; Late Payment. 6.1 The Products shall be supplied at the prices indicated in the Sale Agreement. Unless otherwise provided for in writing, the prices of the Products are in Pounds, net of VAT. The Seller may, by giving notice to the Buyer at any time up to two Business Days before Incoterms EXW – Ex-Works – delivery, increase the price of the Products to reflect any increase in the cost of the Products that is due to: a) any request by the Buyer to change the delivery date(s), quantities or types of Products ordered, or the Specification; or b) any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate or accurate information or instructions. 6.2 The payment shall be made by the Buyer strictly in accordance with the payment methods and terms provide for in the Sale Agreement. No payment shall be considered as being made by the Buyer until the relative amount has been credited to the bank account of the Seller. 6.3 Time for payment shall be of the essence. 6.4 If the Buyer is delinquent in its payment obligation to the Seller, the Seller may, upon written notice to the Buyer, withhold ongoing and future deliveries until all delinquent amounts and late interest are duly settled. If delinquent amounts remain unpaid 30 (thirty) calendar days after such written notice, then Seller may also, at its own discretion, in addition to any other remedy available under the law or pursuant to these GTCS: a) request accelerated payment of any and all remaining payments and declare due the total outstanding balance, even if payment by instalment or deferred payment has been agreed upon and/or bills of exchange, promissory notes, cheques or other payment documents have been issued and are falling due; b) carry out future deliveries of Products on a pre-payment basis only and/or set off the Buyer’s outstanding debt with the sums eventually due for any payment of other supplies; c) cancel discounts and bonuses that may have been agreed upon between the parties; and d) charge storage and inventory fees per week or part of it.

Payment; Late Payment. Unless otherwise established by mutual agreement of the parties, all payments due hereunder to GTM shall be paid as follows: (a) 33% deposit upon order, (b) 33% upon confirmation of completion of the Products by GTM, and (c) remainder upon confirmation of shipment (with “confirmation” in each case being a manner reasonably agreed upon by the parties). Unless otherwise agreed by the parties, all Products will be delivered F.O.B. GTM's (or its supplier's) facility or other place of shipment. Master Distributor or Authorized Customers referred or procured through the efforts of Master Distributor will pay and be responsible for all charges, including without limitation transportation charges, insurance premiums, taxes (except GTM's income taxes), duties, costs of compliance with export and import controls and regulations, and other governmental assessments. Master Distributor may reject any partial shipment or any shipment, or any portion thereof, which does not conform with the specifications for the Products, by providing GTM with notice of such rejection within 30 days of delivery of such Products to Master Distributor. Any amounts payable by Master Distributor or Authorized Customers referred or procured through the efforts of Master Distributor under this Agreement that remain unpaid after the due date for payment shall be subject to a late charge equal to the lesser of 1.5% per month or the maximum allowable by law, from the due date until the date of payment. All payments due GTM will be payable in United States currency. When Products are sold for moneys other than United States dollars, the money owed will first be determined in the foreign currency of the country in which the Products were sold, and then converted into equivalent United States currency. The exchange rate used for the conversion shall be that rate quoted in the Wall Street Journal (United States Edition) on the last business day before the invoice is issued.
Payment; Late Payment. Once the payment has been made, the relevant voucher must be sent accompanied by the payment details to XXXXXXXXXXXXXXXXXX@Xxxxxxx.xxx 2.1 In case of arrears in payment, Buyer shall pay a monthly interest equal to 2% (two percent) – estimated on a daily basis – plus 1% (one percent) as compensatory interest rate or the maximum interest rate authorized by law, if the latter is lower than the formerly mentioned. Late payment shall entitle Seller to cancel or put on hold deliveries of Products and/or Services until Buyer solves the situation. In such event, delivery dates shall be interrupted and if no fines could be imposed for that period, Seller shall have the right to cancel the Terms and Conditions without waiving its right to claim for damages. Buyer shall pay for all costs incurred in the collection of debts, including the lawyers’ fees hired by Xxxxxx.
Payment; Late Payment. Buyer will pay for the Product(s) within thirty (30) days from shipment. No deductions or offsets are permitted. Amounts past due are subject to a service charge at the maximum rate of interest then‐permitted by law until paid. Buyer will pay all of Zeiss’s costs and expenses incurred in the collection of past due amounts, including reasonable collection agency or attorney’s fees, court filing fees and other costs and disbursements.

Moreover, the Proprietor warns the Parent in this payment reminder about the termination authority of the Proprietor in pursuance of Article 10, paragraph 3, under a. This payment reminder must be sent at least 14 days prior to the date on which this authority can be invoked. 5. If, after the expiry of the period set out in the payment reminder, payment has still not been made, the Proprietor charges interest as from the expiry of the final due date specified in the invoice. This interest equals the statutory interest. 6. Extrajudicial costs incurred by the Proprietor to enforce payment of a Parent’s debt can be charged to the Parent. The amount of the extrajudicial collection costs will be governed by statutory limitations. 7. A payment made will firstly serve to settle the costs and interest owed and thereupon to settle the longest outstanding debts.

Unless agreed by SOTRAD WATER to the contrary, all payments shall be made in belgium without any possible deduction, whether through offsetting, claim against SOTRAD WATER, discount or otherwise, except if SOTRAD WATER has agreed to the deduction in writing in advance. The Customer shall moreover compensate SOTRAD WATER for any and all legal fees incurred to recover any amounts payable by the Customer. Without prejudice to the rights of and compensation payable to SOTRAD WATER, the latter may cancel any delivery of Goods and/or provision of Services to come in the event of non-payment. 8.4. If the Customer does not accept the delivery of Goods ready to be delivered or if SOTRAD WATER cannot deliver the Goods in due course because the Customer has not provided the appropriate instructions, documents, licences or permits (or for any other reason attributable to the Customer): - the Goods shall be deemed to have been delivered; - the risks relating to the Goods shall be transferred to the Customer as of the time that said Goods were ready to be delivered, and - SOTRAD WATER could put the Goods in storage until their delivery, whereby all related expenses shall be borne exclusively by the Costumer. 8.5. SOTRAD WATER can demand the return of all goods held by the customer, at the customer's expense; 8.6. SOTRAD WATER can terminate the contract entered into, with costs payable by the customer.

Payment; Late Payment. All invoiced Fees are due and payable by Customer as of the date of the applicable invoice. Customer shall pay to CAIRE the Fees as such Fees become due and payable as provided herein. Customer must notify CAIRE of any charge disputed in good faith, with supporting documentation, within thirty (30) days from the invoice date, or Customer will be deemed to agree to such charges and no adjustments to charges or invoices will be made. Customer shall continue to be responsible to pay for the charges by the due date, other than those charges that are being reasonably disputed in good faith. All invoices are fully earned when due and non-refundable when paid. Any payments not received by CAIRE within thirty (30) days after the date of the applicable invoice will be considered past due and will accrue a late fee of 1.5% per month (or, if less, the highest amount allowed by applicable law) for failure to pay such invoiced amount within thirty (30) days of the applicable invoice date and for each thirty (30) day period thereafter that such amounts remain past due and owing. Customer will reimburse CAIRE for all costs, including reasonable attorneys’ fees, court costs, bank charges and other consequential fees and expenses, if CAIRE utilizes CAIREview of a collections agency or attorney to collect any amounts due and unpaid hereunder. If any check tendered by Customer is returned for insufficient funds, Customer will pay, in addition to the invoice amount and any interest due, an NSF fee equal to the greater of $35 or five percent of the amount of the check.
Payment; Late Payment. This Note shall be payable in lawful money of the United States. Any payment that is more than 10 days late shall be subject to a late fee of 1.5% of the payment amount.

  • Late Payment Rent Late payment by Tenant to Landlord of Rent and other sums due will cause Landlord to incur costs not contemplated by this Lease, the exact amount of which will be extremely difficult and impracticable to ascertain.   • Late Payment Penalty When a Member or a Specified Corporate User neglects to fulfill the executing monetary obligations under this Agreement, or an Individual Contract, the Member or a Specified Corporate User shall pay the delayed payment to DBS at an annual rate of 14.6% on a pro rata basis (calculated on a daily basis with a year being equal to 365 days).

  • Additional Fee on Late Payments For any payments thirty (30) calendar days or more overdue under this Agreement, Registry Operator shall pay an additional fee on late payments at the rate of 1.5% per month or, if less, the maximum rate permitted by applicable law.

Such late payment charges shall be included on the billing Party’s next statement to the billed Party.
