Performance Date. If the date by which any obligation under any of the Transaction Documents must be performed occurs on a day other than a Business Day, then the date by which such performance is required shall be the next Business Day following such date.
Performance Date. Each of December 31, 2006, December 31, 2007 and December 31, 2008. Restricted Stock Units earned on these dates do not vest, until March 17, 2009.
Performance Date. Time is of the essence in the performance of all obligations by the parties hereto under this Agreement. Time periods commencing with the Effective Date shall not include the Effective Date in the calculation thereof.
Performance Date. 1. The Contractor shall perform all services referred to in § 4(1)("a" - "g") of the Agreement within year[ ]. A detailed schedule of services covered by the Agreement are set out in Annex No 1 to the Agreement.
2. After the Contractor has performed all the services indicated in § 4 (1) ("a"-"g" ) of the Agreement, the Contractor - at least 15 (fifteen) days before the scheduled date of acceptance - shall report in writing to the Contracting Entity his readiness to carry out the procedure of acceptance of the Line. The application of accepting the Line by the Contractor means that he submits a statement that the line in its condition at the date of commencement of its acceptance procedure is fully correct, complete and complies with the requirements of the Agreement.
3. The acceptance of the Line shall be confirmed by the Final Report of Acceptance signed by the representatives of the Parties ("the Final Report"). The Final Report shall contain the mention of defects or faults of the Line or its individual components, errors in their installation or configuration or other discrepancies between the way the Contractor has performed the works indicated in § 4 (1) ("a" - "g") of the Agreement and the Agreement or Bid. The Parties unanimously agree that no indication of defects, faults, errors or irregularities in the performance of the obligations by the Contractor in the Final Report shall neither exclude nor in any way limit the possibility to indicate them at a later date or refer to them or their consequences at a later date by the Contracting Entity.
4. The Contractor within the time limit defined in the Final Report, but not longer than 7 (seven) days from the date of signing of the Final Protocol, shall correct any defects, fault, errors and discrepancies indicated in the Final Protocol at his own expense and shall report the readiness to re- acceptance to the Contracting Entity. If in the course of the re-acceptance the Contracting Entity shall indicate the defects or faults of the Line or its individual components, errors in their installation or configuration or other discrepancies between the Contractor’s performance of the work indicated in § 4 (1)("a" - "g") of the Agreement or Bid, the Contractor shall correct them within the time limit defined in the Final Report.
5. Further iterations of the acceptance procedure shall be implemented in accordance with the provisions of para. 4.

Performance Date. Whenever under the terms of this Agreement the performance date of any provision hereof, including the date of maturity of interest on or principal of the Defeased Bonds, shall be a Sunday or a legal holiday or a day on which the Escrow Agent is authorized by law to close, then the performance thereof, including the payment of principal of and interest on the Defeased Bonds, need not be made on such date but may be performed or paid, as the case may be, on the next succeeding business day of the Escrow Agent with the same force and effect as if made on the date of performance or payment and with respect to a payment, no interest shall accrue for the period after such date.
Performance Date. Any performance required under this instrument that falls due on a Saturday, Sunday, federal holiday, or state bank holiday may be performed on the next day that is not a Saturday, Sunday, federal holiday, or state bank holiday.
Performance Date. Seller shall provide the Services to Buyer as described and in accordance with the schedule set forth on the reverse side of these Terms and in accordance with the terms and conditions set forth in these Terms. Seller acknowledges that time is of the essence with respect to Seller's obligations hereunder and the timely provision of the Services, including all performance dates, timetables, project milestones and other requirements in this Agreement.
Performance Date. 3.1 Seller shall perform the Services by the date specified in the Purchase Order or as otherwise agreed in writing by the Parties (the “Performance Date”). Timely performance of the Services is of the essence of the Purchase Order and Agreement. Seller shall promptly notify Buyer of any delays in Seller’s performance under the Agreement, but no such notification shall excuse or extend the time for performance otherwise required by the Purchase Order. Seller shall indemnify Buyer against any losses, claims, damages, and reasonable costs and expenses directly attributable to Seller’s failure to perform the Services by the Performance Date.
3.2 If Seller fails to satisfactorily perform the Services in full by the Performance Date, Buyer shall have the right, in its sole discretion and without prejudice to any other rights or remedies it may have under the Agreement, to take one or more of the following steps: (a) waive any such failure and require Seller to perform the Services by a future date specified by the Buyer; (b) assign one or more of its representatives to supervise and cooperate with Seller to correct and mitigate the effects of Seller’s breach; (c) suspend Seller’s right and obligation to complete its performance of the Services until such time as Seller is able to demonstrate to Buyer’s satisfaction that it can satisfactorily meet its obligations under the Agreement; (d) immediately terminate the Purchase Order by providing written notice to Seller and: (i) return any Goods partially delivered and reject any Work partially performed, all at Seller’s expense; or (ii) accept any Goods partially delivered and Work partially performed, with the Contract Price (as defined herein) of such Goods and/or Work being adjusted on a pro-rata basis for such partial performance; provided that in each case Buyer shall be entitled to withhold payment of any amounts otherwise due to Seller in a sufficient amount to set-off against any damages caused to Buyer as a consequence of Seller’s breach.
Performance Date. The Performance shall be on the dates and times and at the location agreed upon by the Artist and the University, which are specified in Schedule C. Only a written amendment to this Agreement duly executed can amend the Performance Date. Other than the foregoing, Artist shall establish the work schedule and work hours to perform all services pursuant to this Agreement, including, but not limited to, the time to prepare for the Performance and travel to and from the University. Artist shall have control over the specific content of the Performance, within the general topic area agreed upon in advance by the Artist and the University, which is specified in Schedule B. This Agreement shall not preclude Artist from offering Performances and any other services to any other business or individual, including any other entities that compete in any way with the University.
