PERIOD OF CHARTER. A. The period of this Charter shall be for a period beginning as of the date hereof and ending July 1, 2009 (hereinafter the "Charter Period"). This Charter automatically supersedes and terminates the Bareboat Charter and Bareboat Sub-charter. B. At the end of the Charter Period, or upon the sooner termination of this Charter for any reason, ITGPB or ITGV shall have the right to (i) purchase from Owner the Vessel, or (ii) purchase from PBE all of the membership interests of Owner pursuant to the terms and conditions set out in Article 19 hereof.
PERIOD OF CHARTER. (a) This Charter shall be for a period commencing on the Commencement Date and shall terminate on the second anniversary thereof, up to 30 days more or less in Charterer’s option, subject to the Charterer’s right to extend the Charter Period by up to seven (7) further consecutive periods each of twelve (12) months up to 30 days more or less in Charterer’s option. Anything herein to the contrary notwithstanding, the Charterer’s right to extend the Charter period as provided herein is subject to the condition that prior to the commencement of such extension period, the Vessel has not become an actual, constructive, compromised or arranged total loss or been requisitioned for title (but not for hire) or seized or acquired by any government or governmental entity. (b) Should the Vessel be upon a voyage otherwise than under requisition for hire at the time when the charter of the Vessel would (but for the provisions of this clause) have terminated, the Charter Period shall be extended for such additional time as may be necessary for the completion of such voyage. The Charter Period shall also be extended for such additional time as may be necessary to bring the Vessel to a port of redelivery as hereinafter provided in Clause 8 hereof. During any such extension, hire shall be paid pro-rata on a daily basis (assuming a 365-day year) at the rate in force before the commencement of such extension.
PERIOD OF CHARTER. A. The period of this Charter shall be for five (5) years (hereinafter the "Original Period") from the date of delivery as hereinafter provided. This Charter shall automatically supercede and terminate any existing bareboat charter of the Vessel, including without limitation that certain bareboat charter between Charterer and ITG Vegas, Inc., a Nevada corporation ("ITG Vegas") B. At the end of the Charter Period, provided no payment default by Charterer exists hereunder, Owner agrees to deliver title to the Vessel to Charterer pursuant to the terms and conditions set out in Article 19 hereof.
PERIOD OF CHARTER. (a) This Charter shall be for a period of eighteen (18) years from the Delivery Date (the "Charter Period") and shall comprise an initial fixed period (the "Fixed Period") of eight (8) years and five subsequent optional periods (each, an "Optional Period") of two (2) years each. The Charterer shall have the option of terminating this Charter on an Optional Termination Date upon the expiration of the Fixed Period or any of the Optional Periods (I) if the Optional Termination Date is the first Optional Termination Date, at the end of the Fixed Period upon provision to the Owner of (i) non-binding notice of its intent to exercise such option, determined on a good faith basis, at least 12 months prior to such Optional Termination Date and (ii) irrevocable notice of such exercise nine (9) months prior to such Optional Termination Date or (II) if the Optional Termination Date is any subsequent Optional Termination Date, at the end of the related Optional Period, such notification shall be made by the Charterer to the Owner at (i) nine (9) months and (ii) six (6) months, respectively. (b) Should the Vessel be upon a voyage otherwise than under requisition for hire at the time when the charter of the Vessel would (but for the provisions of this clause) have terminated, the Charter Period shall be extended for such additional time as may be necessary for the completion of such voyage. The Charter Period shall also be extended for such additional time as may be necessary to bring the Vessel to a port of redelivery as hereinafter provided in Clause 8 hereof. At the end of the Charter Period or in the event of termination of Master Charter, defined below, if Charterer exercises its option pursuant to Article 19 and pays the option exercise price thereof, Owner agrees to execute and deliver an assignment of its rights to purchase, or otherwise obtain title to, the Vessel under the Bareboat Charter and Option to Purchase ("Master Charter") dated of even date herewith between Cruise Holdings I, LLC ("Cruise Holdings") and Owner pursuant to the terms and conditions of Article 19 hereof.

At the end of the Charter Period or in the event of termination of Master Charter, defined below, if Charterer exercises its option pursuant to Article 19 and pays the option exercise price thereof, Owner agrees to execute and deliver an assignment of its rights to purchase, or otherwise obtain title to, the Vessel under the Bareboat Charter and Option to Purchase ("Master Charter") dated of even date herewith between Cruise Holdings II, LLC ("Cruise Holdings") and Owner pursuant to the terms and conditions of Article 19 hereof.
PERIOD OF CHARTER. 7.1. Subject to Clause 1.2 and Clause 8 and Clause 9, this Charter Agreement shall run for a period of twelve months, from the date of arrival at the Port of Galveston.

  • Period of Agreement This Agreement shall start on _, 20 (“Effective Date”), and end on , 20_ _, at 12:00 midnight (“Listing Period”), unless the expiration date is extended in writing.

  • Vacation and Sick Leave During the Term, Executive shall be entitled to (a) sick leave in accordance with the Company’s policies applicable to similarly situated executive officers of the Company from time to time and (b) 4 weeks paid vacation each calendar year (up to 40 hours of which may be carried forward to a succeeding year).

  • Reinstatement of Vacation Days - Sick Leave In the event an employee is sick or injured prior to the commencement of his/her vacation, such employee shall be granted sick leave and the vacation period so displaced shall be added to the vacation period if requested by the employee and by mutual agreement, or shall be reinstated for use at a later date.

  • Vacation Earnings for Partial Years (1) During the first partial year of service a new employee will earn vacation at the rate of three and two-thirds (32/3) days for each month for which the employee earns ten (10) days pay. (2) Subject to Clause 17.8, any unused vacation earned during the first (1st) partial year will be paid to the employee at December 31st of that year. (b) During the first (1st) and subsequent vacation years an employee will earn one-twelfth (1/12) of the annual entitlement for each month in which the employee has received at least ten (10) days' pay at straight-time rates. Where an employee has taken more vacation than earned, the unearned portion taken shall be charged against future earned credits or recovered upon termination whichever occurs first.

  • Period of Leave An employee shall be granted extended military leave for the initial period of enlistment, service, or tour of duty for a period not to exceed five (5) years. In addition, leave shall be granted for a period up to six (6) months from the date of release from duty if the employee requests such extension.

  • Period of Insurance Period of insurance means the period shown as such on the e-certificate and validation card, which time is taken as Greenwich Mean Time unless otherwise stated.

  • Term of Contract The term of this Contract shall be one (1) year commencing on the last date of approval by DIR and Vendor. Prior to expiration of the original term, DIR and Vendor may extend the Contract, upon mutual agreement, for up to three (3) optional one-year terms. Additionally, the parties by mutual agreement may extend the term for up to ninety (90) additional calendar days.

  • Period of Retention All books, records, reports, and statements relevant to this Contract must be retained a minimum three years and for five years if any federal funds are used under this Contract. The retention period runs from the date of payment for the relevant goods or services by the City, or from the date of termination of this Contract, whichever is later. Retention time shall be extended when an audit is scheduled or in progress for a period reasonably necessary to complete an audit and/or to complete any administrative and judicial litigation which may ensue.

  • Vacation; Sick Leave During the Employment Term, the Executive shall be entitled to not less than four (4) weeks of vacation during each calendar year and sick leave in accordance with the Company’s policies and practices with respect to its executives.
