Personnel and Subcontractors. 12.1 The Contractor shall be responsible for providing at its own cost and expense all personnel necessary to perform the Services. 12.2 The Contractor accepts that DCC may refuse to admit to any premises occupied by or on behalf of DCC any person employed or engaged by the Contractor, or by any other person whose admission would be, in the reasonable opinion of DCC, undesirable. The Contractor will not be responsible for any delays in scheduling or performance of the Services caused by such refusal. 12.3 If requested by DCC, the Contractor shall within seven (7) days provide a list of the names of all persons who it expects may require admission in connection with the performance of a Call-Off Contract to any premises occupied by or on behalf of DCC specifying the capacities in which they are concerned with a Call-Off Contract and giving such other particulars as DCC may reasonably require, subject to the Contractor’s confidentiality and privacy provisions. 12.4 The Contractor shall not engage any agents or sub-contractors to provide the Services or any part of the Services without DCC’s prior written consent (such consent not to be unreasonably withheld or delayed). The Contractor shall remain responsible for obligations which are performed by its permitted agents or sub-contractors and for the acts or omissions of those agents and sub-contractors as if they were acts or omissions of the Contractor.

Personnel and Subcontractors. 8.1 The Contractor will provide only personnel who have the qualifications, experience and capabilities to provide the Goods and perform the Services. 8.2 The Contractor will provide the Goods and Services using the personnel and sub- contractors as may be listed in the Quotation, and the Contractor will not remove any such listed personnel or sub-contractors from the Services without the prior written approval of the City. 8.3 If the City reasonably objects to the performance, qualifications, experience or suitability of any of the Contractor's personnel or sub-contractors then the Contractor will, on written request from the City, replace such personnel or sub-contractors. 8.4 Except as provided for in Section 8.2, the Contractor will not engage any personnel or sub-contractors, or sub-contract or assign its obligations under this Agreement, in whole or in part, without the prior written approval of the City. 8.5 The Contractor will preserve and protect the rights of the City with respect to any Services performed under sub-contract and incorporate the conditions of this Agreement into all sub-contracts as necessary to preserve the rights of the City under this Agreement. The Contractor will be as fully responsible to the City for acts and omissions of sub-contractors and of persons directly or indirectly employed by them as for acts and omissions of persons directly employed by the Contractor.
Personnel and Subcontractors. ACRPC shall employ only qualified personnel, to carry out and supervise the work. ACRPC shall also be responsible for hiring any subcontractors supervising their work and ensuring their compliance with the terms of this agreement. Bristol shall have the right to approve or disapprove key personnel and Subcontractors, and their personnel, assigned to administer activities related to the agreement.

A senior member of the monitoring team shall be present in New Orleans every weekday of the year, except federal and state holidays.

Personnel and Subcontractors. For all purposes under the Agreement, in no event shall any employee, agent or Subcontractor of Seller be considered a borrowed servant, unless and only to the extent that the Purchase Order expressly provides that one or more of Seller’s employees, agents or Subcontractors is being supplied to Buyer without supervision by Xxxxxx and who will be under the exclusive direction and control of Buyer. In all other cases, all employees, agents or Subcontractors of Seller performing Services or work in connection with the Agreement shall be considered employees of an independent contractor. Buyer reserves the right to approve any subcontractor which is retained by Seller for the purposes of subcontracting any portion of the Services (each a “Subcontractor”) in its sole discretion and, without limitation, can require the replacement of a Subcontractor for cause (in which case Seller will pay all costs associated with such replacement) or without cause (in which case Buyer will pay all costs associated with such replacement). Such Subcontractors shall not be changed without Buyer’s prior consent. Seller acknowledges and agrees that the fees for any Subcontractors are included in Seller’s compensation as provided in the Purchase Order.

Personnel and Subcontractors. 12.1 The Contractor shall ensure that, at all times:- 12.1.1 each of the Contractor Personnel is suitably qualified, adequately trained and capable of providing the applicable Services in respect of which they are engaged; 12.1.2 there is an adequate number of Contractor Personnel to perform its obligations under this Agreement (including in relation to the supply of Services) in accordance with this Agreement; 12.1.3 only those people who are authorised by the Contractor (and who comply with the obligations on the Contractor under this Agreement) are involved in providing the Services; and 12.1.4 all of the Contractor Personnel comply with all of the Mandatory Requirements and the Contractor's other obligations in connection with this Agreement, including those that apply to persons who are allowed access to any of the DCC Premises. 12.2 The Contractor accepts that DCC may refuse to admit to any premises occupied by or on behalf of the DCC any person employed or engaged by the Contractor, or by any other person whose admission would be, in the reasonable opinion of the DCC, undesirable. 12.3 If requested by the DCC, the Contractor shall within thirty (30) days provide a list of the names of all persons who it expects may require admission in connection with the performance of this Agreement to any premises occupied by or on behalf of the DCC specifying the capacities in which they are concerned with this Agreement and giving such other particulars as the DCC may reasonably require, subject to the Contractor’s confidentiality and privacy provisions. 12.4 The Contractor shall not engage any agents or subcontractors to provide the Services or any part of the Services without the DCC’s prior written consent (such consent not to be unreasonably withheld or delayed). A list of the Contractor’s subcontractors is included at Schedule 4.3 (Subcontractors) 12.5 The Contractor shall remain responsible for obligations which are performed by its permitted agents or subcontractors and for the acts or omissions of those agents and subcontractors as if they were acts or omissions of the Contractor.
