Subcontractors and Personnel. 10.1. The Seller is not entitled, without the approval of the Contracting Authority, to replace the personnel and subcontractors indicated in the Tender or to involve additional subcontractors or personnel in the performance of the Procurement Contract. 10.2. If the Seller hires subcontractors for the performance of this Contract, their replacement and the recruitment of new subcontractors must be carried out in accordance with the provisions of Article 62 of the PPL. 10.3. Since the services included in this Procurement Contract are provided at the Contracting Authority’s premises, after the award of the Procurement Contract and no later than upon commencement of the implementation of the Procurement Contract, the Seller shall submit a list of all subcontractors involved in the provision of services, if any, including the subcontractor’s name, contact details and authorised representative, insofar as such information is known. The list should also include subcontractors of the supplier’s subcontractors. 10.4. During the performance of the Procurement Contract, the Supplier shall notify the Contracting Authority of any changes in the information referred to in Clause 10.3 of the Regulations, and shall supplement the list of subcontractors by including any subcontractors hired for the provision of services at a later time (if applicable). 10.5. The Contracting Authority will not agree to the replacement of a subcontractor indicated in the Tender or to the recruitment of a new subcontractor in the cases stipulated in Article 62, Paragraphs three and four of the PPL. 10.6. The Contracting Authority will not agree to the replacement of personnel indicated in the Tender in the cases stipulated in the Procurement Contract and in Article 62, Paragraph two of the PPL.

Subcontractors and Personnel. Agent may not subcontract any portion of the Services without the PRINCIPAL’s written authorization within an applicable PO or Schedule. If PRINCIPAL permits subcontracting, Agent shall remain fully liable for all acts and omissions of suchsubcontractors to same extent such acts and omissions were performed by Agent’s employees, and all subcontractors will abide by the provisions of these General Terms and Conditions as if they were Agent. Unless otherwise specified in an applicable PO/Schedule, all services provided under these General Terms and Conditions, whether performed by Agent or authorized subcontractors, shall be performed in the United States For avoidance of doubt, any violation of this provision shall be considered a material breach of these General Terms and Conditions.
Subcontractors and Personnel. (a) Subject to the terms of this Section 8.02, Seller has and may hire or engage, at no additional cost to Buyer or the Company except as otherwise agreed to by the Company set forth herein or in the SPA, one or more subcontractors and other vendors (such subcontractors and vendors, collectively the "SELLER SUBCONTRACTORS"), to perform all or any of its obligations to provide Services under this Agreement; PROVIDED that, subject to Section 4.01, Seller shall in all cases remain responsible for all obligations to provide Services undertaken by it in this Agreement with respect to the scope, quality, timeliness and nature of the Services provided to the Company in accordance with the standards set forth in Section 2.03. (b) All Seller personnel and Seller Subcontractors providing Services on behalf of Seller to the Company in accordance with this Agreement shall remain and shall be deemed to be for all purposes, including all compensation and employees benefits purposes, representatives, employees or agents of Seller or independent contractors thereof, and not of the Company. Except as otherwise provided herein or in the SPA with respect to payment of Service Costs, retention costs and other costs or expenses, Seller shall pay all related costs, including salary, bonus, employer's share of all applicable withholding Taxes, other out of pocket expenses normally incidental to the Transition Services and benefits received by such employees and representatives. Except as otherwise provided herein or specifically and previously agreed in writing by the Company, neither Seller, any of the Seller Subcontractors nor their personnel shall have the power or authority to act as agent or attorney-in-fact of the Company or bind the Company in any way. (c) Seller shall follow policies and procedures with respect to security and background checks in accordance with its current standards as previously shared with Buyer and as permitted by Law and Orders in connection with any actual or prospective Seller employee or Seller Subcontractor staffed or contemplated to be staffed with respect to the Transition Services, the Other Services or the performance of this Agreement. (d) Upon the Company's request and at the Company's expense, Seller shall enforce on behalf of the Company all rights, remedies, and recourse under contract, at Law or equity available against a Seller Subcontractor that benefit or may benefit the Company (each, a "SELLER SUBCONTRACTOR CLAIM") for such Selle...
Subcontractors and Personnel. (a) Subject to Seller’s obligation to perform (or cause to be performed) the Transitional Services in accordance with the Service Standard, Seller reserves the right, at Seller’s discretion, to subcontract the performance of any of the Transitional Services to another provider, including third parties and Seller’s Affiliates (each, a “Subcontractor”). Seller shall be the sole point of contact regarding the Transitional Services, including with respect to payment for the Transitional Services. Seller shall not be relieved of any of its obligations under this Agreement as a result of the provision or non-provision of any Transitional Services by any Subcontractor; provided, however, that, subject to ARTICLE XI, neither Seller nor its Affiliates shall be liable for or with respect to any interruption, disruption or downtime in the Transitional Services caused by acts or inactions of a third-party provider or any other party outside of the reasonable control of Seller and its Affiliates. (b) Subject to Seller’s obligation to perform the Transitional Services in accordance with the Service Standard, Seller and its respective Subcontractors shall have the right, in their discretion, to (i) designate which personnel they will assign to perform the Transitional Services and (ii) remove and replace such personnel at any time. In performing their respective duties hereunder, all such personnel shall be under the direction, control and supervision of Seller and its respective Subcontractors, and the foregoing shall have the sole right to exercise all authority with respect to the employment (including termination of employment), assignment and compensation of their respective personnel.

Subcontractors and Personnel. 11.2.1 The Service Provider must ensure that all Personnel, when using DFAT‟s premises or facilities, comply with all DFAT procedures and directions relating to security. 11.2.2 If required by DFAT each of the Personnel engaged by or on behalf of the Service Provider, must meet all necessary security assessments and standards required by DFAT including: (a) an identity check; (b) a National Police Clearance check or equivalent; (c) signing any forms notified to the Service Provider by DFAT from time to time; and (d) holding Australian Government security clearances to the level requested by DFAT in accordance with the Commonwealth Protective Security Policy Framework, or as otherwise required by DFAT.
Subcontractors and Personnel. 14.1 The Supplier may use sub-contractors to a greater extent than implied in the Purchase Agreement with the Customer’s prior written consent. The Supplier shall be liable for the performance, work and resources of its subcontractor as of its own. 14.2 The Supplier shall assign only skilled personnel with appropriate qualifications and experience to perform its duties concerning the Object of Purchase. The Supplier shall without delay replace a person who at either Party’s view lacks adequate capabilities to deliver the Object of Purchase or whom either Party otherwise deems unfit for the role. The Supplier shall be liable for any costs arising from the placement, including time needed for new individual to learn the process. 14.3 The Supplier shall always be liable for the work performed in the Customer's premises. The Supplier undertakes to comply with applicable employment and social security Law in writing as well as with a collective labor agreement applicable its personnel working in the Customer’s premises.

Subcontractors and Personnel. All individuals providing Services must be Contractor’s employees unless Company expressly agrees otherwise in writing. Individuals providing Services that are employed by Contractor or any approved subcontractor are referred to as “Personnel”. All actions and omissions of any subcontractor are deemed Contractor’s actions and omissions under this Agreement.
