Preparatory meeting. First-time renters will be required to meet with a member of the HTH board IN PERSON at the HTH for a venue orientation prior to the event date. This process may be waived for repeat renters. Renters will coordinate with a HTH Board Liaison to load-in equipment on the day of the event. The renter’s Board Liaison shall admit renters to the building (renters do not receive a key) and supervise renters with the proper set-up of the space, such as seating, lighting, drapery and musical instrument arrangement. The main seating area of the Xxxxxxxx Town House is ADA compliant. Visitors with mobility needs may use the accessible parking on Depot Street, which is in close proximity to the building’s accessible entrance. Preparatory meeting. The host city shall convene an administrative Preparatory Meeting no later than six (6) months before the Sister City Conference. Each city's designated contact person shall be invited to the Meeting. If it so wishes, the host city can hold the Preparatory Meeting by video link, which will enable a larger number of participants. The Preparatory Meeting will plan the programme of the Sister City Conference and evaluate together summary of activities. In addition, the Meeting will address possible areas of cooperation that each city has considered beforehand. Each city, in turn, will host the official Sister City Conference. The Conference will be held biennially. The duration of the Conference is two whole days, excluding the arrival and departure days. The official Conference programme consists of the aims stated in Section 3 and matters specified separately at the Preparatory Meeting. The host city will present the summary of activities, which will have been prepared jointly by the cities' contact persons. It is the host city's responsibility to invite delegations from the other cities to the Conference three (3) months before it is due to be held. Invitations shall be directed to a maximum of eight (8) representatives from each city. The size of the delegations may, for special reasons, be stipulated at the Preparatory Meeting. In each case, account must also be taken of the themes specified in the Agreement and Action Plan with regard to the participation of experts. It is assumed that the Conference will be attended by e.g. the mayor, political leaders and administrative representatives (max 8 persons) from each city. The cities are free to choose their representatives taking into account the designated sister city contact person or deputy and a possible request for administrative / professional representatives from particular fields. The cities are responsible for ensuring the participation of the Föreningen Norden association (1person) if there is an active local association. In the lack of the presence of Föreningen Norden, a city may send a politician, administrator in replacement to the Sister City Conference. Föreningen Norden, in particular, will play an active role in cooperation between the cities by participating in the Sister City Conferences and other activities.

  • Negotiation Meetings The first bargaining session shall be held at a mutually agreed time and date within fourteen (14) days of the request. All proposals by the parties shall be written and submitted to the representative(s) of both teams at the first meeting.   • Stockholder Meeting; Proxy Material Subject to the provisions of Section 5.04, the Company shall cause the Company Stockholder Meeting to be duly called and held as soon as reasonably practicable for the purpose of voting on the approval and adoption of this Agreement and the Merger unless a vote of stockholders of the Company is not required by New York Law. Subject to the provisions of Section 5.04, the Directors of the Company shall recommend approval and adoption of this Agreement and the Merger by the Company's stockholders at the Company Stockholder Meeting, and will include such recommendation in the Company Proxy Statement; provided, however, that, consistent with its fiduciary duties set forth in Section 5.04, the Board of Directors of the Company shall be permitted to (i) not recommend to the Company's stockholders that they give the Company Stockholder Approval or (ii) withdraw or modify in a manner adverse to Buyer and Merger Subsidiary its recommendation to the Company's stockholders that they give the Company Stockholder Approval, but in each of cases (i) and (ii) only if and to the extent that the Company has complied with Section 5.04 and this Section 5.02 and a Superior Proposal (as defined below) is pending at the time the Company's Board of Directors determines to take any such action or inaction. The Company will (i) in connection with the Company Stockholder Meeting, promptly prepare and file with the SEC, use commercially reasonable efforts to have cleared by the SEC as promptly as practicable and thereafter mail to its stockholders as promptly as practicable the Company Proxy Statement and all other proxy materials for such Company Stockholder Meeting and (ii) unless, to the extent permitted by the second sentence of this Section 5.02, and subject to Section 5.04, the Board of Directors shall not recommend to the Company's stockholders that they give the Company Stockholder Approval or shall have withdrawn or modified in a manner adverse to Buyer its recommendation, use commercially reasonable efforts to solicit proxies in favor of the approval of this Agreement and the Merger, provided that the obligation of the Company to cause the Company Proxy Statement and the proxy to be mailed to the Company's stockholders is subject to the Board of Directors of the Company having received from Jefferies & Co., Inc. confirmation of its opinion referred to in Section 3.02 as of the date scheduled for mailing of the Company Proxy Statement if the Board of Directors requests such a confirmation. For purposes of this Agreement, "Superior Proposal" means any bona fide Acquisition Proposal, on terms that the Board of Directors of the Company determines in its reasonable good faith judgment are more favorable to the Company's stockholders taken as a whole than the transactions contemplated by this Agreement and with respect to which the Company's Board of Directors determines, in its reasonable good faith judgment, after consultation with its financial advisors, the Person making such Acquisition Proposal has the financial means to consummate such Acquisition Proposal. For purposes of this Agreement, "Acquisition Proposal" means any offer or proposal for a merger, consolidation or tender or exchange offer or other business combination involving the Company or any Subsidiary of the Company or the acquisition of any substantial debt or equity interest in, or a substantial portion of the assets of, the Company or of any Company Subsidiary, other than the transactions contemplated by this Agreement.

  • Other Meetings Other meetings of the Board shall be held at such times and places as the Board, the Chairman, the President or any director shall from time to time determine.

  • Joint Meetings 10.1(a) Should either party desire to discuss with the other any matter affecting generally the relationship of the parties, a meeting of Union and management representatives shall be arranged upon request of either party. Such meeting shall take place at a time mutually convenient to both parties.   • Member Meetings (a) There shall be no meetings of the Members unless called by the Board or as otherwise specifically required by the Delaware Act. No Members or group of Members, acting in its or their capacity as Members, shall have the right to call a meeting of the Members. (c) A majority of the Shares present at such meeting, either in person or by proxy, and entitled to vote thereat, shall constitute a quorum for the purpose of such meeting, unless any such matter to be acted upon requires the approval of two-thirds of the Voting shares, in which case two-thirds of the Shares present at such meeting, either in person or by proxy, and entitled to vote thereat, shall constitute a quorum for the purpose of such meeting. The Delaware Court of Chancery may issue such orders as may be appropriate, including orders designating the time and place of such meeting, the record date for determination of Members entitled to vote, and the form of notice of such meeting. (d) No Members or group of Members, acting in its or their capacity as Members, shall have the right to call a meeting of the Members.
