Prices and Price Changes. (a) Company agrees to provide its products at prices no higher than those submitted here, in any resulting UF BPA for at least one calendar year following the date of that UF BPA. However, during the time period that the UF BPA is in effect, Company may offer price decreases at any time for at least one year duration.
(b) The price per unit of measure for a given dosage form and strength (each, gram, mL, etc.) of the pharmaceutical agent will be the same for all available package sizes (e.g., 30s, 100s, 1000s) within a given dispensing venue. Quotes must include all National Drug Codes (NDCs) available for purchase by the Government and on the Company’s FSS Interim Agreement for quoted form and strength. Company requests for exception to the same price per unit of measure across package sizes must be submitted in writing to the Contracting Officer not less than 14 calendar days prior to the quote due date. It is within the Government’s sole discretion to grant an exception. The Contracting Officer may be contacted using the address in Paragraph 11. If an exception is granted by the Government, the DoD P&T Committee’s relative cost evaluation for that dosage form and strength will use the price per unit of measure from the package size with the highest price per unit of measure. Company requests to exclude institutional or Hospital Unit Dose packaged NDCs must be submitted in writing to the Contracting Officer not less than 14 calendar days prior to the quote due date. The Contracting Officer may be contacted using the address in Paragraph 11. The Government’s decision on exclusion of institutional or Hospital Unit Dose packaged NDCs or exception(s) to the same price per unit of measure across package sizes will be provided to the Company no more than seven calendar days after receipt of the request. The Government decision is final and not subject to appeal.
(c) If after one calendar year following the date of this UF BPA, and no more frequently than annually thereafter, and there has been an increase in the price reflected on Company’s FSS contract/Interim Agreement, the Company may request to increase its price under the UF BPA. Prices and Price Changes. We will specify the prices for each Product and inform you of any changes. Price increases do not apply to you if we receive your order before the effective date of the increase. You receive the benefit of a price decrease for Products we ship on or after the effective date.
Prices and Price Changes. 1. All prices used by UnScared are including VAT, as well as any costs to be incurred in connection with the Agreement and administrative costs, unless otherwise indicated.
2. UnScared is entitled to adjust its prices at any time and will announce any possible price increases at least four (4) weeks in advance.
3. In the event of a price increase, a Consumer will have the right to terminate the Agreement within four (4) weeks after notification of such price increase by UnScared by sending an email to xxxx@xxxxxxxx.xxxxxxx. However, the option to terminate is not applicable to price adjustments on the basis of the price index as published by the statistics institute CBS for house-hold consumption, nor to price adjustments which result directly from legislation, such as a VAT increase. Any fees owed by a Consumer after invoking its right to terminate the Agreement will be recalculated to reflect the actual period of the Agreement. Prices and Price Changes. Products shall be sold to OEM Partner at the prices established in Exhibit A -- Product Description and Pricing Schedule. All prices are in U.S. dollars. OEM Partner is free to set its own prices for resale. Palm may unilaterally change its prices from time-to-time by providing advance written notice to OEM Partner.

Seller will have the right through its independent auditors to inspect Reseller 's facilities and records to verify the amounts and fees charged to Reseller's customers hereunder. Reseller shall keep records regarding its resales and sublicenses to Reseller's customers hereunder in detail to permit Seller to make such a verification. Seller may change the price of any Seller Product subsequent to the date of this agreement. If prices are increased, Seller will give Reseller a written notice thereof effective immediately upon increase.Firm funded purchase orders accepted by Seller before the written notice of price increase is issued shall be honored at the old (lower) price so long as the scheduled shipment date therefore is not later than thirty (30) days after the date of the written notice of price increase. If prices are decreased, Seller will give Reseller a written notice thereof effective immediately, and the decrease shall apply to all unused unopened inventory purchased by Reseller during the previous thirty (30) days, as well as to orders-in-process.

Vandalia, Ohio. EURAND’s manufacturing costs shall be determined in accordance with Exhibit C attached hereto. EURAND shall sell samples to ECR at a price equal to EURAND’s manufacturing cost [****]; provided, however, that during the first year following the commercial launch of the Finished Goods, ECR’s total purchases of samples shall not exceed [****] of total tablets or capsules purchased in the first year, and in the second and third years shall not exceed [****] of total tablets or capsules purchased, and thereafter shall not exceed [****] of total tablets or capsules purchased; and further provided that in each case the samples are in fact disposed of as samples and are not sold by ECR.
(b) EURAND shall be entitled to adjust the price set forth in Section 7.1(a) above to reflect changes in its manufacturing costs; provided, however, such adjustments may be made no more than once per calendar year. EURAND shall notify ECR of the revised price of the Product during the last quarter of each calendar year during the term of the Agreement. The revised price shall be applied to any delivery of Product made during the following calendar year. In addition, the price applicable during any calendar year may be adjusted by EURAND as soon as is practicable after thirty (30) days written notice to ECR, to cover one hundred percent (100%) of any additional cost or expense of manufacturing Product, to the extent that a change in manufacturing technique is requested by ECR or required by a change in Applicable Laws (including a change in cGMP), or caused by an increase in cost of raw materials.
