Prices and price revision. 3.1 Unless otherwise agreed, quoted selling prices shall be understood in Euro for supplies EXW (Incoterms 2010) plus value-added tax at the applicable statutory rate, plus packaging costs. 3.2 We shall charge an additional minimum quantity surcharge and a handling charge on orders which fall below our notified minimum order threshold or notified minimum order quantity. The buyer shall meet extra costs deriving from special dispatch mode requirements (e.g. express carriage). 3.3 Up to the date of delivery, we reserve the right to make reasonable adjustments to prices which are affected, other than to a minor degree, by rises or falls in costs after contract conclusion (e.g. due to collective bargaining agreements, changes to the burden of taxation or in the prices of commodities and materials, other price revisions by suppliers, or foreign exchange rate fluctuations) which are beyond our control and which were not foreseeable with sufficient certainty at the time of conclusion of the contract. We will prove the grounds of the price amendment to the buyer on request. If delivery relations are ongoing we may, on the same terms, adjust the prices agreed for future orders.

Prices and price revision. 6.1 Each Training will be invoiced at the prices and conditions stated in the Agreement. The price includes, unless expressly stated otherwise: the Training, the Training syllabus, coffee or soft drinks during the break and lunch (except for half days). 6.2 Prices are drawn up on the basis of a normal training day for open Training between 9am and 5pm (8.30am for VCA Training) and for other Trainings between 6am and 8pm, in each case from Monday to Friday, excluding public holidays. 6.3 Give rise to a surcharge on the prices communicated, the services carried out as part of an in-company Training: 6.4 Delays or waiting times, additional costs and services, such as additional training required in addition to the agreed Training, may be charged by Training Provider. The price of those delays, waiting times and additional services will be determined by Training Provider according to the principles included in this article. 6.5 Prices are always quoted exclusive of any Belgian or foreign taxes (including but not limited to VAT). Unless explicitly agreed otherwise, the aforementioned prices do not include the travel and accommodation costs of the Employees. 6.6 The prices in a price offer or special agreement remain valid for the duration of the specific Training as stipulated in the Agreement. Notwithstanding the foregoing, Training Provider expressly reserves the right to impose any additional charges or taxes that would encumber the services, instituted or imposed between the day of entering into the Agreement and the day of delivery of the services, to be borne by the Applicant. 6.7 All prices may be amended by Training Provider at any time (and at least annually) if Training Provider's costs would change pursuant to objective and measurable parameters such as, inter alia, new taxes and/or levies, a change in legislation, a change in energy prices, a change in wage and/or fuel costs and/or a change in exchange rates or on the basis of industry indexation. Price revisions will be notified in writing to Applicant at least 14 calendar days before they take effect. After the expiry of this period, Training Provider has the right to apply the revised prices. The new indexed prices will automatically apply from 1 January unless otherwise expressly provided.

  • Price Schedule, Payment Terms and Billing, and Price Adjustments (a) Price Schedule: Price Schedule under this Contract is set forth in Exhibit B.

  • Unit Price Work Work to be paid for on the basis of unit prices as defined and described in the Contract Documents. A percentage markup for overhead or profit shall be included in all unit prices.

  • Price If pricing is not stated on this Order or in an executed procurement agreement, then Supplier’s pricing shall not exceed the lowest prices charged by Supplier to other similarly situated customers.   • Supply Price The Initial Term “Supply Price” for the “Monthly Fixed Price Volume” set forth on Exhibit A shall be $[______]/MWh for the first [***] years of the Initial Term, and thereafter shall be the then-current market price as mutually agreed by Customer and Supplier prior to the end of the [***] year. The Extension Term Supply Price, if any, will be the then-current market price as mutually agreed by Customer and Supplier prior to entering into the Extension Term. Supplier and Customer may agree to fix the Supply Price for one or more periods during the Term that individually and in total are shorter than the full Term. Exhibit A sets forth the hourly delivery volume for which the Energy Price will be fixed during each month of the Term to take into account the phase-in of the facility which is expected to progress at a rate of approximately [***]MW per month (the “Monthly Fixed Price Volume”). Supplier represents that Supplier has used commercially reasonable efforts to set such Supply Price at approximately [***]% discount to the forward price at which Supplier xxxxxx its delivery obligations under this Transaction Confirmation with respect to any financial or physical energy supply arrangement intended to cover the Monthly Fixed Price Volume, the settlement index (ERCOT North Load Zone), and this Transaction Confirmation term. The [***]% discount shall be revised to take into account any physical or software limitations originating from Customer and limiting Supplier’s ability to curtail 100% of the load at the Data Center. Exhibit A also sets forth the minimum load that Customer has designated as not subject to economic curtailment (“Non-Curtailable Load”), which represents, among other things, the Motor Control Center (MCC), and other essential server and administrative load. Customer and Supplier can, in the context of the immediately preceding sentence, agree on a lesser than [***]% discount with respect to the Supply Price to account for Supplier’s incremental cost of providing a fixed Supply Price for Non-Curtailable Load.

  • Product Prices Product prices and validity of product prices are stated in the Offer and/or in the Individual Agreement.

  • FRAMEWORK PRICES 2.1. The Framework Prices consist of the Supplier Margins as reduced by any applicable Discounts. Subject to paragraph 2.6 below, the Supplier Margins shall not exceed the Supplier Maximum Margins. 2.2. The Supplier Maximum Margins are as follows: 2.3. Subject to paragraph 2.6, the Supplier Maximum Margins are the maximum margins that the Supplier may charge pursuant to any Call Off Agreement. 2.4. The Supplier Margins shall be discounted as follows: 2.5. The Discounts are the minimum discounts that the Supplier shall apply to the Supplier Margins pursuant to any Call Off Agreement. 2.6. In the case of the Contracting Body requiring SMR, SMI and/or fuel cards options (see paragraph 4 of Framework Schedule 1), the Contracting Body may require alternative Framework Prices which shall be stipulated further by the Contracting Body in a Further Competition Procedure.

  • Adjustments in Share Numbers and Prices In the event of any stock split, subdivision, dividend or distribution payable in shares of Common Stock (or other securities or rights convertible into, or entitling the holder thereof to receive directly or indirectly shares of Common Stock), combination or other similar recapitalization or event occurring after the date hereof, each reference in any Transaction Document to a number of shares or a price per share shall be amended to appropriately account for such event.
