Promotional Duties. (a) DISTRIBUTOR shall (i) exert its best efforts consistent with sound business planning and projected profitability and sales potential to introduce and diligently advertise, promote, sell, distribute, and service (collectively, "Marketing") the PRODUCT, (ii) make use of, and disseminate to its existing customers, and to potential purchasers, all promotional materials, if any, supplied by MACH 3, and (iii) cooperate with MACH 3 in activities directed toward the Marketing of the PRODUCT. At MACH 3's request, DISTRIBUTOR shall make immediately available to MACH 3 copies of all print and electronic Marketing materials used by it for the PRODUCT. (b) DISTRIBUTOR shall at all times demonstrate and otherwise represent the PRODUCT fairly and accurately in comparison with competitive products from other manufacturers, shall make no false or misleading representations with regard to the PRODUCT, and shall not make any representations with respect to the specifications, features or capabilities of the PRODUCT which is not consistent with those described in the product literature or other material supplied by MACH 3. (c) MACH 3 shall assist DISTRIBUTOR in its efforts by making available reasonable quantities of such marketing materials as MACH 3 has developed and/or jointly developing such marketing materials with DISTRIBUTOR as DISTRIBUTOR may recommend.

Promotional Duties. (a) Express shall (i) exert its best efforts consistent with sound business planning and projected profitability and sales potential to introduce and diligently advertise, promote, sell, distribute, and service (collectively, “Marketing”) the Products, (ii) make use of, and disseminate to its existing customers, and to potential purchasers, all promotional materials, if any, supplied by ATG, and (iii) cooperate with ATG in activities directed toward the Marketing of the Products. At ATG’s request, Express shall make immediately available to ATG copies of all print and electronic Marketing materials used by it for the Products. (b) ATG will provide reasonable quantities of its combustion enhancement products for promotional use and evaluation purposes at no cost to Express. The use of such samples for testing will be at the discretion and direction of ATG. (c) Express shall at all times demonstrate and otherwise represent the Products fairly in comparison with competitive products from other manufacturers, shall make no false or misleading representations with regard to the Products or ATG, and shall not make any representations with respect to the specifications, features or capabilities of the Products which are not consistent with those described in the Product literature or other material supplied by ATG. (d) ATG shall assist Express in its efforts by making available reasonable quantities of such marketing materials as ATG has developed and jointly developing such marketing materials as Express may recommend.
Promotional Duties. FEP undertakes to employ commercially reasonable efforts at its own expense to promote, market, advertise, sell and distribute the Products in the Territory.
Promotional Duties. 7.1 Each party shall devote its commercially reasonable efforts to advertise, promote and sell the Electronic Products, to protect the goodwill created in the Electronic Products and to cooperate with the end-users of the Electronic Products. 7.2 Neither party shall use any advertising or promotional materials to promote the Electronic Products that have not been approved by Newco. 7.3 InfoCast acknowledges that CCLS is very active in selling the courseware products utilizing the Underlying Intellectual Property. CCLS and InfoCast will use their commercially reasonable efforts to support Newco sales of the Electronic Products to existing clients of CCLS. InfoCast shall refer all requests and leads for leader-led version of the Electronic Products to CCLS and no commissions shall be paid to InfoCast. Similarly, CCLS shall refer all requests and leads for virtual call center opportunities, IT outsourcing and content conversion and delivery to InfoCast and no commission shall be paid to CCLS. CCLS and Newco however will be given the opportunity to sell all products in the InfoCast DXL library subject to a reseller agreement to be negotiated. 7.4 All Newco promotional materials, electronic and written, will carry a dedicated Call Center Training category. Only Newco Electronic Products will be listed and marketed under this dedicated category. InfoCast agrees to create a separate and exclusive section on Digital Exchange Library (the "DXL") that will exclusively list the Electronic Products under the title "Call Center Training". 7.5 InfoCast will set up a website for Newco with transparent links to the InfoCast website and the DXL. InfoCast will set up transparent links from the CCLS website to the InfoCast website and Newco website. InfoCast will e-commerce enable the Newco website. 7.6 Each of CCLS and InfoCast shall provide to Newco, on a monthly basis, the names and addresses of customers that have been approached as determined by the Marketing and Sales Plans. 7.7 InfoCast and CCLS shall provide assistance to Newco to promote, market, sell and distribute the Electronic Products and InfoCast shall provide Newco with technical support for the Electronic Products including presale, sale (including e-commerce solutions) and post sales activities. During the initial six month period after the execution of this Agreement, InfoCast shall provide such assistance to Newco at no cost to Newco. Promotional Duties. (a) Xxxxx shall (i) exert its best efforts to introduce and diligently promote, sell and service the Products within the Territory, including, without limitation, the full and complete attainment of the Minimum Purchase Guarantee as set forth below in Section 3.1, (ii) make use of, and disseminate to its customers, all promotional materials supplied by MacroPore, and (iii) cooperate with MacroPore in activities directed toward the promotion, sales and servicing of the Products, including but not limited to Xxxxx’x translation of product literature for the Products in the Japanese language and attaching Product updates, literature, etc. with Products sold in the Territory as reasonably requested by MacroPore or required by the responsible governmental authorities, provided that MacroPore shall be allowed final review of all product translations and modified marketing literature prior to distribution of such materials, and (iv) support interest in the Products by representing the Products at major trade shows in the Territory selected by Xxxxx where similarly applicable products are promoted. (b) Xxxxx and its staff shall be conversant with the technology and language relating to the Products, and shall develop sufficient knowledge of the industry of MacroPore, the Products (including their specifications, features and benefits) and products competitive with the Products, so as to be able to explain in detail to potential customers the differences between the Products and such competitive products. Xxxxx shall conduct such sales training of its personnel as may be necessary to impart such knowledge, and shall extend commercially reasonable cooperation to MacroPore in any product education programs which it may establish. (c) Xxxxx shall be obligated to attend training sessions held by MacroPore at mutually agreed locations not more than once annually. Travel, lodging and related expenses shall be borne by Xxxxx. Xxxxx shall train and maintain a sufficient number of capable personnel (i) to service the demands and needs for marketing and supporting the Products within the Territory, and (ii) to otherwise carry out the obligations and responsibilities of Xxxxx under this Agreement. All advertising materials and product claims prepared by the DISTRIBUTOR must be approved by EEPI. The DISTRIBUTOR is to incur costs associated with the production of marketing materials. b) The DISTRIBUTOR shall at all times demonstrate and otherwise represent the PRODUCT fairly and accurately in comparison with competitive products from other manufacturers, shall make no false or misleading representations with regard to the PRODUCT, and shall not make any representations with respect to the specifications, features or capabilities of the PRODUCT which is not consistent with those described in the product literature or other material supplied by EEPI.

  • Additional Duties (i) In addition to the duties of the Administrator set forth in Section 1(a), the Administrator shall perform such calculations, and shall prepare, execute and file or deliver on behalf of the Issuer or the Owner Trustee or shall cause the preparation by other appropriate persons of all such documents, reports, notices, filings, instruments, certificates and opinions as it shall be the duty of the Issuer or the Owner Trustee to prepare, file or deliver pursuant to the Basic Documents, and at the request of the Owner Trustee shall take all appropriate action with respect thereto, that is the duty of the Issuer or the Owner Trustee to take pursuant to the Basic Documents. Subject to Section 5 of this Agreement, and in accordance with the reasonable written directions of the Owner Trustee, the Administrator shall administer, perform or supervise the performance of such other activities in connection with the Basic Documents as are not covered by any of the foregoing provisions and as are expressly requested by the Owner Trustee and are reasonably within the capability of the Administrator. The responsibilities of the Administrator shall include the execution and delivery of any filings, certificates, affidavits or other instruments required under the Xxxxxxxx-Xxxxx Act of 2002, to the extent permitted by applicable law, and the Owner Trustee hereby requests that the Administrator perform such obligations. (ii) Notwithstanding anything in this Agreement or the Basic Documents to the contrary, the Administrator shall be responsible for promptly notifying the Owner Trustee in the event that any withholding tax is imposed on the Issuer’s payments (or allocations of income) to the Certificateholder as contemplated in Section 5.02(c) of the Trust Agreement. Any such notice shall specify the amount of any withholding tax required to be withheld by the Owner Trustee pursuant to such provision. (iii) Notwithstanding anything in this Agreement or the Basic Documents to the contrary, the Administrator shall be responsible for performance of the duties set forth in Sections 5.04(a), (b), (c), (d) and (e) of the Trust Agreement with respect to, among other things, accounting and reports to the Certificateholder. (iv) The Administrator shall perform the duties of the Administrator specified in Section 10.02 of the Trust Agreement required to be performed in connection with the resignation or removal of the Owner Trustee and any other duties expressly required to be performed by the Administrator under the Trust Agreement. (v) In carrying out the foregoing duties or any of its other obligations under this Agreement, the Administrator may enter into transactions with or otherwise deal with any of its Affiliates; provided, however, that the terms of any such transactions or dealings shall be in accordance with any directions received from the Issuer and shall be, in the Administrator’s opinion, no less favorable to the Issuer than would be available from unaffiliated parties. (vi) The Administrator shall provide notices to the Rating Agencies as required under the Basic Documents. (vii) It shall be the Administrator’s duty and responsibility, and not the Owner Trustee’s duty or responsibility, to cause the Issuer to respond to, defend, participate in or otherwise act in connection with any regulatory, administrative, governmental, investigative or other proceeding or inquiry relating in any way to the Issuer, its assets or the conduct of its business.

  • Normal Duties (a) Faculty members are accountable for 10 months of the year. The 10 months accountable time includes such activities as teaching, the counselling of students, curriculum/program development, professional development and participation on a variety of educational committees. (b) At least one month before the commencement of any accountable time longer than four consecutive days, and covering activities other than teaching or professional development the faculty member will submit for approval to the appropriate administrator an activity plan for this period. Approval will not be unreasonably withheld. On an annual basis, the faculty member will submit to the appropriate administrator a written report of their accountable time activities.

  • Employment Duties and Responsibilities A) The Company shall employ the Executive, and the Executive shall serve the Company, as President and Chief Executive Officer, with such duties and responsibilities as may be assigned to the Executive by the Board of Directors of the Company (“BOD”) and are typically associated with a position of that nature.   • Extra Duties The Trustee shall be entitled to refuse to approve any Substituted Obligor if, pursuant to the law of the jurisdiction of incorporation of the Substituted Obligor, the assumption by the Substituted Obligor of its obligations hereunder imposes responsibilities on the Trustee over and above those which have been assumed under this Trust Deed.

  • Services to Other Clients; Certain Affiliated Activities (a) The relationship between the Asset Manager and the Series is as described in this Agreement and nothing in this Agreement, none of the services to be provided pursuant to this Agreement, nor any other matter, shall oblige the Asset Manager to accept responsibilities that are more extensive than those set forth in this Agreement. (b) The Asset Manager’s services to the Series are not exclusive. The Asset Manager may engage in other activities on behalf of itself, any other Managing Party and other clients (which, for the avoidance of doubt, may include other series of the Company). The Series acknowledges and agrees that the Asset Manager may, without prior notice to the Series, give advice to such other clients. The Asset Manager shall not be liable to account to the Series for any profits, commission or remuneration made or received in respect of transactions effected pursuant to the Asset Manager’s advice to another client and nor will the Asset Manager’s fees be abated as a result.

  • General Duties and Responsibilities 1. Responsibilities under the General Conditions of the Contract for Construction: In addition to the responsibilities herein set forth, Consulting Engineer/Architect agrees to be responsible for those matters identified in the General Conditions as being responsibilities of the Consulting Engineer/Architect. Consulting Engineer/Architect specifically acknowledges receipt of a copy of the General Conditions and acceptance of the responsibilities as set forth therein.

  • Duties and Responsibilities of Employee (a) During the Employment Period, Employee shall devote substantially all of Employee’s business time and attention to the business of the Company and its Affiliates, will act in a manner that Employee reasonably believes is consistent with the best interests of the Company and its Affiliates and will perform with due care Employee’s duties and responsibilities. Employee’s duties will include those normally incidental to the position(s) set forth in Section 1 above of as well as whatever additional duties may be assigned to Employee, with Employee’s consent, by any senior officers or by the Board of Managers of EPE Acquisition (the “Board”) from time to time. Employee agrees not to engage in any activity that materially interferes with the performance of Employee’s duties hereunder. Notwithstanding the foregoing, the parties acknowledge and agree that Employee may (i) serve on corporate boards or committees (A) listed on Schedule 2(a) hereto or (B) approved by the Board, (ii) serve on civic, educational, religious, public interest, or charitable boards or committees, (iii) manage Employee’s personal and family investments, provided that such activity is not expressly prohibited by Section 10 and (iv) engage in passive investments (the activities referred to in the immediately preceding clauses (i), (ii), (iii) and (iv) being “Permitted Activities”); provided, however, that such activities shall be permitted so long as such activities do not materially interfere with the performance of Employee’s duties and responsibilities under this Agreement or conflict with the business and affairs of the Company. (b) Employee expressly represents and covenants to the Company that Employee is not subject or a party to any employment agreement, noncompetition covenant, nondisclosure agreement, or any other agreement, covenant, understanding, or restriction that would prohibit Employee from executing this Agreement and fully performing Employee’s duties and responsibilities hereunder.
