Purchase Requirement. 6.1 Subject to the Supplier's fulfillment of all of its obligations pursuant to this Agreement, ISR intends to purchase from time to time the Goods by issuing a written Purchase Order dully signed by ISR all on a non-exclusive basis ("Purchase Order"):
6.2 The time of issuance of Purchase Orders, the number of Purchase Orders issued and the quantity and type of the Goods in each Purchase Order shall be subject to ISR's discretion and Supplier herby waives any claim and/or demand against ISR including for loss of income and/or profits.
6.3 Additionally, during the Agreement Period, ISR, in its sole discretion, shall have the option (but shall not be obligated) to purchase from the Supplier similar goods not specified in the Technical Specifications ("Additional Goods"). The relevant terms and conditions detailed in this Agreement, including its Appendices, shall apply, mutatis mutandis, to the Additional Goods. Price of the Additional Goods shall be negotiated in good faith between the Parties based on the Goods Price.
Purchase Requirement. Customer agrees to purchase (a) one hundred percent (100%) of the Energy delivered by the System during the Term of this Agreement, in each year up to one hundred and five percent (105%) of the estimated year one production provided in Exhibit A with respect to the System and (b) Energy delivered by the System in any year in excess of one hundred and five percent (105%) of such estimated year one production to the extent it consumes such excess Energy. While the Solar Services are calculated and billed on the basis of kWh of Energy as set forth in Section 6.1, Customer acknowledges and agrees that such Solar Services represent a package of services including the production and supply of electrical energy output from the System together with any other services associated with solar energy production that Provider may provide to Customer. The payment for Solar Services is calculated to include all of the above services in the price per kWh of Energy provided to the Site through the System. Neither Party may claim that by this Agreement Provider is an electric utility subject to regulation as an electric utility or subject to regulated electricity rates. Provider shall not claim to be providing electric utility services to Customer and shall not interfere with Customer’s ability to select an electric utility provider except that, to the extent Customer has a choice in selecting an electric utility provider or electricity provider, Customer shall not select an electric utility provider or electricity provider that requires, as part of their conditions for service, removal or discontinued operation of the System or the sales hereunder.
Purchase Requirement. Purchaser agrees to purchase one hundred percent (100%) of the Solar Services generated by the System and made available by Provider to Purchaser during each relevant month of the Term, up to a maximum of one hundred and ten percent (110%) of Estimated Annual Production, as defined in Section 5.2. While the Solar Services are calculated and billed on a per kWh basis as set forth in Schedule 2 of the Special Conditions, they represent a package of services and benefits.
Purchase Requirement. The following provisions supplement those contained in Section 2.2 of the Master Loan Purchase Agreement with respect to Purchased Loans satisfying the Credit Criteria outlined in this Addendum No. 4:
(a) With respect to Eligible Loans offered to Purchaser by Seller pursuant to the Credit Criteria specifications of this Xxxxxxxx Xx. 0, Xxxxxxxxx and Seller shall mutually agree in writing to a Purchase Requirement. At least thirty (30) days MASTER LOAN PURCHASE AGREEMENT - Addendum No. 4 (Small Business) prior to the first day of each month, or as otherwise agreed between the Parties in writing, Seller and Purchaser will mutually agree as to the Purchase Requirement for such month. Such Purchase Requirement will go into effect on the first day of such month and will apply for each month going forward until Seller and Purchaser mutually agree in writing to modify such Purchase Requirement. For the avoidance of doubt, Seller may, but is not required to offer to Purchaser, an amount of Eligible Loans equal to the Purchase Requirement and its offer of no Eligible Loans or an amount of Eligible Loans that is less than the Purchase Requirement shall not constitute a breach of this Agreement.
(b) Purchaser agrees to make a Purchase Commitment for all Eligible Loans offered to Purchaser by Seller pursuant to the Credit Criteria specifications outlined in this Addendum No. 4 (other than those that become Non-Offered Loans and to the extent Eligible Loans are available) in any given calendar month until such time as Purchaser has made Purchase Commitments for an amount of Eligible Loans (based upon Purchase Price) equal to the Purchase Requirement for such month. Each Eligible Loan offered to Purchaser by Seller, in Seller’s sole discretion, up to the Purchase Requirement will be deemed to be subject to a Purchase Commitment upon offer. After meeting the Purchase Requirement for any calendar month, upon the mutual agreement between Seller and Purchaser and to the extent Eligible Loans are available, Seller may offer, additional Eligible Loans during such month subject to the Purchase Limitation.
(c) Seller may strive to allocate Eligible Loans among purchasers participating in the Loan Program covered by this Addendum No. 4 in an equitable manner so that all purchasers have an equitable opportunity to purchase Eligible Loans pursuant to the Credit Criteria specifications outlined in this Addendum No. 4. Purchase Requirement. Customer agrees to purchase one hundred percent (100%) of the Energy delivered by the System during the Term of this Agreement and one hundred percent (100%) of the Storage Services provided with respect to the System. While the Solar Services are calculated and billed on the basis of kWh of Energy as set forth in Section 6.1, Customer acknowledges and agrees that such Solar Services and the Storage Services represent a package of services including the production, storage and supply of electrical energy output from the System and the reduction of Customer’s electric demand, together with any other services associated with Solar Services and Storage Services that Provider may provide to Customer. The payment for Solar Services (expressed in $/kWh) and Storage Services (express in $/kWh) are calculated to include all of the above services. Neither Party may claim that by this Agreement Provider is an electric utility subject to regulation as an electric utility or subject to regulated electricity rates. Provider shall not claim to be providing electric utility services to Customer and shall not interfere with Customer’s ability to select an electric utility provider except that, to the extent Customer has a choice in selecting an electric utility provider or electricity provider, Customer shall not select an electric utility provider or electricity provider that requires, as part of their conditions for service, removal or discontinued operation of the System or the sales of Energy or Storage Services hereunder.
Purchase Requirement. 6.1 Subject to the Supplier's fulfillment of all of its obligations pursuant to this Agreement, ISR intends to purchase from time to time the following Brake Pads, in an amount that shall be determined according to ISR's needs, by issuing a written Purchase Order dully signed by ISR all on a non-exclusive basis ("Purchase Order"):
Purchase Requirement. 6.1 Subject to the Supplier's fulfillment of all of its obligations pursuant to this Agreement, and subject to the conditions of this SectionISR hereby undertakes to make a purchase a single Reach stacker fork-lift and/or three (3) Pitch Fork- lifts (the "Amount").
6.2 In addition to the aforementioned, it is herby clarified, that the Supplier shall provide with a two (2) day on-site Training relevant to each fork-lift type at no additional cost to ISR (the "Training").
6.3 Notwithstanding the above, ISR's obligation to purchase shall cease and have no further effect in the event that Supplier commits a fundamental breach of this Agreement and/or fails to comply with the terms hereof.
6.4 Additionally, during the Agreement Period, ISR, in its sole discretion, shall have the option (but shall not be obligated) to purchase from the Supplier additional Reach stacker fork-lifts and additional Pitch Fork-lifts ("Optional Vehicles"). The relevant terms and conditions detailed in this Tender, including its Appendices, shall apply, mutatis mutandis, to the purchase of the Optional Vehicles.
