Qualifications and Duties. The Superintendent represents that at the date of execution hereof she possesses the qualifications for the position, Superintendent, required by law and by the Board. It is further expressly understood and agreed that if the Superintendent shall at any time and for any reason not possess the minimum statutory qualifications for that position, whether now in force or hereafter enacted by the Legislature, this Contract shall terminate immediately and without notice, anything herein to the contrary notwithstanding. The Superintendent shall have charge of the administration of the affairs and schools of the District under the direction of the Board. She shall be the chief executive officer of the District; shall direct and assign teachers and other employees of the District under her supervision; shall organize, reorganize and arrange all business affairs of the District in a manner that best serves the District subject to the approval of the Board; shall from time to time suggest regulations, rules and procedures deemed necessary for the well ordering of the District; and perform such other duties as may be prescribed by the Board fom time to time. The Superintendent shall attend all Board meetings and all Board and citizen committee meetings, serve as an ex-officio member of all Board committees and provide administrative recommendations on each item of business considered by each of these groups, unless otherwise directed by Board consensus or vote. The Superintendent agrees to perform the duties of Superintendent of Schools in a competent and professional manner, subject to the established policies and regulations of the Board and the laws of the State of Michigan. whether now in force or hereafter adopted, and to carry out or cause to be carried out, the education program and policies of the Board during the term of this Contract. The Superintendent agrees to devote her full working time to the performance of her duties as Superintendent and to engage in no other gainful employment during the term of this Contract, unless agreed to in writing by the Board.
Qualifications and Duties. Attorney shall be licensed in Missouri and comply with Missouri state statutes, Missouri Supreme Court rules and the Local Court Rules of the 13th Judicial Circuit Court.
Qualifications and Duties. The Superintendent represents, warrants, and covenants that he possesses all of the qualifications that are required to serve as a Superintendent in the Public school of the Commonwealth of Pennsylvania. The Superintendent agrees to maintain throughout the term of this Contract a valid and current letter of eligibility and commission and other legal credentials as may be required by law and to present the same to the Board. If at any time the Superintendent shall no longer be eligible to serve as Superintendent he shall promptly notify the Board of School Directors. This agreement shall expire effective the date of his ineligibility. The Superintendent further agrees to subscribe to and take the proper oath of office. The Superintendent hereby agrees to serve as superintendent for the term provided in Section I and further agrees to faithfully perform all duties imposed by the Public School Code of 1949, as amended, 24 P.S. § 1-101 et seq., as well as other applicable laws and regulations of the Commonwealth of Pennsylvania, and as provided herein in Section III. The Superintendent shall attend all executive meetings of the Board except meetings or portions of a meeting during which the Board discusses the Superintendent’s position or performance or issues related thereto.

  • Definition of Qualifications a. In this Agreement, "necessary qualifications" in respect of a teaching position means that, in the professional judgement of the Superintendent of Schools, there is a reasonable expectation, based on the teaching certification, training, education and experience of a teacher that the teacher shall be able to perform the duties of the position in a satisfactory manner.

  • CORPORATE QUALIFICATIONS TO DO BUSINESS IN CALIFORNIA a. When agreements are to be performed in the state by corporations, the contracting agencies will be verifying that the contractor is currently qualified to do business in California in order to ensure that all obligations due to the state are fulfilled.

  • Professional Qualifications It shall be a condition of continued professional employment that employees must apply for enrolment in their appropriate professional licensing body by the thirtieth day of continuous service.

  • PROFESSIONAL QUALIFICATIONS AND ASSIGNMENTS (In 2011, the Florida Legislature passed statutory changes eliminating the granting of new Professional Service Contracts and prohibiting the School Board from following the requirements outlined in Sections 14.1, 14.1-1, 14.1-2, and 14.1-3 of the contract below. These provisions are therefore placed in abeyance until all legal challenges have been resolved. All other Sections beginning with 14.2 remain in full force and effect.)

  • General Qualifications General qualifications commonly required of all candidates for, appointees to, and employees in the classified service such as integrity, honesty, sobriety, dependability, industry, thoroughness, accuracy, good judgment, initiative, resourcefulness, courtesy, ability to work cooperatively with others, good health, and freedom from disabling defects, shall be deemed to be a part of the personal characteristics of the minimum qualifications of each class specification and need not be specifically set forth therein. The Commission may prescribe alternative or additional qualifications for individual classes and such qualifications also shall be deemed to be a part of the specifications for such classes.

  • Certifications and Audits Company shall promptly complete and return to BNYM any certifications which BNYM in its sole discretion may from time to time send to Company, certifying that Company is using the Licensed System in strict compliance with the terms and conditions set forth in this Agreement. BNYM may, at its expense and after giving reasonable advance written notice to Company, enter Company locations during normal business hours and audit Company’s utilization of the Licensed System, the number of copies of the Documentation in Company’s possession, and the scope of use and information pertaining to Company’s compliance with the provisions of this Agreement. The foregoing right may be exercised directly by BNYM or by delegation to an independent auditor acting on its behalf. If BNYM discovers that there is any unauthorized scope of use or that Company is not in compliance with the aforementioned provisions, Company shall reimburse BNYM for the full costs incurred in conducting the audit.

  • Qualifications of Panelists All Panelists shall: (a) have expertise or experience in law, international trade, other matters covered by this Agreement, or the resolution of disputes arising under international trade agreements relevant to the subject matter of the dispute; (b) be chosen strictly on the basis of objectivity, impartiality, reliability, and sound judgment; (c) be independent of, and not be affiliated with or take instructions from, any Party; (d) not delegate their responsibilities to any other person; and (e) comply with the Model Rules of Procedure established in Annex 12 (Model Rules of Procedure).

  • PERFORMANCE AND RESPONSIBILITY QUALIFICATIONS The Commissioner reserves the right to investigate or inspect at any time whether or not the Product, services, qualifications or facilities offered by the Bidder/Contractor meet the requirements set forth in the Bid Specifications/Contract or as set forth during Contract negotiations. Contractor shall at all times during the Contract term remain responsible and responsive. A Bidder/Contractor must be prepared, if requested by the Commissioner, to present evidence of legal authority to do business in New York State, integrity, experience, ability, prior performance, organizational and financial capacity as well as where applicable, a statement as to supply, plant, machinery and capacity of the manufacturer or source for the production, distribution and servicing of the Product offered/Bid. If the Commissioner determines that the conditions and terms of the Bid Documents, Bid Specifications or Contract are not complied with, or that items, services or Product proposed to be furnished do not meet the specified requirements, or that the legal authority, integrity experience, ability, prior performance, organization and financial capacity or facilities are not satisfactory, the Commissioner may reject such Bid or terminate the Contract.
