Quality Standards and Inspection. (a) All products and services to which any Licensed Trademark is applied (and all Business Items and Promotional Materials used in connection with any of the foregoing) shall be (a) in compliance with all Applicable Laws at all times, (b) provided in a manner so as not to bring discredit or disrepute upon any Licensed Trademark and (c) of at least substantially the same quality as those products and services sold or provided by Licensor and its Subsidiaries immediately prior to the Effective Date, which quality shall be reasonably maintained on a consistent basis.
(b) Licensor shall have the right to inspect any designation, document or other media including any Business Items and Promotional Materials, and any facilities or records, used or maintained by Licensee or any Sublicensee in connection with the manufacture, commercialization, supply or other exploitation of any product or service under any Licensed Trademark upon providing Licensee with one (1) week prior written notice. Such inspection shall only be permitted during Licensee’s normal business hours. Upon any such written request, Licensee shall furnish Licensor with representative samples of products and services bearing any Licensed Trademark (including Business Items and Promotional Materials) in order for Licensor to ascertain that they conform to such quality standards and other provisions of this Agreement. Such samples shall be furnished by Licensee either at the facility at which they are ordinarily kept, or, upon request of Licensor, shipped to Licensor at Licensor’s expense. In the event that Licensor determines that any sample does not meet such standards, Licensee shall have sixty (60) days after notification by Licensor within which to make the changes required for compliance.
Quality Standards and Inspection. 1. Party B shall complete its design, manufacture and installation in strict accordance with the section drawing of coke oven mechanical equipment provided by the designing institute, and the quality shall conform to drawing requirements. In case there is any dispute, it shall be settled through consultations by both parties.
2. Party B shall provide technical services for the design, manufacture, transportation, packing, installation, debugging and commissioning of the contracted equipment, and Party B shall ensure the quality in all aspects.
3. The equipment shall be manufactured in accordance with relevant national industrial standards, and the installation and commissioning of the equipment must comply with Code for Construction and Acceptance of Metallurgical Machinery Installation Work issued by Ministry of Metallurgical Industry.
4. The main materials of components and parts shall be accompanied by the original material list and the corresponding test reports of physical and chemical indicators.

Licensee shall conform to and observe any such standards as Licensor may from time to time prescribe with respect to the Licensed Marks, including standards relative to the quality, design, identity, size, position, appearance, marking, color of the Licensed Marks, and the manner, disposition and use of the Licensed Marks and accompanying designations, on any document or other media including, without limitation, any Promotional Material. All services performed under the Licensed Marks and all goods to which the Licensed Marks are applied shall at all times be in compliance with applicable Law, and such services performed or goods supplied shall in each case be effected in a manner so as not to bring discredit upon the Licensed Marks. Licensor shall have the right to inspect any designation, document or other media including any Promotional Material, and any facilities or records, used or maintained by Licensee in connection with the performance of any services or supply of goods under one or more of the Licensed Marks.

The Licensed Party and its Sublicensees shall use the Licensed Marks only in the form stipulated by the Licensing Party and shall conform to and observe such standards as the Licensing Party from time to time prescribes, including standards relative to the quality, design, identity, size, position, appearance, marking, color of the Licensed Marks, and the manner, disposition and use of the Licensed Marks and accompanying designations, on any document or other media including, without limitation, any Promotional Material. All services performed under the Licensed Marks and all goods to which the Licensed Marks are applied shall at all times be in compliance with Applicable Law, and such services performed or goods supplied shall in each case be effected in a manner so as not to bring discredit upon the Licensed Marks. The Licensing Party shall have the right to inspect any designation, document or other media including any Promotional Material, and any facilities or records, used or maintained by the Licensed Party and its Sublicensees in connection with the performance of any services or supply of goods under one or more of the Licensed Marks.
Quality Standards and Inspection. Section 5.1 Quality Standards The ESP manufactured and supplied by RELA hereunder shall be made in strict compliance with AccuMed's product and performance specifications. "Specifications" as used in this Agreement, shall mean those manufacturing, design, inspection, governmental compliance, testing, quality control and assurance requirements, record retention and other requirements identified in the RELA Product Specific Quality Plan (Exhibit D attached), and any documents and drawings incorporated thereby. It is understood that such Specifications may be amended as reasonably necessary, during the term of this Agreement, subject to written approval from AccuMed and upon receipt by RELA of reasonable advance notice.
Quality Standards and Inspection. Licensee shall not use or display any of the Licensed Marks on or in connection with any document or other media, including Promotional Material, without first obtaining Licensor’s prior written approval (except in the case of Regulatory Filings). Licensee shall furnish to Licensor any document or other media, including Promotional Material, in which Licensed Marks are used for Licensor’s approval (except in the case of Regulatory Filings). Licensor agrees to respond to any written request for approval on a prompt and timely basis. Failure of Licensor to respond within 20 Business Days of Licensor’s receipt of such written request by Licensee for approval shall be deemed approval by Licensor and relieve Licensee of the obligation to obtain Licensor’s approval. All services performed under the Licensed Marks and all goods to which the Licensed Marks are applied shall at all times be in compliance with Applicable Law, and such services performed or goods supplied shall in each case be effected in a manner so as not to bring discredit upon the Licensed Marks and in a manner otherwise consistent with Licensee’s conduct of its business generally.
Quality Standards and Inspection. 5.1. Each Licensed Product, and all packaging therefor, will (a) materially comply with applicable laws, (b) be free from material defects, and (c) be of a quality consistent with other products manufactured by or for Licensee.
5.2. Licensee will implement and maintain a monitoring and quality control system to ensure that the Licensed Products and their packaging comply with Licensee’s warranty in Section 5.1. The Parties agree that any monitoring and quality control system implemented and maintained by Licensee as of the Agreement Effective Date, will be deemed to comply with this Section 5.2.
5.3. Upon NIKE’s request, upon at least ten (10) Business Days notice by NIKE to Licensee, and no more than once per year, Licensee will submit to NIKE (at NIKE’s cost) one (1) random sample each of three (3) Licensed Products (and their packaging) taken from regular production, and accompanying Advertising Materials, so that NIKE can evaluate the quality of the Licensed Products and Licensee’s use of the Licensed Xxxx on the Licensed Products, packaging and Advertising Materials.
5.4. Licensee will comply, to the fullest extent possible, with any full or partial mandatory product recall required by applicable law that applies, in whole or in part, to the Licensed Products.
5.5. Licensee will use commercially reasonable efforts to ensure that each Facility manufacturing or producing finished goods will at all times materially comply with all applicable laws. The Parties agree that all of the Facilities in use as of the Agreement Effective Date materially comply with the applicable laws.
5.6. During the Term, an independent third-party inspector mutually agreed to by the Parties will have the right, during normal business hours, upon at least fifteen (15) days’ written notice and no more than twice per calendar year, NIKE, INC., NIKE INTERNATIONAL LIMITED, AND NIKE XXXXX HOCKEY CORP. to inspect the Facilities manufacturing or producing finished goods in order to examine the quality of the Licensed Products in production, to determine whether or not the Licensed Xxxx is being used properly and to determine whether such Facility manufacturing or producing finished goods materially complies with all applicable laws. NIKE will ensure that any Person conducting such inspections will be bound by confidentiality agreements in form and substance satisfactory to Licensee.
5.7. In the event NIKE determines that Licensee has materially violated the provisions of this Section 5...
Quality Standards and Inspection. Section 3.1 Licensee agrees that the nature and quality of products and services it sells or otherwise provides in connection with the Trademark (the “Trademarked Products and Services”), and all related advertising, promotional and other related uses of the Trademark by Licensee, shall conform to reasonable quality standards set by, and be subject to the ultimate control of Licensor. Parties agree that so long as the quality of Licensee’s advertising, promotional and other related uses of the Trademark conform to such standard, it shall be deemed to be in compliance with this provision.
Section 3.2 Upon reasonable request by Licensor and no more than once per calendar year during the term of this Agreement, Licensee shall submit to Licensor a reasonable number of samples of the Trademarked Products and Services packaged as they actually appear on the market.

All Licensed Products and Licensed Services to which the Licensed Marks are applied shall at all times be in compliance with Applicable Law, and such goods and services shall be provided in a manner so as not to bring discredit upon the Licensed Marks. Licensee shall ensure that all Licensed Products and Licensed Services to which the Licensed Marks are applied (and all Promotional Material used in connection with the foregoing) shall be of at least substantially the same quality as those goods sold or provided by Licensor and its Affiliates immediately prior to the Effective Date and that such quality shall be reasonably maintained on a consistent basis. Licensor shall have the right to inspect any designation, document or other media including any Promotional Material, and any facilities or records, used or maintained by Licensee in connection with the supply of goods and services under the Licensed Marks upon providing Licensee forty-eight (48) hours prior written notice. Such inspection shall only be permitted during Licensee’s normal business hours. Upon such Licensor’s reasonable written request, Licensee agrees to furnish Licensor with representative samples of goods bearing the Licensed Marks (including Promotional Material) in order to ascertain that they conform to such quality standards and other provisions of this Agreement. Such samples shall be furnished by Licensee either at the facility at which they are ordinarily kept, or, upon request of Licensor, shipped to Licensor at Licensor’s expense. In the event that Licensor determines that any sample does not meet such standards, Licensee shall have 45 days after notification by Licensor within which to make the changes required for compliance.

Zomedica shall use the Qorvo Trademarks only in the form stipulated by Qorvo and shall conform to and observe such standards as Qorvo from time to time prescribes, including standards relative to the quality, design, identity, size, position, appearance, marking, color of the Qorvo Trademarks, and the manner, disposition and use of the Qorvo Trademarks and accompanying designations, on any document or other media including, without limitation, any promotional material. All services performed under the Qorvo Trademarks and all goods to which the Qorvo Trademarks are applied shall at all times be in compliance with Applicable Law, and such services performed or goods supplied shall in each case be effected in a manner so as not to bring discredit upon the Qorvo Trademarks. Qorvo shall have the right to inspect any designation, document or other media including any promotional material, and any facilities or records, used or maintained by Zomedica in connection with the performance of any services or supply of goods under one or more of the Qorvo Trademarks.
